本规定。防范和查处假冒企业登记违法行为规定ProvisionsonthePrevention,Investigation9andPunishmentoftheIllegalActsofFalsifyingEnterpriseRegistration制定机关:国家市场监督管理总局发文字号:国家市场监督管理总局令第88号公布日期:2024.01.10施行日期:2024.03.15效力住阶:部门规章法规类别:企业登记管理营商环境优化IssuingAuthority:StateAdministrationforMarketRegulationDocumentNumber:OrderNo.88oftheStateAdministrationforMarkeiRegulationDateIssued:01-10-2024EffectiveDate:03-15-20241.evelofAuthority:DepartmentalRulesAreaofLaw:EnterpriseRegistrationandAdministrationOptimizationofDoingBusinessProvisionsonthePrevention,Investigation,andPunishmentoftheIllegalActsofFalsifyingEnterpriseRegistration(IssuedbyOrderNo.88oftheStateAdministrationforMarketRegulationonJanuary10,2024andcomingintoforceonMarch15,2024)Article1TheseProvisionsaredevelopedinaccordancewiththeRegulationofthePeople'sRepublicofChinaontheAdministrationoftheRegistrationofMarketEntitiesandotherapplicablelawsandregulationsforthepurposesofregulatingtheorderofadministrationofenterpriseregistration,effectivelypreventing,investigating,andpunishingtheillegalactsoffalsifyingenterpriseregistration,acceleratingtheestablishmentofamarketorderbasedonintegrityandcompliance,effectivelysafeguardingtransactionsecurity,andcontinuouslyoptimizingthebusinessenvironment.Article2TheseProvisionsshallapplytotheprevention,investigation,andpunishmentoftheillegalactsoffalsifyingenterpriseregistration.ForthepurposesoftheseProvisions,theuillegalactsoffalsifyingenterpriseregistrationnmeanstheillegalactsoffalselyusingthenameofanotherenterprisetoregisteritastheshareholderofalimitedliabilitycompany,asponsorofajoint-stocklimitedcompany,aninvestorofanunincorporatedenterpriselegalperson,orapartnerofapartnershipenterprise,amongothers,byprovidingfalsematerialsorconcealingimportantfactsthroughotherfraudulentmeans.第二条本规定适用于对假 冒企业登记违法行为的防范和查 处。本规定所称假冒企业登记违法行 为,是指提交虚假材料或者采取 其他欺诈手段隐瞒重要事实,冒 用其他企业名义,将其登记为有 限责任公司股东、股份有限公司 发起人、非公司企业法人出资 人、合伙企业合伙人等的违法行 为。前款所称提交虚假材料或者采取 其他欺诈手段隐瞒重要事实,具 体情形包括:(一)伪造、变造其他企业的印 章、营业执照、批准文件、授权 文书等;Forthepurposesoftheprecedingparagraph,“providingfalsematerialsorconcealingimportantfactsthroughotherfraudulentmeansf,shallspecificallyinclude:(1)forgingoralteringtheseal,businesslicense,approvaldocument,orauthorizationdocument,amongothers,ofanyotherenterprise;(2)forgingidentificationinformation;(二)伪造身份验证信息;(3)submittingfalseundertakings;and(三)提交虚假承诺;(4)othercircumstancesunderwhichimportantfactsareconcealed.(四)形。其他隐瞒重要事实的情Article3TheStateAdministrationforMarketRegulation(SAMR)shallberesponsiblefor第三条国家市场监督管理总局负责指导监督全国范围内假冒企业登记违法行为的防范和查 处工作。guidingandsupervisingtheprevention,investigation,andpunishmentoftheillegalactsoffalsifyingenterpriseregistrationnationwide.县级以上地方人民政府承担企业 登记工作的部门(以下称登记机 关)负责本辖区假冒企业登记违 法行为的防范和查处工作。县级 以上地方人民政府对承担假冒企 业登记违法行为调查处理职责另 有规定的,依照其规定。Thedepartmentundertakingenterpriseregistrationofalocalpeople,sgovernmentatorabovethecountylevel("registrationauthorityn)shallberesponsiblefortheprevention,investigation,andpunishmentoftheillegalactsoffalsifyingenterpriseregistrationwithinitsjurisdiction.Ifalocalpeople'sgovernmentatorabovethecountylevelprovidesotherwiseforthedutiesfortheinvestigationandhandlingoftheillegalactsoffalsifyingenterpriseregistration,suchprovisionsshallprevail.第四条市场监督管理部门 应当会同相关部门构建防范和查 处假冒企业登记违法行为的沟通 协调机制,强化信息共享核验, 加强源头预防,推进全过程控 制,依法及时查处违法行为。Article4Marketregulatorydepartmentsshall,inconjunctionwiththerelevantdepartments,establishacommunicationandcoordinationmechanismfortheprevention,investigation,andpunishmentoftheillegalactsoffalsifyingenterpriseregistration,strengtheninformationsharingandverification,strengthenpreventionfromthesource,promotewhole-processcontrol,andpromptlyinvestigateandpunishillegalactsinaccordancewiththelaw.第五条企业登记实行实名 制。申请人应当配合登记机关核 验身份信息。Article5Marketentitiesshallbesubjecttolegalnameregistration.Theapplicantshallcooperatewiththeregistrationauthorityintheverificationofidentityinformation.当事人为自然人的,应当配合登 记机关通过实名认证系统,采用 人脸识别等方式进行实名验证。Ifthepartyisanaturalperson,heorsheshallcooperatewiththeregistrationauthorityinconductinglegalnameauthenticationbyfacialrecognitionandothermethodsthroughthelegalnameauthenticationsystem.当事人为企业的,应当配合登记Ifthepartyisanenterprise,itshallcooperate机关通过核验电子营业执照的方 式进行身份核验;未使用电子营 业执照的,其法定代表人、负责 人、执行事务合伙人等自然人应 当进行实名验证。withtheregistrationauthorityinverifyingitsidentitythroughverifyingitselectronicbusinesslicense;andifthepartydoesnotuseanelectronicbusinesslicense,itslegalrepresentative,personincharge,managingpartner,andothernaturalpersonsshallcarryoutlegalnameauthentication.第六条 申请人应当对提交 材料的真实性、合法性和有效性 负责。Article6Theapplicantshallberesponsiblefortheveracity,legality,andvalidityofthesubmittedmaterials.受委托的自然人或者中介机构代 为办理登记事宜应当遵守法律法 规规定,表明其代理身份,不得 伪造、变造或者使用伪造、变造 的法律文件、印章、签名,不得 采取欺诈、诱骗等不正当手段, 不得教唆、编造或者帮助他人编 造、提供虚假信息或者材料;不 得以转让牟利为目的,恶意大量 申请企业登记,损害社会公共利 益或者妨碍社会公共秩序。Thenaturalpersonorintermediaryentrustedtohandleregistrationmattersshallcomplywiththeprovisionsoflawsandregulations,statehisorheragentidentity,andshallnotforgeoralteranylegalinstrument,seal,orsignatureoruseanyforgedoralteredlegalinstrument,seal,orsignature,shallnottakefraudulent,deceptive,orotherillicitmeans,shallnotinstigate,fabricate,orassistothersinfabricatingorprovidingfalseinformationormaterials;shallnotmaliciouslyapplyforenterpriseregistrationinlargenumbersforthepurposeoftransferringprofits,whichmaydamagepublicinterestordisruptthepublicorder.第七条市场监督管理部门 与国有资产监督管理等部门建立 国有企业登记信息与产权登记信 息共享机制。Article7Marketregulatorydepartments,state-ownedassetssupervisionandadministrationdepartments,andotherdepartmentsshallestablishamechanismforsharingtheregistrationinformationofstate-ownedenterprisesandpropertyrightregistrationinformation.登记机关在办理国有企业登记 时,应当按照有关规定,通过信 息化等方式,查验比对国有企业 登记信息与产权登记信息。信息 查验比对不一致,不符合有关登Theregistrationauthorityshall,inaccordancewiththerelevantprovisions,checkandcomparetheregistrationinformationofastate-ownedenterpriseandpropertyrightregistrationinformationthroughinformationsystem记申请规定的,登记机关不予登 记,并出具不予登记通知书。国 务院有关部门对主管范围内企业 的产权登记另有规定的,依照其 规定。developmentandothermethodswhenhandlingtheregistrationofthestate-ownedenterprise.Iftheinformationisinconsistentuponcheckandcomparisonanddoesnotcomplywiththerelevantregistrationapplicationrequirements,theregistrationauthorityshallrejecttheregistrationandissueanoticeofrejection.IftherelevantdepartmentoftheStateCouncilprovidesotherwiseforthepropertyrightregistrationofenterpriseswithinthescopeofitsjurisdiction,suchprovisionsshallapply.第八条国家市场监督管理 总局建立企业名称预防性保护机 制,完善企业名称禁限用管理制 度,加大企业名称合法权益保护 力度。Article8TheSAMRshallestablishamechanismforthepreventiveprotectionofenterprisenames,improvethemanagementrulesforprohibitingandrestrictingtheuseofenterprisenames,andstrengthentheprotectionoflawfulrightsandinterestsrelatedtoenterprisenames.第九条 企业发现被假冒登 记的,可以向该假冒登记所在登 记机关提出调查申请,并提供相 关证据材料,申请人对申请事项 和证据材料的真实性负责。Article9Whereanenterprisefindsthatitsnamehasbeenfalselyregistered,itmayapplytotheregistrationauthorityattheplacewherethefalseregistrationismadeforinvestigationandproviderelevantevidentiarymaterials,andtheapplicantshallberesponsiblefortheveracityofapplicationmattersandevidentiarymaterials.登记机关在履行职责过程中,发 现假冒企业登记违法行为的,或 者收到有关部门移交的假冒企业 登记违法行为线索的,应当依法 进行调查。Theregistrationauthorityshallconductaninvestigationinaccordancewiththelawifitdiscoversanyillegalactoffalsifyingenterpriseregistrationintheperformanceofitsdutiesorreceivesanycluetotheillegalactoffalsifyingenterpriseregistrationtransferredbytherelevantdepartment.第十条登记机关收到调查 申请后,应当在3个工作日内作 出是否受理的决定,并书面通知 申请人。Article 10 Uponreceiptofanapplicationforinvestigation,theregistrationauthorityshall,withinthreeworkingdays,makeadecisiontoacceptorrejecttheapplicationandnotifytheapplicantinwriting.登记机关受理申请后,应当在3 个月内完成调查,并及时作出撤 销或者不予撤销登记的决定。情 形复杂的,经登记机关负责人批 准,可以延长3个月。Afteracceptingtheapplication,theregistrationauthorityshallcompletetheinvestigationwithinthreemonthsandpromptlymakeadecisiononwhethertorevoketheregistration.Ifthecircumstancesarecomplicated,anextensionofthreemonthsmaybemadewiththeapprovalofthepersoninchargeoftheregistrationauthority.在调查期间,相关企业和人员无 法联系或者拒不配合的,登记机 关可以将涉嫌假冒登记企业的登 记时间、登记事项等信息通过国 家企业信用信息公示系统向社会 公示,公示期45日。If,duringtheinvestigation,therelevantenterpriseorpersonisunabletobecontactedorrefusestocooperate,theregistrationauthoritymaypublicizetheregistrationtime,registrationmatters,andotherinformationofthesuspectedenterprisethroughtheNationalEnterpriseCreditInformationPublicitySystemforaperiodof45days.相关企业及其利害关系人在公示 期内没有提出异议的,登记机关 可以依法撤销其企业登记。Iftherelevantenterpriseoranyofitsinterestedpartiesdoesnotraiseanobjectionduringthepublicityperiod,theregistrationauthoritymayrevokeitsenterpriseregistrationinaccordancewiththelaw.第十一条登记机关依法调 查假冒企业登记违法行为,可以 结合具有法定资质的机构出具的 鉴定意见,或者有关部门出具的 书面意见进行处理。法律、行政 法规另有规定的,依照其规定。Article 11 Wheninvestigatingtheillegalactoffalsifyingenterpriseregistrationinaccordancewiththelaw,theregistrationauthoritymaypunishtheviolatorbasedontheidentificationopinionissuedbyaninstitutionwithstatutoryqualificationsorthewrittenopinionissuedbytherelevantdepartment.Exceptthatitisotherwiseprescribedbyanylaworadministrativeregulation,suchprovisionsshallprevail.第十二条有下列情形之一 的,登记机关应当撤销登记:Article 12 Underanyofthefollowingcircumstances,theregistrationauthorityshallrevoketheregistration:(一)假冒企业登记违法行为事(1) Thefactoftheillegalactoffalsifying实清楚的;enterpriseregistrationisclear.(二)人民法院协助执行通知书 要求配合撤销登记的;(2) Thepeople,scourtsnoticeofassistinginenforcementrequirescooperationinrevokingtheregistration.(三)其他依法应当撤销登记的 情形。(3) Anyothercircumstanceunderwhichtherevocationofregistrationisrequiredbylaw.属于前款第一项规定,但是有证 据证明被假冒企业对其被假冒登 记知情,以明示方式表示同意, 或者未提出异议,并在此基础上 从事过相关管理、经营活动或者 获得收益的,登记机关可以不予 撤销登记。Iftheactfallsunderthecircumstancespecifiedinsubparagraph(1)oftheprecedingparagraph,butthereisevidenceprovingthattheenterpriseofwhichthenameisfalselyusedisawareofthefalseregistrationandexplicitlyconsentedtoit,ordidnotraiseanobjection,andbasedonthis,engagedintherelevantmanagementorbusinessactivitiesorhasobtainedproceeds,theregistrationauthorityisnotrequiredtorevoketheregistration.第十三条被撤销登记的企 业有对外投资设立企业的,该企 业负责人应当依法妥善处理,消 除不良影响。Article 13 Whereanenterpriseofwhichtheregistrationhasbeenrevokedhasformedanenterprisewithforeigninvestment,thepersoninchargeoftheenterpriseshalldealwithitproperlyinaccordancewiththelawtoeliminateadverseeffects.第十四条登记机关作出撤 销登记决定后,应当在20个工 作日内通过国家企业信用信息公 示系统向社会公示。Article 14 Aftertheregistrationauthoritymakesadecisiontorevoketheregistration,itshallannounceittothepublicwithin20workingdaysthroughtheNationalEnterpriseCreditInformationPublicitySystem.撤销设立登记的,标注“已撤销 设立登记”,公示被撤销登记日 期和原因、作出撤销决定的机关 等信息。Ifformationregistrationisrevoked,ttheformationregistrationhasbeenrevokednshallbemarked,andinformationsuchasthedatewhentheregistrationisrevoked,thereasonfortherevocation,andtheauthoritythatmadetherevocationdecisionshallbepublicized.撤销变更登记的,恢复公示被假 冒登记前的信息,同时公示撤销 假冒登记相关信息。Ifmodificationregistrationisrevoked,theregisteredinformationbeforethefalseregistrationshallbereinstatedandtheinformationontherevocationofthefalseregistrationshallbepublicizedatthesametime.撤销注销登记的,恢复公示注销 前的信息,标注“已撤销注销登 记,恢复主体资格”。Ifderegistrationisrevoked,theinformationbeforederegistrationshallbereinstatedanduderegistrationhasbeenrevokedandthesubjectqualificationisresumed11shallbemarked.第十五条 假冒企业被撤销 设立登记、变更登记的,企业应 当缴回营业执照,拒不缴回或者 无法缴回的,由登记机关通过国 家企业信用信息公示系统公告营 业执照作废。假冒企业已领取电 子营业执照的,其电子营业执照 与纸质营业执照同步作废。Article 15 Wheretheformationregistrationormodificationregistrationofafalselyregisteredenterpriseisrevoked,theenterpriseshallreturnitsbusinesslicense;iftheenterpriserefusestoorisunabletoreturnitsbusinesslicense,theregistrationauthorityshallpublishanannouncementoftheinvalidityofitsbusinesslicensethroughtheNationalEnterpriseCreditInformationPublicitySystem.Ifafalselyregisteredenterprisehasobtainedanelectronicbusinesslicense,itselectronicbusinesslicenseandpaperbusinesslicenseshallbeinvalidatedatthesametime.第十六条相关单位或者个 人因涉嫌假冒企业登记已被立案 调查或者移送司法机关的,涉嫌 假冒企业的相关登记申请经审查 违反法律法规规定,或者可能危 害国家安全、社会公共利益的, 登记机关不予登记,并出具不予 登记通知书。Article 16 Wherearelevantentityorindividualissuspectedoffalsifyingenterpriseregistrationandthecasehasbeenfiledforinvestigationortransferredtothejudicialauthority,anditisfounduponexaminationthattherelevantapplicationfortheregistrationofthesuspectedenterpriseviolatestheprovisionsofanylaworregulationormayendangernationalsecurityorpublicinterest,theregistrationauthorityshalldisapprovetheregistrationandissueanoticeofdisapprovalofregistration.第十七条登记机关或者其 上级机关认定撤销登记决定错误 的,可以撤销该决定,恢复原登 记状态,并通过国家企业信用信 息公示系统公示。Article 17 Wheretheregistrationauthorityoritssuperiorauthoritydeterminesthataregistrationrevocationdecisioniserroneous,itmayrevokethedecision,restoretheoriginalregistrationstatus,andpublicizeitthroughtheNationalEnterpriseCreditInformationPublicitySystem.第十八条提交虚假材料或 者采取其他欺诈手段隐瞒重要事 实取得企业登记的,由登记机关 依法责令改正,没收违法所得, 并处5万元以上20万元以下的 罚款;情节严重的,处20万元 以上100万元以下的罚款,吊销 营业执照;对直接责任人依法作 出处理。Article 18 Whereanenterpriseisregisteredbysubmittingfalsematerialsorconcealingimportantfactsthroughotherfraudulentmeans,theregistrationauthorityshall,inaccordancewiththelaw,ordertheviolatortotakecorrectiveaction,confiscateitsillegalincome,andimposeafineofnotlessthan50,000yuannormorethan200,000yuanonit;andifthecircumstancesareserious,imposeafineofnotlessthan200,000yuannormorethanonemillionyuanonitandrevokeitsbusinesslicense;andpunishthedirectlyliablepersonsinaccordancewiththelaw.明知或者应当知道申请人提交虚 假材料或者采取其他欺诈手段隐 瞒重要事实进行企业登记,仍接 受委托代为办理,或者协助其进 行虚假登记的,由登记机关没收 违法所得,处10万元以下的罚 款。中介机构违反本规定第六条 第二款规定,多次从事上述违法 行为,或者性质恶劣、造成严重 后果的,依法从重处罚。Ifanyoneknowsorshouldhaveknownthatanapplicantsubmitsfalsematerialsorconcealsimportantfactsbyotherfraudulentmeanstoregisteranenterprisebutstillacceptstheentrustmenttoundergoregistrationformalitiesonbehalfoftheapplicantorassiststheapplicantinconductingfalseregistration,theregistrationauthorityshallconfiscateitsillegalincomeandimposeafineofnotmorethan100,000yuanonit.Ifanintermediaryviolatesparagraph2ofArticle6oftheseProvisionsandrepeatedlycommitstheaforesaidillegalacts,ortheactsareofaviciousnatureandhavecausedseriousconsequences,aheavierpunishmentshallbeimposedonitinaccordancewiththelaw.第十九条 假冒企业登记违 法行为的直接责任人,自该登记 被撤销之日起3年内不得再次申 请企业登记;受到市场监督管理Article 19 施假冒企业登记违法行为起到决 定作用,负有组织、决策、指挥 等责任的人员,以及具体执行、 积极参与的人员
