:GUARANTEEDSPECIFICATIONS第四条：质量保证Chemicalcomposition(onDrybasis)化学成分(在干燥状态)Fe铁64.50%(Rejectionbelow63.50%)拒绝低于63.5%AI2O3氧化铝2.0%max不高于2.0%SiO2氧化硅3.5%max不高于3.5%Sulphur硫0.01%max不高于0.01%Phosphorus磷0.06%max不高于0.06%Freemoisturecontentlossat105degreesCentigradeshallbe8.00%max.在105摄氏度失去的自然水分含量不能高于8%oPhysicalcomposition(onWetbasis)物理成分(自然状态下)Size(mm)大小+10mm5%max不多于5%+1mm80%min不少于0%-15mm15%max不多于15%US$perDMTCIFportzChina(Incoterms2000).Theabovepriceshallbebasedon64.5%Fe.RejectionbelowFe63.5%basedonCIQanalysisreportatdischargingportandalsorejectionbelowFe64.0%basedonloadingportanalysis._美元/干吨CIF_中国港口Qncoterms2000),这个价格是基于64.5%含铁量的.卖方拒装在出发港检验中低于64%的,同样买方拒收装卸港CIQ检验中低于63.5%含铁的矿石.CLAUSE6:PRICEADJUSTMENT第6条价格调整ThepricesofOrestipulatedinClause5hereofshallbeadjustedbythefollowingbonusesandpenalties:第5条中合同规定的矿石价格需要被以下方式奖罚调整.ORECONTENT(Fe):含铁量BONUS:奖励Foreach1.00%ofFeabove64.5%,thebasepriceshallbeincreasedbyUS$1.00perDMTzfractionsprorata.含铁量每比64.5%高1%,基本价格应该提高1美金/千吨PENALTY不合格处罚Foreach1.00%ofFebelow64.5%,thebasepriceshallbedecreasedbyUS$1.00perDMTzfractionsprorata.ButBuyerhastherighttorejectOrewhichisFecontentisbelow63.5%.含铁量每比64.5%低1%,基本价格应降低1美金/千吨,但买方有权拒收含铁量低于63.5%的.OTHERELEMENTS(IMPURITIES):其他杂质IfthecompositionofOreinrespectofAlumina(AI2O3)zSilica(Sio2),Sulphur(三)andPhosphorus(P)exceedstherespectiveguaranteedmaximumassetforthinClause4hereof,BuyershallacceptsuchdeliveryofOrebyimposingpenaltiesprovidedbelowzfractionsprorata.如果矿石的氧化硅,氧化铝,硫,磷的成分超过了第四条内容规定的保证值,买方应接受交货按比例处以（卖方）罚金，US$5(Five)centsperDMTforeach0.01%inexcessof0.06%含量超过006%的每增加0.01%,0.5美元T吨MOISTURE:水分Intheeventthatthefreemoisturelossat105degreesCentigradeexceedstherespectiveguaranteedmaximumassetforthinClause4hereof,SellershallpayBuyerhalfoftheactualfreightattributabletomoisturecontentover8%upto9%including9%andfullactualfreightattributabletomoisturecontentover9%.当矿石在105摄氏度下蒸发的自然水分超过第四条所承诺的最大值时,卖方应赔付买方：1)水分的一半运费大于8%小于等于9%时;2)水分的全部运费大于9%时CLAUSE7:PAYMENT第7条交付方式Buyershallopenwithinseven(7)workingdaysafterthedateofthiscontract,onatsightLetterofCredit("L/C")infavorofSellerprovidingforpaymentofthefullinvoicevalueofquantityofOre.TheLCshouldcontainthefollowingtermsandconditions:买方应在签订合同后的7个工作日内,开可见信用证信用证应符合以下条款条件：(i) TheL/CshallbeissuedortransferredbyFirstClassBank.AllbankingchargesoutsidetheL/CissuingbankincludingreimbursingchargesandconfirmationchargesarefortheaccountoftheBeneficiary.(ii) 信用证应由一级银行开证并转交,所有除开证行之外的银行费用,包括支付行费用和保兑费用,由受益人支付.(iii) 1./Cshallallowfor10%moreorlessinvalueandquantity.信用证价值和数量应允许10%的增减.(iv) Charterpartybillsofladingacceptable.租约项下提单可接受(v) ThirdpartydocumentsacceptableexceptforDraftandInvoice.除汇票和发票外的第三方票据。(A) ProvisionalPayment预支付款项TheaforesaidL/CshallbepayableagainstSeller7ssightdraft(s)fortheamountofninety-five(95)percentoftheCIFvalueoftheshipmentaccompaniedbythedocumentsasstipulatedinClause8hereof.TheCertificateofWeightissuedbySGSBrazilPrivate,Ltd.(lzSGSBraziz)inBrazilbysurveyofship'sdrafttogetherwiththeCertificateofAnalysisofsampleandofthepercentageofthefreemoisturelossat105degreesCentigradeissuedbySGSBrazilshallbeabasisfortheSeller'sprovisionalinvoicefortheprovisionalpayment.前述信用证根据卖方开出的CIF条件装运价值的95%即期汇票和第8条中所规定的其他票据予以兑付。由巴西SGS公司出具的并由船运提单测量的重量证明，以及SGS公司出具的样品分析证明和在105华氏温度下除湿的百分比证明作为销售方开具临时发票的依据。(B) FinalPayment结清款项Thebalance(+/-)oftheCIFvalueoftheshipmentaftertheprovisionalpaymenttoSellershallbesettledinaccordancewithSeller*sdraftpayableatsighttogetherwiththefinalinvoiceandthedocumentsstatedinClause8.(2)hereoforbytelegraphictransferbySellertoBuyerinaccordancewithBuyer'sdebitnotetoSellertogetherwiththedocuments(exceptSeller*sfinalinvoice)statedinClause8.(2)hereofwithinten(10)daysfromthedateofreceiptofthesaiddocuments,asthecasemaybe.ThevalidityoftheL/Cshouldbemaintainedinaccordancewiththeabove.预支付款之后的装运QF价款之余额应按照出卖人的即期汇票、结算发票以及本合同第8.2条中规定的其他票据予以支付或者根据购买方向出卖人提交的借方通知连同本合同第8.2条中规定的其他票据(不包括出卖人的结算发票)电汇。付款时间为收到上述票据后10天之内，或者视情况而定。信用证的有效期根据上述情况而定。Seller'sfinalinvoiceorBuyer*sdebitnoteforthesettlementofthebalanceoftheCIFvalueoftheshipmentshallbebasedonthecertificateissuedbytheStateGeneralAdministrationofthePeople'sRepublicofChinaforQualitySupervisionandInspectionandQuarantineoritsbranches(collectivelyzzCIQChina")asprovidedinClause8andClause9hereof.IfanumpireanalysisisrequiredundertheClause10hereof,paymentadjustmentarisingfromthiswillbemadewhentheumpire*scertificateisavailable.作为装运CIF货款的结算的卖方结算发票和买方借方通知应依据本合同第8和9条规定有中国商检总局或分支机构颁发的证明。如果根据第10条规定需要裁定分析，可以根据裁定证明予以调整。IfBuyerisnotabletosubmittoSellertheInspectionCertificateissuedbyCIQChinaasperClause9hereofwithinseventyfive(75)daysafterthecompletionofdischarging,theDraftSurveyCertificateofWeightandCertificateofAnalysisatloadingportshallbethebaseofthefinalinvoiceordebitnote.如果在卸货后75天之内买方没有按照第9条之个规定提交中国商检证明，装货港的重量证明与检测证明则为结算发票和借方通知的依据。IfthecargoisrejectedbasedonCIQanalysisreportSellershallrefundtheamountvideClause7（八）ProvisionalPayment,within30daysafterthereceiptoftheCIQanalysisreport.如果根据中国商检的检测报告拒收货物，出卖人则应按照第7A条之规定在收到中国商检检测报告的30天之内返还预付款项。Buyer,Sbankingdetails:买方银行信息Seller'sbankdetails:卖方银行信息
