The State rewards and commends organizations and individuals that have made outstanding contributions to the development of the undertakings of privately-run schools.励和表彰。第七条国务院教育行政部门负责全国民办教育工作的统筹规划、综合协调和宏观管理。国务院人力资源社会保障行政Article 1 The administrative department for education under the State Council shall be in charge of the overall planning, comprehensive coordination and macro-administration of the work relating to privately-run schools nationwide. The administrative department(s) for human resources and social security and the relevant departments under the State Council shall respectively be in charge of the work relating to the privately- run schools within the scope of their duties as defined by the 12 The establishment of privately-run schools that provide education for academic credentials, pre-school education, training for preparing self-study examinations and other cultural education shall be subject to examination and approval by the administrative departments for education under the people's governments at or above the county level within the limits of their powers as defined by the State; the establishment of privately-run schools that mainly provide training for vocational skills, including training for vocational qualification, shall be subject to examination and approval by the administrative department(s) for human resources and social security under the people's governments at or above the county level within the limits of their powers as defined by the State, which shall send a copy of the approval document to the administrative department for education at the same level for the record.第十三条申请筹设民办学校,举办者应当向审批机关提交下Article 13 To apply for preparing to establish a privately-run school, the sponsor shall submit the following materials to the examination and approval authority: (1) an application, the列材料:(一)申办报告,内容应当主要包括:举办者、培养目标、办学contents of which mainly include: the sponsor, the aims of education, size of the student body, level of the school, forms of education, conditions for establishing and running the school, internal management system, raising effective管理使用等;certificates, in which the property rights are clearly stated; and(二)举办者的姓名、住址或者名称、地址;(4) where the assets of the school are donated, an agreement on the donations, in which the names of the donators, the amount of the assets donated, their use and management, and the relevant effective certificates are clearly stated.(三)资产来源、资金数额及有效证明文件,并载明产权;(四)属捐赠性质的校产须提 交捐赠协议,载明捐赠人的姓名、 所捐资产的数额、用途和管理方法 及相关有效证明文件。第十四条 审批机关应当自受 理筹设民办学校的申请之日起三十 日内以书面形式作出是否同意的决 定。同意筹设的,发给筹设批准书。不同意筹设的,应当说明理Article14Theexaminationandapprovalauthorityshall,within30daysfromthedateitreceivestheapplicationforpreparingtoestablishaprivately-runschool,makeadecisioninwritingonwhethertoapproveitornot.Ifitapprovestheapplication,itshallissueawrittenapprovalforpreparingtoestablishtheschool;andifitdoesnotapprovetheapplication,itshallexplainthereasons.Theperiodofpreparationforestablishmentofsuchaschoolshallnotexceedthreeyears;andifitexceedsthreeyears,thesponsorshallrenewitsapplication.筹设期不得超过三年。超过三年的,举办者应当重新申报。4士E上Article15Toapplyforofficialestablishmentofaprivately-run第十五条申请正式设立民办school,thesponsorshallsubmitthefollowingmaterialsto学校的,举办者应当向审批机关提theexaminationandapprovalauthority:(1)thewrittenapproval,1,.lforpreparingtoestablishtheschool;交下列材料:、(2)areportonthepreparationsmadefortheestablishment;(一)筹设批准书;(3) effectivecertificatesoftheassetsoftheschool;and事会、董事会或者其他决策机构组(5) qualificationcertificatesoftheprincipal,teachers,andbook-成人员名单;keepersandaccountants.(四)学校资产的有效证明文件;(五)校长、教师、财会人员第十六条具备办学条件,达 到设置标准的,可以直接申请正式 设立,并应当提交本法第十三条和 第十五条(三)、(四)、(五)的资格证明文件。Article 16 Whereconditionsfortheestablishmentofaschoolaresatisfiedandthestandardsforestablishmentarereached,anapplicationmaydirectlybemadeforitsofficialestablishment,andthematerialsspecifiedinArticle13andItems(3),(4)and(5)ofArticle15ofthisLawshallbesubmitted.项规定的材料。第十七条申请正式设立民办学校的,审批机关应当自受理之日起三个月内以书面形式作出是否批 准的决定,并送达申请人;其中申 请正式设立民办高等学校的,审批 机关也可以自受理之日起六个月内 以书面形式作出是否批准的决定,Article 17 Whereanapplicationforofficialestablishmentofaprivately-runschoolismade,theexaminationandapprovalauthorityshall,withinthreemonthsfromthedateitreceivestheapplication,makeadecisioninwritingonwhethertoapproveitornot,andservethedecisionontheapplicant;andwhere,inthisregard,anapplicationismadefortheofficialestablishmentofaprivately-runinstitutionofhighereducation,theexaminationandapprovalauthoritymay,withinsixmonthsfromthedateitreceivestheapplication,likewisemakeadecisioninwritingonwhethertoapproveitornotandservethedecisionontheapplicant.并送达申请人。第十八条审批机关对批准正 式设立的民办学校发给办学许可 证。审批机关对不批准正式设立 的,应当说明理由。第十九条民办学校的举办者 可以自主选择设立非营利性或者营 利性民办学校。但是,不得设立实 施义务教育的营利性民办学校。非营利性民办学校的举办者不 得取得办学收益,学校的办学结余 全部用于办学。营利性民办学校的举办者可以 取得办学收益,学校的办学结余依 照公司法等有关法律、行政法规的 规定处理。民办学校取得办学许可证后, 进行法人登记,登记机关应当依法 予以办理。第三章学校的组织与活动第二十条民办学校应当设立Article 18 Theexaminationandapprovalauthorityshallissuealicenseforestablishmentofaschooltotheprivately-runschoolfortheofficialestablishmentofwhichitgivesapproval.Wheretheexaminationandapprovalauthoritydoesnotapprovetheofficialestablishmentofaprivately-runschool,itshallexplainthereasons.Article 19 Thesponsorsofprivately-runschoolsmayestablishnon-profitorfor-profitprivately-runschoolsattheirowndiscretion.However,theyshallnotestablishfor-profitprivately-runschoolsprovidingcompulsoryeducation.Thesponsorofanon-profitprivately-runschoolshallnotgainproceedsfromschoolrunning,andthecashsurplusoftheschoolshallbeusedforschoolrunning.Thesponsorofafor-profitprivately-runschoolmaygainproceedsfromschoolrunning,andthecashsurplusoftheschoolshallbedisposedofinaccordancewiththeCompanyLawandotherrelevantlawsandadministrativeregulations.Whereaprivately-runschoolappliesforregistrationasalegalpersonafterobtainingthelicenseforestablishment,theregistrationauthorityshallhandlethematterinaccordancewiththelaw.ChapterIIIOrganizationsandActivitiesofSchoolsArticle20Aprivately-runschoolshallestablishanexecutivecouncil,aboardofdirectorsorotherformsofdecision-学校理事会、董事会或者其他形式makingb0disandstab,ishthcorrespondingsupervisionmechanism.Thesponsorofaprivately-runschoolshall的决策机构并建立相应的监督机participateinschoolrunningandmanagementinaccordancewithpowersandproceduresspecifiedintheclausesofarticlesof带IJOassociationoftheschool.民办学校的举办者根据学校章程规定的权限和程序参与学校的办学和管理。第二十一条学校理事会或者Article21Theexecutivecouncilortheboardofdirectorsofaprivately-runschoolshallbecomposedofthesponsorsor董事会由举办者或者其代表、校theirrepresentatives,theprincipal,andtherepresentativesof长、教职工代表等人员组成。其中theteachersandstaffmembers.Morethanone-thirdofthecouncilmembersordirectorsshall,atleast,havefiveyears,三分之一以上的理事或者董事应当educationorteachingexperienceeach.Theexecutivecouncil具有五年以上教育教学经验。ortheboardofdirectorsofaprivately-runschoolshallbecomposedofnotlessthanfivepersons,withoneofthemservingaschairmanofthecouncilorboard.Thenamelistofthechairman学校理事会或者董事会由五人andmembersofthecouncilorthechairmanoftheboardand以上组成,设理事长或者董事长一directorsshallbesubmittedtotheexaminationandapprovalauthorityfortherecord.人。理事长、理事或者董事长、董事名单报审批机关备案。第二十二条学校理事会或者Article22Theexecutivecouncilortheboardofdirectorsofaprivately-runschoolshallexercisethefollowingfunctionsand董事会行使下列职权:powers:(1)toappointanddismisstheprincipal;(一)聘任和解聘校长;(2)toamendthearticlesofassociationoftheschoolandformulaterulesandregulationsoftheschool;(二)修改学校章程和制定学(3)tomakedevelopmentplansandapproveannualworkplans;校的规章制度;(4)toraisefundsforrunningtheschool,andexamineandverifythebudgetsandfinalaccounts;(三)制定发展规划,批准年(5)todecideonthesizeandthewagestandardsoftheteachers度工作计划;andstaffmembers;(6)todecideonthedivision,mergingandterminationofthe(四)筹集办学经费,审核预school;and算、决算;(7)todecideonotherimportantmatters.(五)决定教职工的编制定额Thefunctionsandpowersofotherformsofdecision-makingbodiesshallbedefinedinreferencetotheprovisionsofthisArticle.和工资标准;(六)决定学校的分立、合并、终止;(七)决定其他重大事项。其他形式决策机构的职权参照本条规定执行。第二十三条民办学校的法定Article23Thechairmanoftheexecutivecouncilortheboardofdirectorsortheprincipalofaprivately-runschoolshall代表人由理事长、董事长或者校长serveasthelegalrepresentativeoftheschool.担任。第二十四条民办学校参照同Article24Aprivately-runschoolshall,inreferencetothequalificationsfortheprincipalofagovernment-runschoolof级同类公办学校校长任职的条件聘thesamegradeandcategory,appointitsprincipal,andthe任校长,年龄可以适当放宽。agelimitmayappropriatelybeextendedbothways.第二十五条民办学校校长负Article25Theprincipalofaprivately-runschoolshallbeinchargeofeducation,teachingandadministrationofthe责学校的教育教学和行政管理工school,andexercisethefollowingfunctionsandpowers:(1)作,行使下列职权:tocarryoutthedecisionsmadebytheexecutivecouncil,boardofdirectorsoranyotherformofdecision-makingbody;(一)执行学校理事会、董事(2)toputintoexecutionthedevelopmentplans,drawuptheannualworkplansandfinancialbudgets,andformulatetherules会或者其他形式决策机构的决定;
