为深入贯彻习近平新 时代中国特色社会主义思想，坚持 和加强党的全面领导，建设中国特 色现代企业制度，充分发挥公司章 程在公司治理中的基础作用，规范 公司章程管理行为，根据中国共 产党章程、中华人民共和国公 司法（以下简称公司法）、中华人民共和国企业国有资产 法（以下简称企业国有资产 法）等有关规定，按照国务院 办公厅关于进一步完善国有企业法Article1TheseMeasuresareenactedinaccordancewiththeConstitutionoftheCommunistPartyofChina,theCompanyLawofthePeople'sRepublicofChina(hereinafterreferredtoastheCompanyLaw),theLawofthePeople'sRepublicofChinaonState-ownedAssetsofEnterprises(hereinafterreferredtoastheLawonState-ownedAssetsofEnterprises)andotherrelevantprovisions,theGuidingOpinionsoftheGeneralOfficeoftheStateCouncilonFurtherImprovingtheCorporateGovernanceStructureofState-ownedEnterprises(GuoBanFa2017No.36)andotherdocumentsandinlightoftheactualitiesofstate-ownedenterprises(SOEs)forthepurposesofthoroughlyimplementingXiJinping'sthoughtonsocialismwithChinesecharacteristicsforanewera,adheringtoandstrengtheningtheoverallleadershipoftheParty,establishingamodernenterprisesystemwithChinesecharacteristics,givingfullplaytothefundamentalroleofarticlesofassociationincorporategovernanceandregulatingthemanagementofarticlesofassociation.人治理结构的指导意见（国办发（2017）36号）等文件的要求，结合国有企业实际，制定本办法。第二条国家出资并由履行出 把关。对于国有相对控股企业的党建generaldirection,controltheoverallsituationandguaranteetheimplementationofpolicies,anddiscussanddecideonmajorissuesofthecompanyinaccordancewiththerelevantprovisions;itshouldalsospecifythatitshalladheretoandimprovetheleadershipsystemof"two-wayentry,overlappingpositionholding',andrelevantrequirements.AnSOEthathassetupthePartybranch(generalpartybranch)ofacompanyshouldspecifythatthePartybranch(generalpartybranch)ofthecompanyshallcarryoutworkfocusingonproductionandoperationandplayitsroleasfightingfortress.ThePartybranch(generalpartybranch)ofanenterprisethathasthedecision-makingpowerinrespectofmajorpersonnel,financialandmaterialmattersshouldspecifythattheprincipalofthePartymemberoftheenterprisegenerallyservesassecretaryandcommitteemembers,andthePartybranch(generalpartybranch)shallconductacollectivestudyandcheckonthemajormattersoftheenterprise.ForthePartybuildingworkinarelativelystate-controlledenterprise,aSOEshall,inlightoftheenterprise'sequitystructure,operationmanagementandotherpractice,fullylistentotheopinionsofothershareholders,includinginstitutionalinvestors,andwritethebasicrequirementsforthePartybuildingworkintothearticlesofassociationbyreferringtotherelevantprovisionsandthecontentofthisarticle.工作，需结合企业股权结构、经营管理等实际，充分听取其他股东包括机构投资者的意见，参照有关规定和本条款的内容把党建工作基本要求写入公司章程。第十条董事会条款应当明确 董事会定战略、作决策、防风险的 职责定位和董事会组织结构、议事 规则；载明出资人机构或股东会对 董事会授予的权利事项；明确董事 的权利义务、董事长职责；明确总 经理、副总经理、财务负责人、总 法律顾问、董事会秘书由董事会聘 任；明确董事会向出资人机构（股 东会）报告、审计部门向董事会负 责、重大决策合法合规性审查、董 事会决议跟踪落实以及后评估、违 规经营投资责任追究等机制。国有独资公司、国有全资公司 应当明确由出资人机构或相关股东 推荐派出的外部董事人数超过董事 会全体成员的半数，董事会成员中的职工代表依照法定程序选举产生。Article 10 Theclausesontheboardofdirectorsshouldspecifythefunctionsanddutiesoftheboardofdirectorsinformulatingstrategies,makingdecisionsandpreventingrisks,aswellastheorganizationalstructureandrulesofprocedureoftheboardofdirectors;suchclausesshouldspecifythepowersgrantedbycapitalcontributorsorboardofshareholderstotheboardofdirectors;suchclausesshouldalsospecifytherightsandobligationsofdirectorsandthedutiesofthechairmanoftheboard;moreover,theyshouldspecifythatthegeneralmanager,thedeputygeneralmanager,chieffinancialofficer,thegeneralcounselandthesecretaryoftheboardofdirectorsshallbeappointedbytheboardofdirectors,andspecifythemechanismsthattheboardofdirectorsshallreporttocapitalcontributors(boardofshareholders),thattheauditdepartmentshallbeaccountabletotheboardofdirectors,andthelegalityandcomplianceofmajordecisions,thetrackingandimplementationofresolutionsoftheboardofdirectors,thepost-evaluation,andtheinvestigationforliabilityforunlawfuloperationandinvestment.Asolelystate-ownedcompanyorawhollystate-ownedcompanyshallmakeclearthatthenumberofexternaldirectorsrecommendedbycapitalcontributorsorrelevantshareholdersshallexceedhalfofthemembersoftheboardofdirectors,andthatemployeerepresentativesamongthemembersoftheboardofdirectorsshallbeelectedinaccordancewithlegalprocedures.第十一条经理层条款应当明
