.,一家根据中华人民共和国法律合法成立并存续的有限责任公司，注册地址位于(下称“合作方”或“卖方。本合同以中文和英文书写，中文文本与英文文本不一致时，以中文文本为准。ThisEquipmentProcurementFrameworkContract("Contract")issignedasofbybothofthefollowingin，forthepurposeofstipulatingthebasicmattersOfEquipmenttransaction.1.,alimitedliabilitycompanylegallyestablishedandexistingunderthelawsofthePeople'sRepublicofChina,withitsregisteredaddressat(Buyer,');2.,alimitedliabilitycompanylegallyestablishedandexistingunderthelawsofthePeople'sRepublicofChina,withitsregisteredaddressat("Partner"or"Seller"),ThisContractiswritteninbothChineseandEnglish,andChineseversionshallgovernwhenthereisconflict.一、定必DEFINrnoNS1 .“本合同''指本设备采购框架合同、订单以及相关附件。“ThisContracf,meanstheEquipmentProcurementFrameworkContract,Orderandrelevantattachments.2 .“订单”指买方根据本合同发给卖方的包含设备名称、规格型号、式样、材质、数量、交货期、交付地点、贸易条款和付款方式等具体要素的正式订货通知。“Order“referstotheformalordernoticeissuedbyBuyertoSellerinaccordancewiththisContract,whichcontainsspecificelementssuchasthedevicename,Specification,model,style,material,quantity,deliverydate,deliverylocation,tradetenns,andpaymentmethod.3 .“设备”指订单列明的设备及设备正常运行所需的配套软件或卖方特别授权买方使用的软件。“Equipment“meanstheequipmentdescribedinthespecificOrderandthesoftwareneededbytheequipmentforthenormaloperationorauthorizedbySellertoBuyer.4 .“买方场所”指设备的交货地点、以及设备安装调试和使用地点。“Buyer'sSiteMmeanstheplaceofdeliveryandthelocationwheretheEquipmentwillbeinstalledandused.二、适用范围/ApplicationScope1 .本合同适用于买方按照本合同的条款和条件购买设备，且卖方按照本合同的条款和条件出售设备的交易，还适用于买方为委托人，卖方为承包人的委托定作设备的交易。ThisContractappliestothepurchaseofEquipmentbetweenBuyerandSellerinaccordancewiththetermsandconditionsofthisContract,andappliestothecustomer-madeworkofEquipmentbetweenBuyer(ashirer)andSeller(asHiree).2 .本合同规定的内容，除订单有特别约定的外，订单优先于本合同适用。UnlessotherwisespecifiedintheOrder,theOrdershallbeappliedwithpriorityoverthisContract.三、订单的成立/EstablishmentofOrder1 .买方可以通过电子邮件、传真、快递或卖方人员签收等方式向卖方送达订单。在订单到达卖方之前或之时，买方有权通知卖方撤回订单，订单撤回后，该订单对双方不再具有约束力，双方互不负有任何法律义务。BuyershallissuetheOrdertoSellerbye-mail,fax,courierortheSeller'sstafftosignforit.BeforeoratthesametimewhentheOrderreachedSeller,theOrdermaybewithdrawnbyBuyer.AftertheOrderiswithdrawn,theOrderisnolongerbindingonbothparties,andthepartiesshallnotbearanylegalobligationstoeachother.2 .卖方应自订单送达之日起三(3)日内以书面形式或电子邮件形式通知买方是否接受此订单，无正当理由卖方无权拒绝接受订单。如果在此期限内卖方未书面通知买方是否接受该订单的，视为卖方接受此订单、同意订单及订单附件条款。SellershallnotifyBuyerwithinthree(3)daysofreceiptoftheOrderinwritingorbye-mailtoacceptorrejecttheOrder.SellershallnotrejecttheOrderwithoutanyjustifiedreason.IfSellerdoesn,tinformBuyerwhethertheOrderisacceptedornotwithintheabovetimelimit,itshallbedeemedthatSellerhasacceptedtheOrderanditsattachments.3 .在利用联网系统提供订单时，因通信回路、电子计算机等发生故障等原因，订单未及时到达卖方处的，卖方应及时告知买方上述情况,买方须迅速地制定订单。WhennetworkingsystemisusedtoprovideOrder,whiletheOrderfailstoarriveatSellerintimeduetofailureofcommunicationcircuit,computerandsoon,assoonasSellerrealizesthatitdoesnotreceivetheOrderfromBuyer,SellershallinformBuyerofthateffectintime,andBuyershallquicklymakeanOrder.4 .因交货期细分或式样复杂而无法在订单上记载时，买方可以不在订单上记载交货期或式样而发出，在此情况下，买方应在订单上列明适用的式样书等文件的编号或在订单外一并开具表明设备品名、式样、单价、交货期、数量、交付地点、贸易条款、支付方式、包装方法等明细作为订单附件，对于卖方的同意适用本条第1款的判断规定。WhereitisunabletospecifyintheOrderduetothecomplexityofthedescriptionorthebreakdownofdeliveryschedulefortheEquipment,BuyershalllistthefilenumberoftheapplicabledocumentintheOrder,orspecifydevicename,type,unitprice,deliverytime,quantity,deliverylocation,tradeterms,paymentorder,packagingmethodoftheEquipmentasanannextotheOrder.FordeterminingtheconsentofBuyer,theprovisionsofparagraph1ofthisArticleshallbeapplied.5 .买方有权随时撤销订单。未实质性履行的，买方不承担任何赔偿或补偿责任；卖方实质性履行的专有件订单，卖方有权要求买方给予适当补偿。TheOrdermayberevokedbyBuyeratanytime.IftheOrderisnotsubstantiallyperformed,Buyershallnotbeliableforanycompensation;SellershallrequesttheappropriatecompensationfromBuyeronlyupontheOrderforthecustomer-madeworksofEquipmentsubstantiallyperformed.6 .买方发生设计变更、生产变更等事由时，有权变更设备的式样、单价、交货期、数量、交付地点及付款条件，但应对因此导致的卖方损失承担赔偿责任。Buyercanchangethestyle,unitprice,deliverytime,quantity,placeofdeliveryandPaymentconditionsoftheEquipmentuponthemodificationofdesignandproduction,andshallbeliableforSeller,slosscausedbytheforegoingchanges.四、设备价格及支付/PriceandPayment1 .设备价格以订单为准。在订单没有其他特殊约定的情况下，交易币种为，买方在验收合格且收到卖方开具的全额有效发票（或形式发票）之日起六十（60）日内以汇款或信用证形式支付设备价格（质保金除外）。ThepriceoftheEquipmentissubjecttotheOrder.Transactioncurrencyis,andBuyershallpaySellerthepriceoftheEquipment（exceptqualityguaranteedeposit）bywiretransferorbyanirrevocableletterofcreditwithin60daysfromthedateofpassingtheAcceptanceandreceiptofthefullvalidinvoice（orforminvoices）exceptasotherwiseagreedintheOrder;2 .在订单没有其他特殊约定的情况下，订单所列总价格已包含卖方为签订及履行本合同所可能发生的全部费用及税费。除此之外，买方无须另行支付任何费用。OtherthanasexpresslyagreementintheOrder,thepriceoftheEquipmentincludesa11coststhatmaybeincurredbySellerintheexecutionandperformanceofthisContract.Beyondthat,Buyershallnotpayanotheradditionalfee.3 .买方有权在任何时候以买方对卖方的任何索赔或收费抵销卖方应向买方支付的任何款项。BuyerisentitledtosetoffamountsclaimedtobeowedbySelleragainstamountsowingtoSellerwhetherarisingunderthisContractoranyotheragreementsbetweentheparties.五、包装、运输及交货/Packaging、TransportationandDelivery1.在订单没有其他特殊约定的情况下，设备的包装、装运由卖方负责，设备的装运包装应符合以下要求：OtherthanasexpresslyagreementintheOrder,packagingandshippingoftheEquipmentaretheresponsibilityofSeller.PackagingandshippingoftheEquipmentshallmeetthefollowingrequirements:a.应使用坚固的木质箱包装，包装须防潮，防震、防腐蚀并耐粗暴搬运，且适于远距离海陆空运输及气候变化；Tobepackedinstrongwoodencase(三)thenincontainer,suitableforlongdistanceocean,land,airfreighttransportationandchangeofclimate,wellprotectedagainstmoisture,corrosionandshocksandroughlyportage；b.由于包装不良所造成的设备损毁和费用以及由于卖方采取不充分或不恰当的包装保护措施造成的锈蚀，由卖方承担损失；SellershallbeliableforanydamageoftheEquipmentandexpensescausedbypoorpackagingandthecorrosioncausedbySeller,sinadequateorinappropriatepackagingprotectionmeasures；c.一整套保养及使用说明应一起装箱，木质包装材料需经热处理并加施IPPC标识，且IPPC标识必须可见于每个木质包装上；OnefullsetofMaintenanceandoperationinstructionsconcernedshallbeenclosedinthecase(三).WoodenpackageshallhavebeenheattreatedandaffixedwithIPPCmark.TheIPPCstampsshallbeavailableoneachofthewoodenpackages；d.主要装运标志和“防潮”、“小心轻放”、“此而朝上”字样必须印于在每个包装上；订单号、目的地、收货人、货物名称、箱号、毛重、净重和尺寸必须在侧面装运标志中注明；Themainshippingmarksandwording:"KEEPAWAYFROMMOISTURE''JHAND1.EWITHCARE”,"THISSIDEUP,mustbeprintedoneachpackingcases;Ordernumber,destination,consignee,nameoftheEquipment,packagenumber,grossweight,netweightandmeasurementmustbestipulatedinsideshippingmarks；e.如果设备重量为2公吨或超过2公吨，则应用中文或英文在每个箱子的两面标明重心、起重位置，并附适当的指示性标记，以便于装卸及操作；ShouldanyEquipmentweightwo(2)ormorethantwo(2)metrictons,thecenterofgravityandhoistingpositionshallbemarkedinChineseorEnglishandwiththeappropriatemarkingsontwosidesofeachcasesoastofacilitateloadingandhandling,f卖方应在设备装运完毕后立即用电传、信件、传真或邮件方式通知买方发票及装箱单信息，内容应包括订单号、货名、数量、发票总额、毛重、装箱单及发票信息等；UponthecompletionoftheloadingoftheEquipment,SellershallimmediatelyinformBuyeroftheinformationcontainedinpackinglistandinvoicebytelex,letter,faxoremail,includingbutnotlimittoordernumber,name,quantity,totalinvoice,grossweight,packinglist,invoiceinformation；g.根据买方的要求，卖方应向买方提供为准确确定设备HSCode所需的全部材料，否则视为卖方根本违反合同义务。AccordingtoBuyer'srequest,SellershallprovideBuyerwithallthematerialsrequiredtoaccuratelyjudgetheHScodeoftheEquipment,otherwiseitshallbedeemedthatSellerisfundamentalbreachofthisContract.2.除订单另有约定外，买方场所为买方公司地址。在约定的交货日，卖方应按照本合同约定将设备交至买方指定地点，双方约定的贸易条件适用2010年国际贸易术语解释通则，设备所有权自买方接收时转移至买方,所有权转移至买方之前的设备灭失和/或损坏风险由卖方承担。UnlessotherwiseagreedintheOrder,Buyer,sSiteisBuyer,saddress.OnthedeliverydatetobeagreeduponbytheParties,SellershallcausetheEquipmenttobedeliveredinaccordancewiththisContractandtheagreedtermsoftradeshallbegovernedbyIncoterms2010.TheownershipoftheEquipmentshallbetransferredtoBuyeruponthedelivery.Theriskoflossesand/ordamagesoftheEquipmentshallbebornebySellerbeforetheownershipoftheEquipmenttransferredtoBuyer.六、设备月艮务/ServiceofEquipment1 .除订单另有明确约定外，卖方负责设备在买方场所的安装和调试，各方确认该服务相关的费用已包含在本合同第四条约定的设备价款中。卖方应与买方合作以保证设备迅速投入生产，尽可能缩短停工期。UnlessotherwiseagreedintheOrder,SellershallberesponsibleforinstallinganddebuggingtheEquipmentatBuyer*sSiteandthePartiesacknowledgethattherelatedcostsforsuchserviceshavebeenincludedinthepriceoftheEquipmentstipulatedinArticle4.SellershallcooperatewithBuyersothatthetransferoftheEquipmentisdoneexpeditiouslytominimizethedowntime.2 .除订单另有明确约定外，卖方应当在买方书面要求的期限内完成设备的安装及调试。如超出叵日卖方仍未完成按照安装或调试的，买方可以委托第三方进行，因此产生的费用由卖方承担，且卖方应当与该方一同向买方对设备安装调试承担连带责任。UnlessotherwiseagreedintheOrder,SellershallcompleteinstallinganddebuggingtheEquipmentbeforetheduedaterequiredbyBuyer.Fordelayininstallingordebuggingforaperiodinexcessoffifteendays,BuyercanentrustathirdpartyandtherelevantexpensesincurredshallbebornebySeller,andSellershall,togetherwiththethirdparty,bearthejointandseveralliabilitytoBuyerforinstallinganddebuggingtheEquipment.七、买方场所内部规定遵守/CompliancewiththeInternalRegulationsofBuyer,sSite卖方委派至买方场所的员工应遵守买方场所内部管理规定，如有违反的，卖方应承担由此给买方及第三方造成的全部损失，且卖方应当按照买方场所的内部规则承担相应的不利后果。TheemployeesassignedbySellertoBuyer'sSiteshallabidebytheinternalmanagemeritregulationsofBuyer,sSite.Ifthereisanyviolation,SellershallbearallthelossescausedtoBuyerandathirdparty,andthecorrespondingadverseconsequencesinaccordancewiththeinternalmanagementregulationsofBuyer5sSite.八、接收检查与设备验收/ReceivingInspectionandEquipmentAcceptance1.买方或买方受托人接收设备前，有权与卖方共同对设备外包装及数量等情况进行检查(“检查”)。如外包装损坏或设备数量有缺失的，买方有权拒绝接收或要求卖方立即完成补充交货，且交货期均不顺延；买方有权拒绝接收超出订单所列的设备。如卖方未参与检查的，视为卖方自动放弃参加检查的权利，且买方或买方受托人做出的检查结果对卖方有约束力。BuyerorBuyer'sagentshallinspecttheouterpackingandquantityoftheEquipment("Inspection”)togetherwithSellerbeforereceivingtheEquipment,whereouterpackingoftheEquipmentisdamagedorthequantityoftheEquipmentismissing,Buyermayrefusetoreceive,oraskSellertocompletethesupplementarydeliveryimmediately,andthetimelimitofdeliveryisnotpostponed;TheEquipmentbeyondtheOrderlistedmayberejectedbyBuyer,whereSellerdoesnotparticipateintheInspection,Sellershallbedeemedtowaivetherighttoparticipateintheinspection,andtheInspectionresultsmadebyBuyerorBuyer'sagentshallbebindingonSeller.2.在设备到达买方场所且安装调试完毕后，买方或其受托人有权与卖方共同按照本合同对确认设备数量并检查设备质量，如卖方未参与设备验收的，视为卖方自动放弃参加验收的权利，且买方或买方委托人做出的验收结果对卖方有约束力。AfterthearrivaloftheEquipmentatBuyer,sSiteandthecompletionoftheinstallationanddebugging,BuyerorBuyer'sagentshallconfirmthequantityoftheEquipmentandinspectthequalityoftheEquipment("Acceptance")togetherwithSellerinaccordancewiththisContract,whereSellerdoesnotparticipateintheAcceptanceoftheEquipment,SellerisdeemedtowaivetherighttoparticipateintheAcceptance,andtheAcceptanceresultsmadebyBuyerorBuyer,sagentshallbebindingonSeller.九、不合格时的措施/MeasuresOfNon-ConformingItems1 .设备验收结果认定设备不合格时，卖方应立即将该设备收回，并交付新的合格设备或采取买方书面同意的其他措施提交买方再次验收；如买方主张减少价款接受质量瑕疵设备时，卖方应当出具有效的设备质量瑕疵说明，明确瑕疵引发的设备基本效用的状况。如设备状况与卖方出具的前述设备质量瑕疵说明不符的，卖方仍应按照合同约定承担质量保证责任。WheretheAcceptanceresultsshowthattheEquipmentisNonconforming,SellershallimmediatelywithdrawtheEquipmentanddelivernewqualifiedEquipmentortakeothermeasureswhichBuyerconsentsinwrittentosubmittoBuyerforreacceptance;ifBuyerclaimstoacceptthedefectiveEquipmentonthepremiseofreducingtheprice,SellershallprovideaneffectiveEquipmentqualitydescriptiontoclarifythestatusofthedefectiveEquipment,sbasicutility.Iftheabove-mentionedqualitydescriptionissuedbySellerdoesnotconformtothedefectiveEquipmentstatus,SellershallstillbearthequalityassuranceresponsibilityinaccordancewiththisContract.2 .双方同意，买方支付价格、确认欠款数额、使用设备、转让设备的行为并不视为买方放弃质量异议，卖方仍应按照本合同约定向买方就相应设备承担相应的责任。BothpartiesagreethatBuyer'spaymentoftheprice,confirmationoftheamountofthearrears,useoftheEquipment,transferoftheEquipmentshallnotbedeemedaswaiverofthequalityobjectionbyBuyer,andSellershallstillberesponsibleforqualityassuranceinaccordancewiththisContract.十、质量保证/QualityGuarantee1 .卖方保证其提供的设备符合中华人民共和国法律、法规、规章等关于安全、环保、卫生的规定及本合同约定，全新未经使用过。SellerguaranteesthattheEquipmentiscompliedwiththelaws,regulations,andrulesofthePeople'sRepublicofChinaonsafety,environmentalprotection,andsanitation,aswellasthisContract,andisbrandnewandunused.2 .卖方保证其提供的设备不存在可能造成人身伤害或财产损失的任何不合理的危险，否则卖方应承担因此产生的一切责任。如因上述原因给买方造成损失，卖方应予以赔偿。SellerguaranteesthatthereisnoriskofresultinginpersonalinjuryorpropertydamagefromtheEquipment,otherwiseSellershallbearalltheresponsibilitiesarisingtherefrom.IflossesarecausedtoBuyerduetotheabovereasons,Sellershallcompensate.3 .如卖方提供的设备因不符合本合同约定造成买方生产延误、停产停工、返工、或使买方对客户迟延交货或承担质量责任等，则卖方应承担买方所有损失，包括但不限于买方客户向买方索赔的损失和买方的利润损失。买方需以书面通知卖方并提出索赔主张，如卖方收到上述的索赔后一个月内仍不做答复，视为卖方接受所有索赔。IftheNonconformityoftheEquipmentprovidedbySellercausesproductiondelayorstoporreworkbyBuyer,orcausesBuyertodelaydeliverytoitscustomersorundertakeresponsibilityofqualityproblemtoitscustomers,Sellershallundertakealllosses,includingbutnotlimitedtoclaimsbyBuyer,scustomersandprofitofBuyer.BuyershallinformSellerinwritingandputforwardaclaim,whereSellerfailstoanswerBuyerwithinone(l)monthafterreceiptoftheaforesaidclaim,theclaimshallbedeemedashavingbeenacceptedbySeller.4 .卖方承诺对已验收合格的设备提供为期一个月的质保服务(“质保期”)，自经买方最终验收合格次日起计算。在前述期限内，卖方负责免费对设备进行维修、升级及保养服务。TheWarrantyPeriodofStheEquipmentshallbe_monthsfollowingthenextdayofpassingtheAcceptance.Duringtheaforesaidperiod,Sellershallrepair,upgradeandmaintaintheEquipmentatitsownexpense.5 .在订单没有其他特殊约定的情况下，双方同意保留设备价格的_%作为质保金，质保金在质保期届满后支付。质保期内，如经买方通知且卖方拒绝或卖方不能及时修理或因情况紧急需要立即维修时，买方可自行维修或更换，费用从质保金中扣取。IfthereisnootherspecialagreementintheOrder,_%oftheEquipmentpriceareretainedasqualityguaranteedeposit,whichwillbepaidaftertheendofthewarrantyperiod.Duringthewarrantyperiod,ifSellerrefusestorepairafterreceivingBuyer,snotice,orisunabletogetitrepairedintime,orimmediaterepairisneededduetoanemergency,BuyermayrepairorreplacetheEquipmentbyitself,andthecostwillbedeductedfromthequalityguaranteedeposit.6 .在质保期结束后，卖方仍应根据买方要求继续为设备提供技术支持、维护和必要的毁损部件的替换。买方按双方书面认可的标准支付相关维护费，但卖方应当给予买方最优惠的价格和最好的条件。AfterWarrantyPeriodexpires,Sellershallcontinuouslyprovidetechnicalassistance,maintenance,andnecessaryrepIacementfordamagedparts.Buyershallpayforrelativemaintenancefeewhichwillbeconsentedbybothpartiesinwriting,andSellershallgiveBuyerthemostfavorablepriceandthebestterms.十一、知识产权/IIteneCtUalPropertyRights1.卖方保证其提供的设备不侵犯任何第三方知识产权或其他权利，否则卖方应赔偿买方因此遭受的所有损失。在符合本合同条款和条件的前提下，自设备交付买方之日起，卖方向买方授予一项非排他性的且免特许使用费的许可，以便买方正常使用。在买方转让设备时，买方有权将该项许可随设备一同转让至受让方。SellerguaranteesthattheEquipmentshallnotinfringetheintellectualpropertyorotherrightsofanythirdparty.Otherwise,SellershallindemnifyBuyerforalllossesincurredthereby.SubjecttothetermsandconditionsofthisContract,SellergrantstoBuyer,asofthedeliverydateoftheEquipmenttoBuyer,sSite,anonexclusive,royaltyfreelicensetousetheEquipmentnormally.ThelicenseshallbetransferredtotheEquipmentrecipientwhenBuyertransferstheEquipment.2.如设备为根据买方要求定制的，买方应拥有并保留对所有交付成果及卖方创作、生成或制作的、与产品交付有关的所有其他报告、文件及材料的所有权利、产权及权益，包括其中的任何知识产权（合称为“工作产品”）。在可适用的范围内，买方应被视为所有工作产品的“作者”，并且所有此类工作产品将构成中国著作权法以及任何其他适用著作权法项下的“职务作品如任何工作产品未构成职务作品，卖方特此向买方转让买方可能对所有工作产品享有的或者今后可能取得的所有权利、产权和权益，包括其中的所有知识产权。IftheEquipmentiscustomizedaccordingtoBuyer'srequirements,Buyershallownandretainallright,titleandinte
