I GeneralProvisionsArticle1Forthepurposesoffurtherimprovingtheadministrationofforeigncontractedprojectsandpromotingthehigh-qualitydevelopmentofforeignprojectcontracting,theseMeasuresaredevelopedinaccordancewiththeRegulationontheAdministrationofForeignContractedProjects(hereinafterreferredtoasthet4ReguIation"),theDecisionoftheStateCounciltoAmendandRepealCertainAdministrativeRegulations(OrderNo.676,StateCouncil)andtheDecisionoftheStateCounciltoCancelaGroupofAdministrative1.icensingItems(No.462017,StateCouncil)andotherrelevantregulations.Article2"Foreigncontractedprojects(hereinafterreferredtoas"projects")"towhichtheseMeasuresapplymeanstheoverseasconstructionprojectsincludingengineeringconsulting,suney,design,supervision,construction,procurementandinstallation,operationandmaintenance,andotherprojectscontractedbyenterprisesregisteredinChina(hereinafterreferredtoas"enterprises").2024年5月U日对外承包工程项目备案和立项管理办法第一章总则第一条为进一步完善对外承包工程管理，促进对外承包工程高质量发展，根据对外承包工程管理条例（以下简称条例）、国务院关于修改和废止部分行政法规的决定（国务院令第676号）和国务院关于取消一批行政许可事项的决定（国发（2017）46号）等相关法规，制定本办法。笫二条本办法适用的对外承包工程项目（以下简称工程项目），是指中国境内注册企业（以下简称企业）承包的境外建设工程项目，包括工程的咨询、勘察、设计、监理、施工、采购安装、运营维护本办法所称特定项目，是指在与我无外交关系或者外交关系降级的国家承包的工程项目、涉及多国利益的工程项目、存在高风险的工程项目，以及按照条例规定确定的其他特定项目。特定项目以外的工程ForthepurposeoftheseMeasures,-specificprojects"meansprojectscontractedbycountriesthathavenodiplomaticrelationshipwithChinaorwhosediplomaticrelationshipwithChinahasbeendowngraded,projectsinvolvingtheinterestsofmultiplecountries,projectswithhighrisks,andotherspecificprojectsdeterminedinaccordancewiththeprovisionsoftheRegulation.Theprojectsotherthanspecialprojectsaregeneralprojects.Article3TheMinistryofCommerceandthecommercedepartmentsofallprovinces,autonomousregions,municipalitiesdirectlyundertheCentralGovernment,andcitiesunderseparatestateplanningandXinjiangProductionandConstructionCorps(hereinafterreferredtoas"provincialcommercedepartments")shalladheretoensuringbothdevelopmentandsecurity,performtheirfunctionsinaccordancewiththelaw,strengthenthesupervisionofforeigncontractedprojects,proactivelypreventanddefusevariousrisks,standardizetheprocessforenterprises'handlingofprojectrecordationandinitiationandinformationreporting,improveadministrativeefficiency,andprovidequalityservices.Article4EnterprisescontactingforeignprojectsshallneitherdamageChina'snationalsecurityandnationalinterestsnorviolateChina'slawsandtheinternationaltreatiesoragreementsthatChinahasconcludedoraccededto;andshallabidebythelawsofthecountries(regions)wheretheprojectsarelocated,strengthenriskprevention,avoidunfaircompetition,fulfillsocialresponsibilities,andestablishagoodimage.项目，为一般项目。第三条商务部和各省、自治区、直辖市及计划单列市、新疆生产建设兵团商务主管部门（以下简称省级商务主管部门），应坚持统筹发展和安全，依法履行职责，加强对外承包工程的监管，积极防范化解各类风险，规范企业办理工程项目备案立项和信息报告的流程，提高行政效率，提供优质服务。笫四条企业开展对外承包工程不得损害我国国家安全和国家利益，不得违反我国法律和我国缔结或者参加的国际条约、协定，应当遵守项目所在国（地区）法律，加强风险防范，避免不正当竞争，履行社会责任，树立良好形象。第五条企业承包一般项目应当在商务主管部门办理备案。商务部负责中央企业总部（含整体上市的股份有限公司）承包一般项目的备案；省级商务主管部门负责注册地在本行政区域内的地方企业和中央企业所属企业承包一般项目的备案。Article5Enterprisescontractinggeneralprojectsshallundergorecordationformalitieswithcommercedepartments.TheMinistryofCommerceshallberesponsiblefortherecordationofgeneralprojectscontractedbytheheadquartersofcentralenterprises(includingjointstocklimitedcompanieslistedasawhole);andprovincialcommercedepartmentsshallberesponsiblefortherecordationofthegeneralprojectscontractedbylocalenterprisesandenterprisesaffiliatedtocentralenterpriseswhichareregisteredwithintheiradministrativeregions.Article6TheinitiationofthespecificprojectscontractedbyenterprisesshallbesubjecttoapprovalbytheMinistryofCommerceinconjunctionwiththerelevantdepartmentsoftheStateCouncil;andprovincialcommercedepartmentsshallberesponsibleforsupervisingandguidingthelocalenterprisesandenterpriseaffiliatedtocentralenterpriseswhichareregisteredwithintheirrespectiveadministrativeregionsinundergoingtheprojectinitiationformalitiesinatimelymannerbeforecontractingspecificprojects.Article7Enterprisesshall,undertheprincipleofumakingreportsonalltheprojectsthathaveundergoneprojectrecordationandinitiationformalities,"reportonaregularbasistheinformationonthefollow-upimplementationoftheprojectstocommercedepartmentsandChineseembassies(consulates)inthecountrieswheretheprojectsarelocatedortheembassies(consulates)incharge.Whenanemergencyoccursabroad,anenterpriseshalldealwithitinatimelyandpropermannerinaccordancewiththeprovisionsoftheRegulation,andimmediatelyreporttotheChineseembassy(consulate)inthecountrywheretheprojectislocatedortheembassy(consulate)inchargeandrelevantcompetentdomesticdepartments.Whenreportingprojectinformation,anenterpriseshallcomplywithrelevantlawsandregulationsondatainformationprotectionathomeandabroad.笫六条企业承包特定项目应当经商务部会同国务院有关部门批准立项；省级商务主管部门负责监督指导注册地在本行政区域内的地方企业和中央企业所属企业，在承包特定项目前及时办理立项。第七条企业应当按照“凡备案立项必报告”原则，向商务主管部门、中国驻工程项目所在国使（领）馆或者代管馆定期报告工程项目后续开展情况。在境外发生突发事件时，企业应当按照条例规定，及时妥善处理，并立即向中国驻工程项目所在国使（领）馆或者代管馆和国内有关主管部门报告。企业在报告工程项目信息时，应当遵守境内外数据信息保护的相关法律法规。笫八条企业通过商务部业务系统统一平台的对外承包工程项目管理系统（以下简称业务系统）办理工程项目备案立项，定期报告项目后续开展情况。业务系统操作指南由商务部发布。Article8EnterprisesthatundergotheprojectrecordationandinitiationformalitiesthroughtheforeigncontractedprojectmanagementsystemontheunifiedplatformofthebusinesssystemoftheMinistryofCommerce(hereinafterreferredtoasthe"businesssystem")shallreportonaregularbasisthefollow-upimplementationoftheprojects.TheOperatingGuidelinesfortheBusinessSystemshallbeissuedbytheMinistryofCommerce.Whenanenterpriseusesthebusinesssystemforthefirsttime,itshallfirstcompleteinafaithfulmannertheRegistrationFormfortheInformationonaForeignProjectContractingEnterpriseinthebusinesssystem.Iftheregisteredinformationchanges,thechangeformalitiesshallbeundergoneinthebusinesssystemwithin30workingdaysfromthedateofthechange.Chapter II RecordationAdministrationArticle9Ifanenterprisecontractsageneralprojectbybiddingorbidnegotiation,therecordationoftheprojectshallbecompletedbeforebiddingfortheforeignprojectorbidnegotiation.Ifanenterprisecontractsageneralprojectbyothermeans,itshallcompletetheprojectrecordationbeforethecompletionofthesigningoftheprojectcontract.Article 10 Whenanenterpriseundergoestheformalitiesfortherecordationofageneralproject,itshallcompletetheRecordationFormforaForeignContractedProject(hereinafterreferredtoasthel4ProjectRecordationForm")throughthebusinesssystem,andscananduploadtothebusinesssystemtheprintedformtowhichtheofficialsealoftheentityisaffixed.Theenterpriseshallberesponsiblefortheauthenticity,accuracyandcompletenessofthefiledinformation.Whereanenterpriseconsidersthatitisinappropriatetofillinanymatterthroughthebusinesssystem,itmaysubmitpapermaterialsseparatelyafterconsultationwiththecommercedepartment.企业初次使用业务系统的，应当首先在业务系统如实填写对外承包工程企业信息登记表o所登记信息发生变动的，应当自变动之日起30个工作日以内在业务系统办理变更。第二章备案管理第九条企业以投标或者议标方式承包一般项目的，应当在对外投标或者议标前完成工程项目备案。企业以其他方式承包一般项目的，应当在项目签约前完成工程项目备案。笫十条企业办理一般项目备案，应当通过业务系统填写对外承包工程项目备案表（以下简称项目备案表），打印并加盖单位公章后扫描上传至业务系统。企业对备案信息的真实性、准确性和完整性负贲。企业认为不适宜通过业务系统填写的事项，可以商商务主管部门另行提交纸质材料。笫十一条项目不属于备案管理范围、项目备案表Article 11 Ifaprojectisnotsubjecttorecordationadministration,theProjectRecordationFormisnotfilledoutinacompleteoraccuratemanner,ortheprojectisnotwithinthejurisdictionofthecommercedepartmentatthesamelevelortheconsultationwithrelevantdepartmentsorentitiesisrequiredunderrelevantprovisions,thecommercedepartmentshallnotifytheenterprisethroughthebusinesssystemwithinthreeworkingdaysofreceiptoftheProjectRecordationForm.Article 12 IfaprojectrecordationapplicationdoesnotfallunderthecircumstanceslistedinArticle11oftheseMeasures,thecommercedepartmentshallgrantrecordationwithinthreeworkingdaysfromthedateofacceptanceoftheProjectRecordationForm.EnterprisesshallprinttheRecordationReceiptforaForeignContractedProject(hereinafterreferredtoasthewRecordationReceipt")throughthebusinesssystem.Article 13 IfanenterprisefailstobidforanoverseasprojectortosignaprojectcontractwithintwoyearsfromthedatewhenitobtainstheRecordationReceipt,theRecordationReceiptshallbeautomaticallyinvalidated.填写不完整或者不准确、不属于本级商务主管部门管理权限或者按规定需会同相关部门和单位会商的，商务主管部门应当在收到项目备案表之日起3个工作日以内，通过业务系统告知企业。笫十二条项目备案申请不存在本办法第十一条列举情形的，商务主管部门应当自受理项目备案表之日起3个工作日以内予以备案。企业通过业务系统自行打印对外承包工程项目备案回执（以下简称备案回执）。笫十三条企业获得备案回执之日起2年以内，未对外投标或者签订工程项目合同的，备案回执自动失效。第十四条备案回执载明的信息发生变动的，企业应当自变动之日起30个工作日以内，通过业务系统填写对外承包工程项目备案变更表（以下简称备案变更表），打印并加盖单位公章后扫描上传至业务系统。收到企业备案变更表后，商务主管部门应当根据本办法相关规定为符合备案管理要求的企业办理信息变更。企业可通过业务系统自行打印信息变更后Article 14 IftheinformationspecifiedintheRecordationReceiptchanges,anenterpriseshall,within30workingdaysfromthedateofthechange,completetheRecordationChangeFormforaForeignContractedProject(hereinafterreferredtoastheuRecordationChangeForm"),andscananduploadtothebusinesssystemtheprintedformtowhichtheofficialsealoftheentityisaffixed.AfterreceivingtheRecordationChangeFormofanenterprise,thecommercedepartmentshallhandletheformalitiesforchangeoftheinformationontheenterprisethatmeetstherecordationadministrationrequirementsinaccordancewiththerelevantprovisionsoftheseMeasures.TheenterprisemayprinttheRecordationReceiptinwhichtheinformationchangesonitsownthroughthebusinesssystem,andtheoriginalRecordationReceiptshallbeautomaticallyinvalidated.Chapter III ProjectInitiationAdministrationArticle15Ifanenterprisecontractsaspecificprojectbybiddingorbidnegotiation,itshallcompletetheprojectinitiationbeforebiddingfortheforeignprojectorbidnegotiation.Ifanenterprisecontractsaspecificprojectbyothermeans,itshallcompleteprojectinitiationbeforesigningtheprojectcontract.Ifprojectinitiationisnotapproved,anenterpriseshallnotparticipateinaspecificprojectwithoutauthorization.的备案回执，原备案回执自动失效。第三章立项管理笫十五条企业以投标或者议标方式承包特定项目的，应当在对外投标或者议标前完成工程项目立项。企业以其他方式承包特定项目的，应当在项目签约前完成工程项目立项。未经批准立项，企业不得擅自参与特定项目。第十六条企业办理特定项目立项，应当通过业务系统填写对外承包工程项目立项表（以下简称项目立项表），打印并加盖单位公章后扫描上传至业务系统。根据不同类型的特定项目，企业应当按照相关规定或者业务系统提示相应地在线提交立项申请函、中国驻项目所在国使（领）馆或者代管馆意见、专业机构出具的项目安全风险评估报告、项目安保方案和应急预案等立项申请材料。如项目拟使用境内金融机构信贷或者信用保险的，企业应当提交资金落实情况说明。企业对提交材料的真实性'准确性和完整性负责。Article16Whenanenterpriseundergoestheformalitiesfortheinitiationofaspecificproject,itshallcompletetheForeignContractedProjectInitiationForm(hereinafterreferredtoasthe"ProjectInitiationForm"),andscananduploadtothebusinesssystemtheprintedformtowhichtheofficialsealoftheentityisaffixed.Inlightofdifferenttypesofspecificprojects,enterprisesshallsubmitonlineprojectinitiationapplicationletters,theopinionsoftheChineseembassies(consulates)inthecountrieswheretheprojectsarelocatedorembassies(consulates)incharge,projectsafetyriskassessmentreportsissuedbyprofessionalinstitutions,projectsecurityplansandemergencyplans,andotherprojectinitiationapplicationmaterialsaccordinglyaccordingtorelevantprovisionsorbusinesssystemprompts.Ifloanorcreditinsurancefromadomesticfinancialinstitutionistobeusedforaproject,theenterpriseshallsubmitastatementontheallocationoffunds.Theenterpriseshallberesponsiblefortheauthenticity,accuracyandcompletenessofthematerialssubmitted.Whereanenterpriseconsidersthatitisinappropriatetosubmitanyprojectinitiationapplicationmaterialsthroughthebusinesssystem,itmaysubmitpapermaterialsseparatelyafterconsultationwiththeMinistryofCommerce.Article17Ifaprojectisnotsubjecttoprojectinitiationadministration,theProjectInitiationFormisnotfilledoutinacompleteoraccuratemanner,theapplicationmaterialsareincompleteorarenotinthestatutoryform,ortheconsultationwithrelevantdepartmentsorentitiesisrequiredunderrelevantprovisions,theMinistryofCommerceshallnotifytheenterprisewithinfiveworkingdaysofreceiptoftheprojectinitiationapplicationmaterialsfromtheenterprise.Article18IfaprojectinitiationapplicationdoesnotfallunderthecircumstanceslistedinArticle17oftheseMeasures,theMinistryofCommerceshallmakeadecisiononwhethertoapprovetheprojectinitiationinconjunctionwithrelevantdepartments.Enterprisesmaychecktheprogressandresultsofhandlingprojectinitiationformalitiesthroughthebusinesssystem.AnenterprisethathasbeenapprovedtoinitiateaprojectshallprinttheForeignContractedProjectInitiationReceipt(hereinafterreferredtoasthe"ProjectInitiationReceipt")onitsownthroughthebusinesssystem.Article19IfanenterprisefailstobidforanoverseasprojectorsignaprojectcontractwithintwoyearsfromthedatewhenitobtainstheProjectInitiationReceipt,theProjectInitiationReceiptshallbeautomaticallyinvalidated.Anenterprise'sapplicationforthechangeofinformationinaProjectInitiationReceiptshallbegovernedmutatismutandisbyArticle14oftheseMeasures.企业认为不适宜通过业务系统提交的立项申请材料，可以商商务部另行提交纸质材料。笫十七条项目不属于立项管理范围、项目立项表填写不完整或者不准确、申请材料不齐全或者不符合法定形式，或者按规定需会同相关部门和单位会商的，商务部应当在收到企业立项申请材料之日起5个工作日以内告知企业。笫十八条项目立项申请不存在本办法第十七条列举情形的，商务部应当会同有关部门作出是否批准立项的决定。企业可通过业务系统查看立项的办理进展和办理结果。获得批准立项的企业通过业务系统自行打印对外承包工程项目立项回执（以下简称立项回执）。第十九条企业获得立项回执之日起2年以内，未对外投标或者签订工程项目合同的，立项回执自动失效。企业申请立项回执信息变更，参照本办法第十四条规定的程序办理。第四章信息报告Chapter IV InformationReportingArticle20Anenterpriseshall,within30workingdaysaftertheannouncementoftheresultofbiddingorbidnegotiationfortheproject,thesigningofthecontract,orthecommencementorcompletionofconstructionoftheproject,respectivelyfillintheinformationonbidwinning,theinformationoncontractsigning,thedateofcommencementofprojectconstruction,thedateofcompletionofprojectconstruction,andotherinformationthroughthebusinesssystem.Afterthecommencementofconstructionofaproject,anenterpriseshall,inJanuaryandJulyofeachyearduringtheimplementationoftheproject,completetheReportFormfortheSemi-AnnualProgressofaForeignContractedProjectthroughthebusinesssystem.Article21Anenterpriseshall,within30workingdaysfromthedatewhenitsignsaprojectcontractwithaforeignparty,completetheRegistrationFormforaForeignContractedProjectthroughthebusinesssystem,scananduploadittothebusinesssystemtheprintedformtowhichtheofficialsealoftheentityisaffixed,andsubmittheformtotheChineseembassy(consulate)inthecountrywheretheprojectislocatedortheembassy(consulate)incharge.Article 22 Anenterpriseshallsubmitstatisticalmaterialstothecommercedepartmentaccordingtothestatisticalsurveysystemforforeigncontractedprojectsandrelevantprovisionsandrequirements.第二十条企业应当在工程项目投标或者议标结果公布、合同签订、开工、完工后30个工作日以内，通过业务系统分别填报中标情况、签约情况、开工日期、完工日期等信息。工程项目开工后，企业应当在工程项目实施期间于每年1月和7月，通过业务系统填写对外承包工程项目半年情况报告表。笫二十一条企业应当在对外签订工程项目合
