PartyCisadulylicensedandauthorizedpaymentserviceproviderwiththecapabilitiesandresourcestofacilitatethepaymentprocessasdescribedherein.NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforthandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:Article 1: PaymentInstructions1. PartyBherebyauthorizesPartyCtodebittheamountspecifiedinthepaymentinstructions(the,PaymentAmount")fromPartyB,sdesignatedaccountandtransferittoPartyA,saccountasinstructedbyPartyB.ThePaymentAmountshallbeinaccordancewiththetermsandconditionsoftheUnderlyingTransactionbetweenPartyAandPartyB.2. PartyBshallensurethattherearesufficientfundsinthedesignatedaccounttocoverthePaymentAmountatthetimeofthedebit.Intheeventofinsufficientfunds,PartyCshallhavetherighttorejectthepaymentrequestandnotifybothPartyAandPartyBaccordingly.Article 2: PaymentTermsandTimeline1. ThepaymentshallbemadewithinXbusinessdaysafterPartyBhassubmittedthevalidpaymentinstructionstoPartyCandallnecessaryapprovalsandverificationshavebeencompleted.PartyCshalluseitsreasonableeffortstoexpeditethepaymentprocessandkeepPartyAandPartyBinformedofthepaymentstatus.2. ThepaymentshallbesubjecttotheapplicablefeesandchargesofPartyCasdisclosedinitsfeeschedule.PartyBagreestopaysuchfeesandchargesinaccordancewithPartyC,srequirements.PartyAandPartyBacknowledgethatthefeesandchargesmaybedeductedfromthePaymentAmountbeforeitistransferredtoPartyA,saccount.Article 3: RepresentationsandWarranties1. PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoreceivethepaymentandthattheinformationprovidedtoPartyBandPartyCregardingthepaymentdetailsanditsaccountisaccurateandcomplete.2. PartyBrepresentsandwarrantsthatithasthelegalrightandobligationtomakethepaymentunderthetermsoftheUnderlyingTransactionandthatthefundstobeusedforthepaymentareobtainedlegallyandarefreefromanyliens,encumbrances,ordisputes.3. PartyCrepresentsandwarrantsthatitisdulylicensedandregulatedtoprovidethepaymentservicescontemplatedhereinandthatitwillcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsobligationsunderthisAgreement.Article 4: Confidentiality1. ThepartiesheretoagreetokeepconfidentialallinformationanddataexchangedorobtainedinconnectionwiththisAgreementandthepaymentprocess.SuchconfidentialityobligationsshallsurvivetheterminationofthisAgreementforaperiodofXyears.2. Notwithstandingtheabove,thepartiesmaydisclosesuchinformationasrequiredbylaw,regulatoryauthorities,orinconnectionwithalegalproceeding.However;thedisclosingpartyshallnotifytheotherpartiesinwritingassoonasreasonablypracticablepriortosuchdisclosure.Article 5: Indemnification1. PartyBshallindemnifyandholdharmlessPartyAandPartyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpenses(includingbutnotlimitedtoattorneys1feesandcourtcosts)arisingoutoforinconnectionwithanybreachofthisAgreementbyPartyBzincludingbutnotlimitedtoanyincorrectorunauthorizedpaymentinstructions,insufficientfunds,oranyotheractoromissionofPartyB.2. PartyAshallindemnifyandholdharmlessPartyBandPartyCfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyA,includingbutnotlimitedtoanymisrepresentationorwarrantyregardingthepaymentdetailsoritsaccount,oranyotheractoromissionofPartyA.3. PartyCshallindemnifyandholdharmlessPartyAandPartyBfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyC,includingbutnotlimitedtoanyfailuretoperformitspaymentservicesinaccordancewiththisAgreement,anysecuritybreachorlossofpaymentdata,oranyotheractoromissionofPartyC.Article 6: Termination1. ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.2. Inaddition,eitherPartyAorPartyBmayterminatethisAgreementuponwrittennoticetotheotherpartiesiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithinXdaysafterreceivingwrittennoticethereof.3. UponterminationofthisAgreement,thepartiesshallcooperateingoodfaithtocompleteanyoutstandingpaymentobligationsandtoreturnordestroyanyconfidentialinformationintheirpossession.Article 7: GoverningLawandDisputeResolution1. ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofJurisdiction.2. Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreementshallbefirstsubmittedtoamicablenegotiationbetweentheparties.IfthenegotiationfailstoresolvethedisputewithinXdays,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththearbitrationrulesofArbitrationInstitution.ThearbitrationshalltakeplaceinArbitrationLocation,andthelanguageofthearbitrationshallbeLanguage.Thearbitralawardshallbefinalandbindingupontheparties.Article 8: Miscellaneous1. ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.2. AnyamendmentormodificationtothisAgreementshallbeinwritingandsignedbyallpartieshereto.3. ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.4.
