PartyBshallensurethattherearesufficientfundsinthedesignatedaccounttocoverthePaymentAmountatthetimeofthedebit.Incaseofinsufficientfunds,PartyCshallhavetherighttorejectthepaymentrequestandnotifybothPartyAandPartyBaccordingly.乙方应确保在扣款时指定账户中有足够资金支付付款金额。如资金不足，丙方有权拒绝付款请求并相应通知甲方和乙方。Article 2: PaymentTermsandTimeline第二条：付款条款和时间安排1. PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoreceivethepaymentandthattheinformationprovidedtoPartyBandPartyCregardingthepaymentdetailsanditsaccountisaccurateandcomplete.甲方陈述并保证其拥有接收付款的合法权利和授权，且向乙方和丙方提供的有关付款细节及其账户的信息是准确和完整的。2. ThepartiesheretoagreetokeepconfidentialallinformationanddataexchangedorobtainedinconnectionwiththisAgreementandthepaymentprocess.SuchconfidentialityobligationsshallsurvivetheterminationofthisAgreementforaperiodofXyears.双方同意对与本协议及付款流程相关的所有信息和数据予以保密。此类保密义务在本协议终止后仍应持续X年。2. PartyCshallindemnifyandholdharmlessPartyAandPartyBfromandagainstanyandallclaims,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwithanybreachofthisAgreementbyPartyCzincludingbutnotlimitedtoanyfailuretoperformitspaymentservicesinaccordancewiththisAgreement,anysecuritybreachorlossofpaymentdata,oranyotheractoromissionofPartyC.丙方应就因丙方违反本协议而产生或与之相关的任何及所有索赔、损失、损害、责任、成本和费用向甲方和乙方进行赔偿并使其免受损害，包括但不限于任何未能按照本协议履行其支付服务、任何安全漏洞或支付数据丢失，或丙方的任何其他作为或不作为。Article 6: Termination第六条：协议终止1. ThisAgreementmaybeterminatedbymutualwrittenagreementoftheparties.本协议可经双方书面协议终止。2. Inaddition,eitherPartyAorPartyBmayterminatethisAgreementuponwrittennoticetotheotherpartiesiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithinXdaysafterreceivingwrittennoticethereof.此外，如果另一方严重违反本协议且在收到书面通知后X天内未能补救该违约行为，甲方或乙方均可书面通知其他各方终止本协议。3. UponterminationofthisAgreement,thepartiesshallcooperateingoodfaithtocompleteanyoutstandingpaymentobligationsandtoreturnordestroyanyconfidentialinformationintheirpossession.本协议终止后，双方应真诚合作完成任何未履行的付款义务,并返还或销毁其持有的任何保密信息。Article 7: GoverningLawandDisputeResolution第七条：适用法律和争议解决1. ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofJurisdiction.本协议应受司法管辖区法律管辖并依其解释。2. Anydispute,controversy,orclaimarisingoutoforinconnectionwiththisAgreementshallbefirstsubmittedtoamicablenegotiationbetweentheparties.IfthenegotiationfailstoresolvethedisputewithinXdays,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththearbitrationrulesofArbitrationInstitution.ThearbitrationshalltakeplaceinArbitrationLocation,andthelanguageofthearbitrationshallbeLanguage.Thearbitralawardshallbefinalandbindingupontheparties.因本协议产生或与之相关的任何争议、纠纷或索赔应首先提交双方友好协商。如果协商在X天内未能解决争议，则争议应最终按照仲裁机构仲裁规则通过仲裁解决。仲裁应在仲裁地点进行，仲裁语言为语言。仲裁裁决应为终局性的,对双方具有约束力。Article 8: Miscellaneous第八条：其他条款1. ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,negotiations,anddiscussions,whetheroralorwritten.本协议构成双方关于本协议主题事项的完整协议，并取代所有先前及同期的协议、谅解、谈判和讨论，无论是口头还是书面的。2. AnyamendmentormodificationtothisAgreementshallbeinwritingandsignedbyallpartieshereto.对本协议的任何修订或修改应以书面形式作出并由本协议各方签署。3. ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.本协议可签署多份副本，每份均应视为正本，但所有副本共同构成同一文件。4.
