船舶建造合同质量保证中英文对照版船舶建造合同质量保证（中英文对照）WARRANTYOFVESSELQUALITY目录TABLEOfcontentsGUARANTEEOFMATERIALANDWORKMANSHIP对材料和工艺的保证NOTICEOFDEFECTS关于缺陷的通知Remedyofdefects对缺陷的修复EXTENTOFTHESELLER'SLIABILITY卖方的责任范围GUARANTEEENGINEER对工程师的保证GUARANTEEOFMATERIALANDWORKMANSHIP对材料和工艺的保证GUARANTEEOFMATERIALANDWORKMANSHIP对材料和工艺的保证TheSELLER,foraperiodoftwelve(12)monthsfromtheDeliveryDate,guaranteestheVESSEL,herhullandmachineryandallpartsandequipmentthereofthataremanufacturedorfurnishedorsuppliedbytheSELLERand/oritssubcontractorsunderthisContractincludingmaterialandequipment(e×cludinganypartsfortheVESSELwhichhavebeensuppliedbyoronbehalfoftheBUYER)againstalldefectswhichareduetodefectivematerialsand/orpoorworkmanshipand/orfaultydesignand/orconstructionalmiscalculation.在卖方将本船交付给买方后12个月内，卖方保证对本船，其船体、机械设备及其所有部件和所有由卖方和/或本合同中的其分包商制作完成或提供的包括材料、设备(但由买方或以买方名义提供的任何部件除外)发生因材料缺陷、制作工艺错误和/或设计错误和/或构建错误引起的缺陷承担责任。Anyadditionalguaranteeperiodinexcessoftwelve(12)monthsofferedbyanymanufacturerand/orSELLER*ssubcontractorsshallbeautomaticallypassedontotheBUYER,forwhichtheSELLERshallarrangeanagreementpasssuchadditionalguaranteetoBUYER任何制造商和/或卖方的分包商提供的超过12个月的任何额夕M呆证期应自动转让给买方，而卖方应为其安排协议来转让给买方的这种额外保证。NOTICEOFDEFECTS关于缺陷的通知TheBUYERshallnotifytheSELLERinwritingorbytelefax(confirmedinwriting),aspromptlyaspossible,afterdiscoveryofanydefectordeviationsforwhichaclaimismadeunderthisguarantee.TheBUYER'Swrittennoticeshalldescribethenatureofthedefectandtheextentofthedamagecausedthereby.TheSELLERshallhavenoobligationunderthisguaranteeforanydefectsdiscoveredpriortotheexpirydateoftheguarantee,unlessnoticeofsuchdefects,isreceivedbytheSELLERnotlaterthanthirty(30)daysaftersuchexpirydate.买方发现属于本保证范围内据以索赔的缺陷或偏差后，应立即以书面或书面确认的电传通知卖方。在买方的书面通知中应详细说明缺陷的性质和由此引起损坏的程度。卖方在保证期到期后三十天内未收到缺陷通知，卖方对保证期到期之前发现的缺陷不承担义务。Telefaxedadvicewithinthirty(30)daysaftersuchexpirydatewithbriefdetailsexplainingthenatureofsuchdefectandextentofdamageandstatingthataclaimisforthcomingwillbesufficientcompliancewiththerequirementsastotime.IftheBUILDERbecomesawareofdefectivematerialsoraseriousdefectinthedesignorconstructionoftheVESSELoranyothervesselbuiltbytheBUILDER,theBUILDERshallimmediatelynotifytheBUYERinwritingandbytelefax.在保证期到后三十天内应电传通知发生的缺陷，需要说明缺陷的性质和损坏的程度，则随后的索赔视为符合要求。如果建造方发现本船或其它由建造者建造的船舶有材料缺陷或设计缺陷或建造缺陷，建造方应立即以书面形式和通过电传通知买方。REMEDYOFDEFECTS对缺陷的修复TheSELLERshallremedyatitsexpenseanydefects,againstwhichtheVESSELoranypartoftheequipmentthereofisguaranteedunderthisArticlebymakingallnecessaryrepairsand/orreplacement.Suchrepairsand/orreplacementwillbemadebytheSELLER.卖方应自行对本条所保证的本船或设备的任何部分所发生的缺陷进行必要的修复和/或更换。这些修复和/或更换应由卖方完成。However,ifitisimpracticaltomaketherepairbytheSELLER,andifforwardingbytheSELLERofreplacementparts,andmaterialscannotbeaccomplishedwithoutimpairingordelayingtheoperationorworkingoftheVESSEL,then,inanysuchevent,theBUYERshall,causethenecessaryrepairsorreplacementstobemadeelsewhereatthediscretionoftheBUYERprovidedthattheBUYERshallfirstandinallevents,assoonaspossible,givetheSELLERnoticeinwriting,orbytelefax(confirmedinwriting)ofthetimeandplacesuchrepairswillbemadeand,theSELLERshallhavetherighttomakeattendanceandverification,withoutunreasonablyimpairingordelayingvesselsoperationalcommitmentsorworks,byitsownrepresentative(s)orthatofClassificationSocietyofthenatureandextentofthedefectscomplainedof.但是，如果卖方不能修理本船，如果卖方的更换材料、部件的运输将影响或推迟本船运行，那么在此情况下，买方可自行选择在其他地方进行必要的修理或更换，但买方无论如何应首先尽快地用书面通知或书面确认的电传，告知卖方将要修理的时间和地点。在不耽误、推迟或损害船舶修理、运行工作前提下，卖方有权派出自己的代表或船级社代表，核实买方提出的缺陷的性质和范围。TheSELLERshall,insuchcases,promptlyadvisetheBUYER,bytelefax,aftersuchexaminationhasbeencompleted,ofitsacceptanceorrejectionofthedefectsasonesthataresubjecttotheguaranteehereinprovided.Inallminorcases,theGuaranteeEngineer,underclause5ofthisArticleshallactforandonbehalfOftheSELLER.在此情况下，卖方在检验结束后，应迅速用电传通知买方，承认或拒绝这类缺陷属其担保提供范围。在一般情况下，根据本合同第五条指派的保证工程师，将代表卖方。Inanycircumstancessetoutbelow,theSELLERshallimmediatelypaytotheBUYERinUnitedStatesDollarsbytelegraphictransfertheactualcostforsuchrepairsorreplacementsincludingforwardingcharges,orattheaveragecostofmakingsimilarrepairsorreplacementsincludingforwardingchargesasquotedbytwoleadingshipyards(onechoosebySELLERandanotheronechoosebyBUYER)ineachofJapan,SouthKorea,P.R.ofChina.出现下列情况，卖方应立即将包括此类修理或更换含运输费的实际成本，或按两个日本、韩国或中国的主要造船厂（一个由卖方选择，另一个由买方选择)实施类似修理或更换的平均费用，包括其运输费用，以美元电汇给买方。(a)SELLERacknowledgesdefectsdueunderthisclause,or(b)upontheSELLER'SacceptanceofthedefectsasjustifyingremedyunderthisArticle,oriftheSELLERneitheracceptsnorrejectsthedefects,norrequestsarbitrationwithinthirty(30)daysafteritsreceiptoftheBUYER'Snoticeofdefects.(C)upondeterminationinanarbitrationprocessinaccordancewithArticleXIIIthatthedefect(s)inquestionfallwithintheprovisionsofthisArticleIX.(a)卖方承认按本条应补救的缺陷，或(b度方在收到买方缺陷通知后三十天内,不接受也不拒绝上述缺陷，也不请求仲裁。(C)任何属于本合同第9条规定的缺陷问题争议将按照本合同第13条的规定提交仲裁。IntheeventthatitisnecessaryfortheBUILDERtoforwardareplacementforadefectivepartunderthisguarantee,replacementpartsshallbesuppliedtotheBUYERbyocean-freightonafreightprepaidbasistotheportofplacedesignatedbytheBUYER.Airfreightwillbeapplicableincaseseafreightcannotmeetship'sscheduleprovidedthattheBUYERalreadynotifiedsuchscheduletotheBUILDERinadvanceatleasttwoweeks.Foranypartsand/orworkmanshiprepairedorreplacedunderthisclause,theBUILDERshallgiveforsuchreplacedorrepairedpartsand/orworkmanshipaguaranteeofafurtherperiodoftwelve(12)months,however,theaggregateguaranteedperiodshallnotexceedeighteen(18)months.根据此保证条款，卖方有必要寄发更换有缺陷的部件，所更换的部件应在海运费预付的前提下运送至根据买方指示指定的港口或地方。在海运不适合船舶日程安排表的情况下，此日程安排买家需至少提前两周通知卖家,航空运输亦许可。对于适用本条款进行的工艺维修或者部件更换,卖家应对维修或者更换的部件延长12个月的保证期，但总的保证期限最多不超过18个月。ItisunderstoodthattheBUYERhasrighttoarrangerelevantrepair/replacementbythemselvesatareasonablecost(tobeSELLER,saccount）mutuallyagreedbybothpartiesprovidedthatthesamedefectappearedtwiceormoreduringsuchguaranteedperiod（18months）,however,theBUYERshouldgivethenoticetotheBUILDERinadvance,insuchcase,theBUILDERshallhavenoobligationand/orliabilitieswithrespecttothesamedefectappearedthereafter在双方同意的情况下，当同一缺陷在此保证期（18个月）内两次或多次出现时，买方有权安排合理成本下的相关维修和部件更换（卖方承担费用），但应提前通知卖方，在此之后再出现的相同缺陷，卖方不再承担任何责任和/或义务。
