黄金租借业务总协议中英文对照版黄金租借业务总协议（中英文对照）GENERALAGREEMENTONGOLDLEASING目录Contents第一章总则ChapterIGeneralProvisions第二章定义ChapterIIDefinitions第三章租借交易的达成ChapterIIIEnteringintoaGoldLeasingTransaction第四章黄金交割ChapterIVGoldDelivery第五章利息ChapterVInterest第六章签章样本ChapterVISpecimenSignaturesandCompanyChops第七章清算账户ChapterVIIClearingAccount第八章声明与保证ChapterVIIIRepresentationsandWarranties第九章违约和违约处理ChapterIXDefaultandItsResolution第十章附则部分章节示例如下：第二章定义ChapterIIDefinitions2L黄金2.1.Gold本协议中的黄金,是指双方约定的,符合上海黄金交易所认可的交割质量标准的黄金实物，包括但不限于经交易所认定的可提供标准金锭、金条企业生产的符合交易所执行的金锭、金条标准的实物，及交易所认可的国际相关市场认定的合格供货商生产的标准实物。ForthepurposeofthisAgreement,thetermgoldreferstothephysicalgoldthatisagreedbythePartiesandincompliancewiththedeliveryqualitystandardsrecognizedbytheExchange,includingbutnotlimitedto,abullionproducedincompliancewiththeprevailingSGEStandardforGoldIngotorSGEStandardforGoldBar,respectively,byanSGEStandardGoldIngotRefinerorSGEStandardGoldBarRefiner,orastandardbullionproducedbyaqualifiedsupplieraccreditedbyarelevant,SGE-recognizedinternationalmarket.2.2.品种上海黄金交易所挂牌交易和交割的实物黄金品种，如AU99.95.AU99.99.AU99.5等。2.2.BullionProductsTheterm,bullionproducts"referstothephysicalgoldlistedontheExchangefortradinganddelivery,suchasAU99.95,AU99.99,andAU99.5,etc.32借入方提交的黄金租借申请书应当列明以下交易要素：品种、重量、起息日、付息日、到期日、利率、交付货物属性、归还货物属性、计息基准、计息基准价格。其中：3.2.ThelesseeshallclearlyspecifyintheGoldLeasingRequestthefollowingtradeterms:bullionproduct,weight,effectivedate,interestpaymentdate,maturitydate,leaserate,classificationofthedeliveredbullionandthereturnedbullion,daycountfraction,andinterestcalculationprice,providedthat3.2.1.品种、重量、到期日、利率、计息基准、交付货物属性：均由双方协商确定。3.2.1.bullionproduct,weight,maturitydate,leaserate,daycountfraction,andclassificationofthedeliveredbullionwillbedeterminedandagreedbythePartiesthroughnegotiation;3.2.2.起息日：由双方协商确定。续借的起息日应为原租借交易的到期3.2.2.effectivedatewillbedeterminedandagreedbythePartiesthroughnegotiationprovidedthattheeffectivedateforarenewedgoldleasingtransactionshallbethematuritydateoftheoriginalgoldleasingtransaction;第四章黄金交割ChapterIVGoldDelivery4.1.黄金租借交易达成后，双方应于租借起息日当日17:00之前，通过上海黄金交易所会员服务系统完成租借申报，并由借出方将双方签章确认的上海黄金交易所实物租借过户申请表（附件三）传真至交易所，以实现黄金从借出方过户交付至借入方。4.1.Onceagoldleasingtransactionisenteredinto,eachofthePartiesshall,before5:00p.m.oftheeffectivedateofthegoldleasingtransaction,submittheleaseapplicationthroughtheExchangeDsmemberserviceplatformandthelessorshallfurthercompleteandsendtheSGEApplicationFormforTransferof1.easedBullion(inaformsetforthinSchedule3)dulyexecutedbythePartiestotheExchangebyfacsimiletoeffectthetransferanddeliveryofgoldfromthelessortothelessee.42租借交易到期时，双方应于租借到期日当日17:00前通过上海黄金交易所会员服务系统完成租借还金申报，以实现黄金从借入方过户归还至借出方。4.2.Uponthematurityofthegoldleasingtransaction,eachofthePartiesshallsubmittheleasereturnapplicationthroughtheExchange'Smemberserviceplatformbefore5:00p.m.ofthematuritydateofthegoldleasingtransactiontoeffectthetransferofgoldfromthelesseetothelessor.4.3.租借交易到期时，若双方达成续借交易，双方可无需办理原交易的还金过户和续借交易的借金过户手续。4.3.If,uponthematurityofthegoldleasingtransaction,thePartiesagreetorenewthetransaction,thenneitherPartyneedtosubmitanyleasereturnapplicationfortheoriginalgoldleasingtransactionoranyapplicationfortherenewedtransaction.5.3.若借出方同意借入方提前归还所租入的黄金，除非双方另有约定，该笔租借交易的到期日与付息日(若尚未付息)均变更为双方约定的提前归还日.对于已付息的提前归还的租借交易，已付利息事宜由双方协商处理。5.3.Wherethelessoragreesanearlyreturnofgoldbythelessee,thematuritydateandtheinterestpaymentdate(ifinteresthasnotyetbeenpaid)forthegoldleasingtransactionshallbothbechangedtotheearlyreturndateagreedbythelessorandthelessee,unlessotherwiseagreedbytheParties.Partiesshallresolvethroughnegotiationiftheinteresthasalreadybeenpaidforthescheduledinterestaccrualperiodbutthegoldisearlyreturned.第八章声明与保证ChapterVIIIRepresentationsandWarranties8.1.甲乙双方在总协议及补充协议(若有)签署日向对方做出如下声明和保证，并在提交每个黄金租借申请的日期及在每个租借起息日重复做出：8.1.EachPartyshallmakethefollowingrepresentationsandwarrantiestotheotherPartyontheexecutiondate(s)oftheGeneralAgreementandeachSupplementalAgreement(ifany),andsuchrepresentationsandwarrantiesshallbedeemedtoberepeatedoneachdateonwhichanewGoldLeasingRequestisfiledandoneacheffectivedate:(1)其签署和履行本协议并不与任何适用的法律、其组织章程性文件的任何规定、适用于其或其任I可资产的任何法院或政府机关所颁布的判决或指令、或任何对其或其任何资产构成约束或影响的合同约定产生违背或冲突；(1)thatitsexecutionandperformanceofthisAgreementdoesnotviolateorconflictwithanyapplicablelaw,anyprovisionsofitsarticlesofassociation,anycourtdecisionordirectiveissuedbygovernmentagenciesapplicabletoitoranyofitsassets,oranycontractualstipulationsbindinguponoraffectingitoranyofitsassets;(2)其签署本协议、行使其在本协议下的权利及履行其在本协议下的义务所需的一切许可、授权或批准已经获得并已全面生效；(2)thatallpermissions,authorizationsandapprovalsnecessaryfortheexecutionofthisAgreementandforexercisingitsrightsandperformingitsobligationshereunderhavebeenobtainedandfullytakeneffect;
