其他规定37Miscellaneous2.3.2合同单价内容2.3.2Unitpricecontentincontract2.3.2本分包合同为总价合同，分包合同总价内容包括但不限于：为在本分包合同工程范围及工程标准完成工程所需的施工设备、材料及损耗、劳力、质检、安装、缺陷修复、管理、赔偿、运转等费用、规费、税金、保险费、利润、临时工程费、措施费、工程维护费和申领施工所需的许可证、执照等一切直接费用和间接费用，以及分包合同中明示或暗示的与本工程有关的所有风险、责任和义务。为避免误解和歧义，本款上述事项为非穷尽式列举，除分包合同另有约定外，应包括一切直接费用和间接费用。2.3.2Theunitpriceofthissubcontractisthecomprehensiveunitprice,includesbutisnotlimitedtotheconstructionequipment,materialsandlosses,Iaborzqualityinspection,installation,defectrepair,management,compensation,operationandothercostszfees,taxes,insurance,profits,temporaryworkszmeasures,maintenancecostszwhicharenecessaryforcompletionoftheWorkswithintheWorkscopeandengineeringstandardshereof,inadditiontoalldirectandindirectcostsoftheapplicationforthepermitsandlicenseswhichconstructionrequiredandallrisks,liabilitiesandobligationsrelatedtotheWorksasexpressedorimpliedinthesubcontract.Toavoidmisunderstandingandambiguity,theabovemattersinthisparagrapharelistedinanon-exhaustivemannerandshallincludealldirectandindirectcostsunlessotherwisesetforthinthesubcontract.2.3.2.2本分包合同工程量表中没有填写单价或价格的任何内容和项目，应被视为已包含在工程量表中的其他任何内容和项目中。2.3.2.2Anyelementanditeminthebillofquantitiesforthissubcontractforwhichnounitpriceorpricehasbeenenteredshallbedeemedtobeincludedinanyotherelementanditeminthebillofquantities.2.3.2.3本合同为单价计量合同，工程量表中的数量为预估数量，分包商实际完成工程数量以承包商批准、业主和/或工程师签认的现场实际完成的工程数量作为结算和支付依据。2.3.2.3ThiscontractisaunitpricemeasurementcontractandthequantitiesinthebillofquantitiesareestimatesandtheactualquantitiesofworkcompletedbytheSubcontractorshallbebasedontheactualquantitiesofworkcompletedonsiteasapprovedbytheContractorandsignedforconformationbytheOwnerand/ortheEngineerasthebasisforsettlementandpayment.2.3.2.4如果承包商和分包商对实际完成的工程数量存有异议，则应以业主和/或工程师签认的工程数量作为结算和支付依据。2.3.2.4IntheeventofdisagreementbetweentheContractorandtheSubcontractorontheactualquantityofworkperformed,thequantityofworksignedforconformationbytheOwnerand/ortheEngineershallbethebasisforsettlementandpayment.2.3.3分包合同单价不可调整2.3.3Noadjustmentofthesubcontractunitprice2.33.1本分包合同单价不可调整，不因分包合同存续期间的工程所在国或中国的人工、材料价格、设备价格上涨、工程所在国货币汇率或人民币汇率的波动、税费的增减或其他不可预见的变动做出任何!调整和市场价格波动。为避免模糊和误解，本款涉及分包合同单价的因素是指一切和所有因素，包括本款列明的因素以及整个分包工程工期和延长工期内任何调整和市场价格波动。2.3.3.1TheunitpriceofthisSubcontractisnon-adjustableandisnotsubjecttoanyadjustmentandmarketpricefluctuationduetoincreaseinthepriceoflabor,materials,equipmentinthecountrywheretheWorksaretobecarriedoutorinChina,fluctuationintheexchangerateofthecurrencyofthecountrywheretheWorksarelocatedortheexchangerateofRMB,increaseordecreaseintaxesorotherunforeseenchangesduringthelifeoftheSubcontract.Fortheavoidanceofambiguityandmisunderstanding,thefactorsinthisparagraphrelatingtotheunitpriceoftheSubcontractareallandanyfactors,includingthesamesetoutinthisparagraphandanyadjustmentsandmarketpricefluctuationsthroughoutthedurationoftheSubcontractWorksandextensionsthereof.2.33.2为避免误解和歧义，如分包合同约定分包合同可根据第18条变更、第20条因法律改变的调整或第23.2条物价波动和汇率引起的价格调整调整分包合同价格，则分包合同价格可予调整。如分包合同约定不适用第20条因法律改变的调整或第23.2条物价波动和汇率引起的价格调整约定外，分包合同价格不予调整。2.3.3.2Fortheavoidanceofambiguityandmisunderstanding,theSubcontractpricemaybeadjustediftheSubcontractstipulateditmaybeadjustedinaccordancewithArticle18Variation,Article20AdjustmentduetoVariationinLaworArticle23.2PriceAdjustmentduetoPriceFluctuationsandExchangeRates.ThepriceoftheSubcontractshallnotbeadjustediftheSubcontractstipulatedthatArticle20AdjustmentduetoVariationinLaworArticle23.2PriceAdjustmentduetoPriceFluctuationsandExchangeRatesshallnotapply.3主合同3Maincontract3.1 分包商知晓主合同3.1.1 TheSubcontractorisawareoftheMainContract3.1.2 应分包商书面要求，承包商可向分包商提供包括一般合同条件、专用合同条件和与分包工程有关的技术规范在内的主合同文件，但承包商报价的工程量表和保密内容除外。分包商应视为已了解和知晓主合同的有关约定（但保密内容除外）。3.1.3 TheContractormayzupontheSubcontractor,swrittenrequestprovidetheSubcontractorwiththemaincontractdocumentsincludingtheGeneralConditionsofContract,ParticularTermsofContractandTechnicalSpecificationsrelatingtotheSubcontractWorkzexceptfortheBillofQuantitiesandconfidentialcontentsquotedbytheContractor.TheSubcontractorshallbedeemedtohaveunderstoodandknowntherelevantprovisionsoftheMasterContract(exceptforconfidentialcontents).3.1.4 分包商获得承包商提供的主合同一般合同条件、专用合同条件和技术规范所发生的费用，应由分包商承担。3.1.5 TheCostsincurredbytheSubcontractortoobtaintheGeneralConditionsofContract,ParticularTermsofContractandTechnicalSpecificationsfortheMainContractprovidedbytheContractorshallbebornebytheSubcontractor.3.2 遵守主合同。分包商应履行和遵守与分包工程相关的主合同项下约定的承包商的一切义务和责任。3.3 CompliancewiththePrimeContract.TheSubcontractorshallperformandcomplywithallobligationsandresponsibilities,relatingtotheSubcontractWork,oftheContractorunderthemaincontract.3.4 主合同的指示和决定3.3Instructionsanddecisionsofthemastercontract分包商应遵守承包商书面通知分包商的，业主和/或工程师发出的与分包工程有关的所有指示和决定，无论此项指示或决定是否根据主合同的约定有效发出。如果分包商从业主和/或工程师处接收了任何直接的指示，则分包商应：TheSubcontractorshallcomplywiththewrittennoticesgiventoitbytheContractorinadditiontoallinstructionsanddecisionsissuedbytheEmployerand/ortheEngineerinconnectionwiththeSubcontractWorkzwhetherornotsuchinstructionsordecisionsarevalidlygiveninaccordancewiththeprovisionsofthemaincontract.ProvidedthattheSubcontractorreceivesanydirectinstructionsfromtheEmployerand/orEngineer,theSubcontractorshall.(a)立即通知承包商并递交上述直接指示的原件给承包商，并且(a)TonotifyforthwiththeContractorandsubmittheoriginaloftheaboveinstructionstotheContractor,and(b)除非得到了承包商的书面确定，否则分包商没有义务遵守此项直接指示。(b)TheSubcontractorisnotobligatedtocomplywiththisinstructionsunlessdeterminedinwritingbythecontractor.4承包商4TheContractor4.1 承包商的指示4.1TheContractor'sinstructions分包商仅能从承包商或承包商代表接受与分包合同和分包工程有关的任何指示。分包商应遵守所有的指示。指示不明确的，应向承包商或承包商代表就与分包合同有关的任何事宜发出书面确认。TheSubcontractormayonly,fromtheContractororitsrepresentative,receiveanyinstructionconcerningtheSubcontractandtheSubcontractWork.TheSubcontractorshallcomplywithallinstructionsandiftheinstructionsaredeemedunclear,sendwrittenconfirmationtotheContractororitsrepresentativeonanyissuerelatingtotheSubcontract.4.2 现场进入权4.2Rightofsiteaccess承包商应在分包合同约定的时间内向分包商提供现场进入权、现场占有权或路权（如有），以使分包商根据分包合同进度计划实施、完成和修复其中任何缺陷。无论如何，分包商不能享有现场进入和现场占有的独家权利。TheContractorshall,withinthetimeagreedtointheSubcontractprovidetheSubcontractorwiththerightofsiteentryzsitepossessionorright-of-way,ifany,soastoenabletheSubcontractortoperform,completeandrepairanydefectsthereininaccordancewiththeSubcontractprogressschedule.InnoeventshallSubcontractorhavetheexclusiverightofsiteaccessandsitepossession.4.3 与业主和工程师联系4.3LiaisonwithEmployerandEngineer4.3.1未经承包商的事先书面同意,分包商不能单独与业主和/或工程师联系或单独参加任何业主和/或工程师组织或参加的与分包工程有关的会议，无论此类会议是否在现场举行。4.3.1 TheSubcontractorshallnot,withoutthepriorwrittenconsentoftheContractor,communicatewiththeEmployerand/orEngineeraloneorattendaloneanymeetingorganizedorattendedbytheEmployerand/orEngineerinconnectionwiththeSubcontractWorkzwhetherornotsuchmeetingisheldattheSite.4.3.2 承包商负责与业主、工程师和当地政府的联系。但分包商可以在得到承包商的同意后，以承包商的名义办理与分包合同和分包工程有关的一切手续、许可、批准、同意等事项。4.3.3 TheContractorisresponsibleforliaisonwiththeOwner,theEngineerandthelocalgovernment.However,theSubcontractormayzwiththeconsentoftheContractorandinthenameoftheContractor,handleallformalities,permits,approvals,consents,etc.relatedtotheSubcontractandtheSubcontractWork.4.3.4 应分包商的请求，承包商可以协助分包商处理分包工程施工过程中与业主、工程师及当地政府等可能发生的各种问题或纠纷，但承包商的参与不能免除分包商相应的责任和义务。如发生费用，则分包商应与承包商进行协商，分包商应承担承包商协助分包商履行上述义务而发生的费用和支出。4.3.5 TheContractormayzattherequestoftheSubcontractor,assisttheSubcontractorindealingwithvariousproblemsordisputesthatmayoccurwiththeOwnerztheEngineerandthelocalgovernmentduringtheconstructionoftheSubcontractWorkzhowevertheContractor'sparticipationshallnotrelievetheSubcontractorofthecorrespondingresponsibilitiesandobligations.TheSubcontractorshallnegotiatewithContractorontherelevantcostsandexpenseswhichifincur,andtheSubcontractorshallbearthecostsandexpensesincurredbytheContractorinassistingSubcontractortoperformtheaboveobligations.4.4 主合同工程的协调4.4Coordinationoftheworksinmaincontract承包商应按照主合同的有关约定负责全面协调和管理主合同工程，并应负责分包工程与承包商实施的工程以及其他分包商实施的其他分包工程的协调。TheContractorshallzinaccordancewiththerelevantagreementsofthemaincontract,beresponsiblefortheoverallcoordinationandmanagementofthemaincontractworksandshallberesponsibleforthecoordinationoftheSubcontractWorkswiththeWorkscarriedoutbytheContractorandothersubcontractworkscarriedoutbyotherSubcontractors.4.5 提供图纸等技术文件4.Provisionofthedrawingsandothertechnicaldocuments4.5.1 承包商应及时向分包商提供图纸等技术文件，以使分包商按照分包工程进度计划实施和完成分包工程。4.5.2 TheContractorshall,withoutunduedelay,providetechnicaldocumentssuchasdrawingstotheSubcontractorsoastoenabletheSubcontractortoimplementandcompletethesubcontractworkinaccordancewiththeScheduleofSubcontractWorkProgress.4.5.3 承包商向分包商提供的图纸应为业主和/或工程师正式批准的图纸。如分包商对收到的图纸是否为正式批准存有疑问，则分包商应在收到图纸的7天内向承包商提出，逾期则视为图纸为正式批准的图纸，分包商应按照图纸和相关技术文件实施和完成分包工程。4.5.2ThedrawingsprovidedbytheContractortotheSubcontractorshallbethesamedulyapprovedbytheEmployerand/ortheEngineer.ProvidedthattheSubcontractorisindoubtastowhetherthedrawingsreceivedareofficiallyapproved,theSubcontractorshallsubmitthedoubtissuetotheContractorwithinseven(7)daysofreceiptoverwhichtimethedrawingsshallbedeemedtobeofficiallyapprovedandtheSubcontractorshallexecuteandcompletethesubcontractworkinaccordanceasperthedrawingsandrelatedtechnicaldocuments.4.5.3如承包商向分包商提供的图纸为未经业主和/或工程师正式批准的图纸，而承包商书面要求分包商施工时，则承包商应承担分包商按图施工产生的相应责任和费用，包括拆除费用和重建费用。4.5.3ProvidedthattheContractorprovidesSubcontractorwiththedrawingsthathavenotbeenformallyapprovedbytheEmployerand/orEngineer,andtheContractorrequestsinwritingtheSubcontractorperformtheworkthereunder,forwhichtheContractorshallassumethecorrespondingresponsibilitiesandcostswhichincurredbytheSubcontractorinperformingtheworkinaccordancewiththedrawings,includingdemolitioncostsandreconstructioncosts.4.5.4如果分包商按照承包商的要求按照未经正式批准的图纸施工，随后业主和/或工程师要求拆除或重建时，分包商有权要求给予相应的工期延长。4.5.4ProvidedthattheSubcontractorperformsworkatContractor'srequestinaccordancewiththedrawingswhichnotformallyapprovedandissubsequentlyrequiredbytheEmployerand/orEngineertodemolishorrebuild,theSubcontractorshallbeentitledtorequestthecorrespondingextensionofworktime.
