月1日起施行。海南省人民代表大会常务委员TheRegulationontheAdministrationofRegistrationofMarketParticipantsoftheHainanFreeTradePort,asadoptedatthe7thsessionoftheStandingCommitteeofthePeople'sCongressofHainanProvinceonNovember24,2023,isherebyissuedandshallcomeintoforceonMay1,2024.StandingCommitteeofthePeople'sCongressofHainanProvinceNovember 20232023年11月24日RegulationontheAdministrationofRegistrationofMarketParticipantsoftheHainanFreeTradePort(Adoptedatthe7thsessionoftheStandingCommitteeofthePeople,sCongressofHainanProvinceonNovember24,2023)ChapterIGeneralProvisionsArticle1Forthepurposesofregulatingtheadministrationofregistrationofmarketparticipants,protectingthelawfulrightsandinterestsofmarketparticipants,creatingofalawbased,internationalandconvenientbusinessenvironment,fairlyopeningaunifiedandhigh-efficientmarketenvironment,thisRegulationisdevelopedunderthebasicprinciplesprescribedinthelawsandadministrativeregulationsofthestateandinlightoftheactualcircumstancesoftheHainanFreeTradePort(uHNFTP).Article2TheregistrationofmarketparticipantsandrelevantmanagementandserviceactivitiesinHNFTPshallbegovernedbythisRegulation.TheconfirmationsystemforregistrationofmarketparticipantsshallbeimplementedinHNFTP.Theregistryshall,inaccordancewiththelegalauthorityandprocedures,confirmandpublicizethesubjectqualificationsandregistrationitemsofmarketparticipants.海南自由贸易港市场主体登记 管理条例(2023年11月24日海南省第 七届人民代表大会常务委员会 第七次会议通过)第一章总则第一条为了规范市场主 体登记管理活动,维护市场主 体合法权益,营造法治化、国 际化、便利化的营商环境和公 平开放统一高效的市场环境, 根据有关法律、行政法规的基 本原则,结合海南自由贸易港 实际,制定本条例。第二条 本条例适用于海 南自由贸易港内的市场主体登 记以及相关的管理、服务活 动。海南自由贸易港实行市场主体 登记确认制。登记机关依据法 定的权限和程序,对市场主体 的主体资格和登记事项予以确 认并公示。第三条本条例所称市场 主体,是指以营利为目的从事 经营活动的自然人、法人及非 法人组织,包括公司、非公司Article3ForthepurposesofthisRegulation,umarketparticipantsreferstonaturalpersons,legalpersonsandunincorporatedorganizationscarryingoutbusinessactivitiesforprofit,includingcompanies,unincorporatedenterpriselegalpersonsandtheirbranches;soleproprietorshipenterprises,partnershipenterprisesandtheirbranches;farmers'specializedcooperatives(associations)andtheirbranches;individualindustrialandcommercialhouseholds;branchesofforeigncompanies;andothermarketparticipantsasprescribedbylawsandadministrativeregulations.Article4Astheregistriesofmarketparticipants,themarketregulatorydepartmentsoftheprovincialpeople'sgovernmentsshallberesponsiblefortheregistrationofmarketparticipantsinHNFTPandrelevantsupervision,managementandservicework.Themarketregulatorydepartmentsofthepeople,sgovernmentsofcities,counties,andautonomouscountiesshallberesponsibleforthesupervision,administrationandserviceworkrelatedtotheregistrationofmarketparticipantswithintheirrespectivejurisdictions.Article5HNFTPshallimplementtheindependentdeclarationandregistrationsystemformarketparticipants,andimplementelectronicregistrationthroughouttheprocess.Anapplicantshallberesponsiblefortheauthenticity,legalityandvalidityoftheself-declaredinformationandmaterialssubmitted.企业法人及其分支机构;个人 独资企业、合伙企业及其分支 机构;农民专业合作社(联合 社)及其分支机构;个体工商 户;外国公司分支机构;法 律、行政法规规定的其他市场 主体。第四条省人民政府市场 监督管理部门是市场主体的登 记机关,负责海南自由贸易港 内的市场主体登记以及相关的 监督管理和服务工作。市、县、自治县人民政府市场 监督管理部门负责本辖区内市 场主体登记相关的监督管理和 服务工作。第五条海南自由贸易港 实行市场主体自主申报登记制 度,施行全程电子化登记。申 请人应当对自主申报信息和提 交材料的真实性、合法性和有 效性负责。申请人通过登记机关的电子化 登记平台,在网上向登记机关 申请市场主体设立、变更、注 销等相关事项,登记机关在网 上受理、审查、确认、发照和 存档。Throughtheelectronicregistrationplatformofaregistry,anapplicantshallapplytotheregistryonlinefortheformation,alteration,cancellationandotherrelatedmattersofmarketparticipants,andtheregistryshallaccept,examine,confirm,issuelicensesandfilethemonline.Themarketregulatorydepartmentsofthepeople'sgovernmentsatorabovethecountylevelshallprovideservicessuchasregistrationconsultation,guidanceandhandlingassistanceformarketparticipants.Article6HNFTPshallimplementtheregistrationcommissionersysteminthewholeisland.Registrationcommissionersshallindependentlyexercisethedutiesofacceptance,examinationandconfirmationintheregistrationofmarketparticipantsinaccordancewiththelaw,andassumecorrespondinglegalliability.Forthepurposesoftheprecedingparagraph,"registrationCommissionernmeansstaffmembersofthemarketregulatorydepartmentsspecificallyinchargeoftheregistrationofmarketparticipants.Article7Theprovincialpeople,sgovernmentshallestablishandimprovethemarketparticipantregistrationplatform,administrativeapprovalinformationmanagementplatformandnationalenterprisecreditinformationpublicitysystem(Hainan),strengtheninformationsharingwiththemarketparticipantsregistry,relevantadministrativeapprovalauthority,regulatorydepartmentsandrelevantentities,improvetheinformationpublicitysystem,andpromotecoordinatedbusinesshandling.Thepeople'sgovernmentsatorabovethecountylevelshallestablishasupervisionandlawenforcementcooperationandcoordinationmechanism,andrealizelawenforcementinteractioninlicensing,supervisionandotherrespectsofmarketparticipants.县级以上人民政府市场监督管 理部门应当为市场主体提供登 记咨询、引导、协助办理等服 务。第六条海南自由贸易港 实行全岛通办的注册专员制 度。注册专员在市场主体登记 中依法独立行使受理、审查、 确认等职责,并承担相应的法 律责任。前款所称注册专员,是指市场 监督管理部门具体负责市场主 体登记的工作人员。第七条 省人民政府应当 建立和完善市场主体登记平 台、行政审批信息管理平台和 国家企业信用信息公示系统 (海南),加强市场主体登记 机关、有关行政审批机关、监 管部门以及有关单位信息共 享,健全信息公示制度,推动 业务协同办理。县级以上人民政府应当建立监 管执法协作配合机制,实现对 市场主体的许可、监管等方面 的执法联动。第二章登记事项ChapterIlRegistrationItemsArticle8Marketparticipantsshallregisterthefollowingitems:第八条市场主体应当登记下列事项:(1)Thename.(一)名称;Thetype.(二)类型;Thedomicile.(三)住所;(4)Theregisteredcapitalortheamountofcapitalcontribution.(四)注册资本或者出资额;(5)Thenameofthelegalrepresentative,executivepartnerorpersonincharge.(五)法定代表人、执行事务合伙人或者负责人姓名。Inadditiontotheprovisionsoftheprecedingparagraph,thefollowingitemsshallberegisteredaccordingtothetypeofthemarketparticipant:除前款规定外,还应当根据市场主体类型登记下列事项:(1)Thenamesoftheshareholdersofthelimitedliabilitycompany,thepromotersofthejointstocklimitedcompanyandtheinvestorsofthenoncorporateenterpriselegalperson.(一)有限责任公司股东、股份有限公司发起人、非公司企业法人出资人的姓名或者名称;(2)Thenameandresidenceoftheinvestorofthesoleproprietorshipenterprise.(二)个人独资企业的投资人姓名及居所;(3) The name and domicile of the partner of a partnership, the method of assuming liability.(三)合伙企业的合伙人名称或者姓名、住所、承担责任方式;(四)个体工商户的经营场 所,经营者姓名、住所;(4)Thebusinesspremisesofindividualindustrialandcommercialhouseholds,thenamesanddomiciles of operators.(5) The business premise of the branch.(五)分支机构的经营场所。Article 9 The following items of a market participant shall be subject to recordation with the registry, and the registry shall archive them for future reference and announce them according to the provisions:第九条市场主体下列事 项应当向登记机关办理备案, 登记机关存档备查并按照规定 公示:(1) The bylaws or partnership agreement(一)章程或者合伙协议;(2) The licensed business items within the scope(二)经营范围中的许可经营of business.项目;(3) The business period or term of partnership.(三)经营期限或者合伙期 限;(四)有限责任公司股东或者 股份有限公司发起人认缴的出 资数额,合伙企业合伙人认缴 或者实际缴付的出资数额、缴 付期限和出资方式;(4)Theamountofcapitalcontributionsubscribedbytheshareholdersofthelimitedliabilitycompanyorthepromotersofthejointstocklimitedcompany,theamountofcapitalcontributionsubscribedfororactuallypaidbythepartnersofthepartnershipenterprise,thetimelimitforpaymentandthemethodofcapitalcontribution.(5) The members of farmers, cooperatives (associations).specialized(五)农民专业合作社(联合社)成员;(六)参加经营的个体工商户 家庭成员姓名;(6) Thenamesoffamilymembersofindividualindustrialandcommercialhouseholdsparticipatinginbusinessoperation.(七)公司、合伙企业等市场 主体受益所有人相关信息;(7) Theinformationonbeneficialownersofmarketparticipantssuchascompaniesandpartnerships.(A)歇业。(8) Theclosureofbusiness.第十条市场主体应当在 设立时或者下列事项变动之日 起二十个工作日内通过国家企 业信用信目公示系统(海南) 向社会公示:Article10Amarketparticipantshallpublicizetothepublicthroughthenationalenterprisecreditinformationpublicitysystem(Hainan)within20workingdaysfromthedateofformationorthedateofchangesinthefollowingitems:(一)公司董事、监事、高级 管理人员;(1) Directors,supervisorsandseniorexecutivesofthecompany.(二)市场主体登记联络员;(2) Registrationliaisonofficerofthemarketparticipants.(三)外商投资企业法律文件 送达接受人;(3) Serviceoflegaldocumentsofaforeign-investedenterpriseontherecipient.(四)经营范围中的一般经营 项目。(4) Generalbusinessitemswithinthebusinessscope.第十一条申请人可以通 过市场主体登记平台以自主申 报、事先承诺的方式办理名称 登记。Article 11 Anapplicantmayapplyfornameregistrationthroughthemarketparticipantregistrationplatformintheformofself-declarationandpriorcommitment.登记机关应当运用现代信息技 术,对申请人申报的名称是否 与他人相同或者近似等情形进 行自动比对,实时导出比对结 果,及时提不申请人可能存在 的法律风险。第十二条申请人自主申Theregistryshallusemoderninformationtechnologytoautomaticallycomparewhetherthenamedeclaredbyanapplicantisthesameorsimilartoothers,exportthecomparisonresultsinrealtime,andremindtheapplicantofpossiblelegalrisksinatimelymanner.Article 12 Anapplicantshallindependentlydeclaretheinformationonitsresidenceor报住所或者经营场所信息。businesspremise.电子商务平台内的自然人经营 者可以根据国家有关规定,将 电子商务平台提供的网络经营 场所作为经营场所。同一经营 者有两个以上网络经营场所 的,应当一并登记。Naturalpersonoperatorsonane-commerceplatformmay,inaccordancewiththerelevantregulationsofthestate,usethenetworkbusinesspremisesprovidedbythee-commerceplatformasbusinesspremises.Wherethesameoperatorhastwoormorenetworkbusinesspremises,theyshallberegisteredtogether.市场主体之间有控制关系、有 共同投资方或者隶属于同一集 团的,可以将同一地址作为住 所登记。Wheremarketparticipantshavecontrollingrelationship,havejointinvestorsorareunderthesamegroup,thesameaddressmayberegisteredasthedomicile.在县级以上人民政府、产业园 区管理机构指定的集中办公区 域内,同一地址可以登记为多 家市场主体的住所,营业执照 上载明该住所为“集中办公 区“。Inthecentralizedofficeareasdesignatedbythepeople'sgovernmentsatorabovethecountylevelandtheadministrativeorgansoftheindustrialpark,thesameaddressmayberegisteredasthedomicileofmultiplemarketparticipants,andthebusinesslicenseshallindicatethatthedomicileisa“centralizedofficearea.n登记机关应当对申报的住所或 者经营场所与相关部门提供的 信息在线进行核对。第十三条海南自由贸易 港推行住所和经营场所分离改 革。市场主体需要在住所以外 开展经营活动的,可以办理分 支机构设立登记,也可以备案 多个符合条件的经营场所。Theregistryshallverifythedomicileorbusinesspremisedeclaredwiththeinformationprovidedbytherelevantdepartmentonline.Article 13 HNFTPshallimplementthereformofseparatingdomicilesandbusinesspremises.Amarketparticipantthatneedstocarryoutbusinessactivitiesoutsideitsdomicilemayhandleregistrationoftheformationofitsbranches,andalsoundergotherecordationformalitiesformultiplequalifiedbusinesspremises.第十四条省大数据管理Article 14 Theprovincialbigdatamanagementinstitutionshallestablishastandardaddress机构应当会同省人民政府自然 资源和规划、住房和城乡建 设、公安、民政等部门建立标 准地址库。登记机关推动实现 登记平台与标准地址库对接。libraryinconjunctionwiththedepartmentsofnaturalresourcesandplanning,housingandurban-ruralconstruction,publicsecurityandcivilaffairsoftheprovincialpeople'sgovernment.Theregistryshallpromotetheconnectionoftheregistrationplatformwiththestandardaddresslibrary.县级以上人民政府应当制定、 公布住所和经营场所的禁设区 域目录,并实行动态调整。禁 设区域目录内容包括项目类 别、禁设区域、禁设依据、相 关法律责任以及主管部门等内 容。市场主体不得以禁设区域 目录所列的场所作为住所或者 经营场所。Thepeople'sgovernmentsatorabovethecountylevelshalldevelopandannouncethelistofprohibitedareasfordomicilesandbusinesspremises,andimplementdynamicadjustment.Thecontentsofthelistofprohibitedareasshallincludethecategoriesofitems,prohibitedareas,prohibitedgrounds,relevantlegalliabilityandcompetentdepartments,amongothers.Marketparticipantsshallnotuseplacesinthelistofprohibitedareasasdomicilesorbusinesspremises.登记机关对申请人申报的住所 和经营场所,不审查其法定用 途和使用功能,但应当告知禁 设区域目录的内容。Theregistryshallnotexaminethelegalpurposesandfunctionsofthedomicileandbusinesspremisesdeclaredbytheapplicant,butshallinformthecontentsofthelistofprohibitedareas.第十五条市场主体从事 电子商务、咨询、策划等经营 活动,无需固定住所的,可以 委托具备条件的律师事务所、 会计师事务所、税务师事务 所、商务秘书企业等单位进行 住所托管,以受托单位住所或 者经营场所作为该市场主体的 住所。Article 15 Amarketparticipantcarryingoute-commerce,consulting,planningandotherbusinessactivitiesthatdoesnotneedafixeddomicilemayentrustdomiciletrusteeshiptoaqualifiedlawfirm,accountingfirm,taxagency,commercialsecretaryenterpriseandotherentities,withtheentrustedentity,sdomicileorbusinesspremiseasthedomicileofthemarketparticipant.第三章登记规范ChapterIIIRegistrationRegulationsArticle16Anapplicantmayentrusthandlingoftheregistrationofmarketparticipanttoanothernaturalpersonorintermediary.Theentrustednaturalpersonorintermediaryshallabidebytherelevantprovisionsandshallnotprovidefalseinformationormaterials.第十六条申请人可以委 托其他自然人或者中介机构代 其办理市场主体登记。受委托 的自然人或者中介机构代为办 理登记事宜应当遵守有关规 定,不得提供虚假信息和材 料。(1) Article17Anapplicantshallcooperatewiththeregistryinverifyingtherealnameofthefollowingrelevantpersonnelthroughthereal-nameauthenticationsystem,byfacerecognitionandothermeans:(2) 1.egalrepresentative,executivepartnerandpersonincharge.(一)法定代表人、执行事务 合伙人、负责人;(3) Shareholdersofalimitedliabilitycompany,promotersofajointstocklimitedcompany,anddirectors,supervisorsandseniorexecutivesofthecompany.(二)有限责任公司股东,股 份有限公司发起人,公司董 事、监事及高级管理人员;(4) Investorsofsoleproprietorshipenterprises,partnersofpartnershipenterprises,membersoffarmers*specializedcooperatives(associations),andindividualindustrialandcommercialoperators.(三)个人独资企业投资人、 合伙企业合伙人、农民专业合 作社(联合社)成员、个体工 商户经营者;(5) Theregistrationliaisonofficerofthemarketparticipantandtherecipientoflegaldocumentsofforeign-investedenterprises.(四)市场主体登记联络员、 外商投资企业法律文件送达接 受人;(6) Designatedrepresentativesorentrustedagents.(五)指定的代表人或者委托 代理人。因特殊原因,当事人无法通过Duetospecialreasons,apartythatisunabletopassthereal-nameauthenticationsystemtoverify实名认证系统核验身份信息 的,可以提交经依法公证的自 然人身份证明文件,或者由本 人持身份证件到现场办理。theidentityinformationmaysubmitanaturalperson,sidentificationnotarizedinaccordancewiththelaw,orhandleiton-siteuponstrengthofhisidentification.第十八条登记机关应当 在服务窗口、政务网站和一体 化在线政务服务平台,公布市 场主体设立、变更、注销登记 及备案需要提交的申请材料目 录及文书格式规范。Article18Theregistryshall,throughtheservicewindow,thegovernmentaffairswebsiteandtheintegratedonlinegovernmentserviceplatform,announcethecatalogueofapplicationmaterialsandformatspecificationsfordocumentsthatmarketparticipantsneedtosubmitforformation,alteration,cancellationofregistrationandrecordation.申请人免于提交决议、决定、 相关人员任免职文件、股权转 让协议、住所或者经营场所使 用证明、清算报告等材料,但 是市场主体应当留存备查。Applicantsareexemptfromsubmittingresolutions,decisions,relevantpersonnelappointmentandremovaldocuments,equitytransferagreements,certificatesforuseofdomicileorbusinesspremises,liquidationreportsandothermaterials,butmarketparticipantsshallkeepthemforfuturereference.第十九条申请登记、备 案事项前需要审批的,在办理 登记、备案时,未提交有关批 准文件或者许可证书的,不予 登记、备案。Article19Whereapprovalisrequiredbeforeanapplicationforregistrationorrecordationmattersisfiled,theregistrationorrecordationformalitiesshallnotbeundergonewheretherelevantapprovaldocumentsorlicensecertificatesarenotsubmittedatthetimeofregistr
