1、recognizesthevalueandpotentialofthedigitaleconomytoincreasecompetitionandimproveproductivity.Towardthisend,theStateshallguaranteeeffectiveregulationofe-commercetoprotectconsumerrightsanddataprivacy,encourageinnovation,promoteComPeIitiOn,secureinternettransactions,upholdintellectualpropertyrights,ens
2、ureproductstandardsandsafetycompliance,andobserveenvironmentalsustainability.SEC.3.ScopeandCoverage.-ThisActshallapplytoallbusiness-to-businessandbusiness-to-consumerinternettransactionswithinthemandateOftheDepartmentofTradeandIndustry(DTI),whereone(l)ofthepartiesissituatedinthePhilippinesorwherethe
3、digitalplatform,e-retailer,oronlinemerchantisavailingofthePhilippinemarketandhasminimumcontactstherein:Provided,Thatonlinemediacontent,andconsumer-to-consumer(C2C)transactionsshallnotbecoveredunderthisAct.SEC.4.DefinitionofTerms.-AsusedinthisAct:(a)Business-to-businessTransactionreferstointernettran
4、sactionsbetweenbusinesses,suchasbetweenamanufacturerandawholesaler,orawholesalerandaretailer,whetherthetransactingpartiesarenaturalorjuridicalpersons;(b)Bsiness-to-consumerTransactionreferstointernettransactionsbetweenbusinessesandend-users;(c)Cosumer-to-cosumer(C2C)Transactionsrefertotransactionsbe
5、tweenend-usersdoneforpersonal,family,orhouseholdpurposesandnotdoneintheordinarycourseofbusiness;d)DigitaIPlatformsrefertoinformationandcommunicationtechnology-enabledmechanismsthatconnectandintegrateproducersandusersinonlineenvironmentswheregoodsandservicesarerequested,developed,andsold,anddataisgen
6、eratedandexchangedsuchas,butnotlimitedto,e-marketplace,mobiIeapplicationplatforms,onlinedeliveryplatforms,socialmediaPiatfbrmS,andtravelplatforms;(e)E-marketplacereferstodigitalplatformswhosebusinessistoconnectonlineconsumerswithonlinemerchants,facilitateandconcludethesales,processthepaymentofthepro
7、ducts,goodsorservicesthroughthePIatfbrm,orfacilitatetheshipmentofgoodsorprovidelogisticsServicesandpost-purchasesupportwithinsuchplatforms,andotherwiseretainsoversightovertheconsummationofthetransaction;(4)E-retailerreferstoanaturalorjuridicalpersonsellinggoodsorservicesdirectlytoonlineconsumersthro
8、ughitsownwebsite,webpageorapplication;()Goodsrefertophysicallyordigitallyproduceditemsoverwhichownershiporproprietaryrigtsmaybeestablishedandtransferredfromone(institutionalunittoanotherbyenteringintoatransaction;(h)IntemetTransactionreferstothesaleorleaseofdigitaiornon-digitalgoodsandservicesoverth
9、eintemet.ForpurposesofthisAct,internettransactionsshallalsorefertoe-commerce:GOnlineConsumerreferstoanaturalorjuridicalpersonwhopurchases,leases,receives,orsubscribestogoodsorservicesovertheinternetforafee;OnlineMerchantreferstoapersonsellingnon-fnancialgoodsorservicestoonlineconsumersthroughane-mar
10、ketplaceorthird-partydigitalplatfon.Ane-retailershallalsobeconsideredanonlinemerchantifitoffersthesamegoodsorservicesoutsideitsownwebsitethroughathird-partydigitalplatformandtheonlineconsumerpurchases,leases,subscribesto,orobtainstheserviceofthee-retailerthroughthesaidthird-partyplatform;and(k)Produ
11、cerreferstothemanufacturerorimporterofgoodsranypersonpurp,ortingtobeamanufacturerlacesitsnaine,trademart,orOtherdistinctivesignon,gowhoodsSEC.5.Extra-teitorialApplication.-Apersonwhoengagesine-commerce,whoavalsofthePhilippinemarkettotheextentofestablishingminimumcontactsherein,shallbesubjecttoapplic
12、ablePhilippinelawsandregulationsandcannotevadelegalliabilityinthePhilippinesdespitelackoflegalpresenceinthecountrySEC.6.EqualTreatmentofOnlineandOfflineCommercialActivities.-Unlessotherwisespecified,thisActshallbeconstruedtoensurethatthosewhoengageine-commerceshallnotenjoyanybeneficialtreatmentthati
13、smorefavorable,norbeplacedatadisadvantage,inrelationtootherenterprisesthatoffergoodsandservicesofflineinthePhilippines.CHAPTERIIE-COMMERCEBUREAUSEC.7.CreationandCompositionoftheE-CommerceBureau.-Withinsix(6)monthsaftertheeffectivityofthisAct,theE-CommerceBureau,hereinafterreferredtoastheBureau,shall
14、becreatedundertheDTI.TheBureaushallbeheadedbyaDirectorandatleastOne(I)AssistantDirectorwhomustpossesscompetenciesine-commerceandonlinetransactions,andallthelawsandprocessesrelatedthereto.TheDTISecretaiyshalldeterminetheorganizationalstructureandstaffingpatternoftheBureau,subjecttotheapprovaloftheDep
15、artmentofBudgetandManagementandconsistentwiththecivilservicelaws,rulesandregulations.SEC.8.FunctionsoftheE-CommerceBureau.-TheBureaushallhavethefollowingpowersandfunctions:(a)Formulatepolicies,plans,andprogramstoensuretherobustanddynamicdevelopmentofe-commerce;(b)Implement,monitor,andensurestrictcom
16、pliancewiththeprovisionsofthisAct;(c)ExerteffortstoenforcetheregistrationofdigitalplatformsandonlinemerchantswiththeBureauandtorequirethesubmissionofinformationnecessaryforpolicy-makingandprogramdevelopmentpurposes,consistent,however,withtheprinciplesofminimizationandproportionalityindataprivacy;(d)
17、ldentifyregulatorygapsaffectingthee-commerceandrecommendappropriateexecutiveorlegislativemeasuresthatfosterthegrowthofthesector;(e)Receiveandreferbusinessandconsumercomplaintsoninternettransactionstotheappropriategovernmentagency,consistentwiththeno-wrongdoorpolicyoftheDTI;H)Coordinatewithorpetition
18、,throughtheDTlSecretary,wheneverappropriate,anyentity,governmentagency,orinstrumentalitytotakeactiononanymatterthatmayimpedee-commerce;(g)Investigate,motuproprio,andrecommendthefilingoftheappropriatecaseforviolationsofthisAct;(h)MonitortheimplementationofthisActforpolicy-makingandprogramdevelopmentp
19、urposes;Developconsumereducationandinfbnationprogramsforconsumersofdifferentages,i11comesandliteracy,givingspecialattentiontotheneedsofvulnerableanddisadvantagedconsumers,byraisingawarenessonrights,responsibilities,andredflagsininternettransactions,withthegoalofenablingconsumerstomakeinformedchoices
20、andpreventingthemfromfallingpreytoonlinefraudsandscams;6CollaborateW汕BangkOSentralngPilipinas(BSP)andothergovernmentagenciestodevelopframeworkstoincentivizetheuseofdigitalpaymentsandpromotetheireducationandadoptionamongbusinessesandconsumers;and(k)Engagewithlawenforcementandotherrelevantgovernmentag
21、enciesinafonalizedinter-regulatorcooperationmechanismtoaddressallcross-cuttingissuesandconcernsthataffectonlineconsumersandthegeneralpublic.ThepowersoftheBureaushallnotbeexercisedinamannerthatstiflesinnovation,restrictscompetition,createsbarrierstoentryintrade,orimpedestheeaseofdoingbusiness.SEC.9.R
22、eferralandTrackingofComplaintS-TheBureaushallreferanycomplaintitreceivesinvolvingviolationsofotherlawscommittedinthecourseofe-commerceactivitiestotheappropriateregulatoryauthorityforaction.Inappropriatecases,theDTImayinitiateaformalcomplaintwiththeappropriateregulatoyauthorities.ThcBureaushalltracka
23、nysuchcomplaintorreferralandcoordinatethespeedyresolutionthereof.SEC.lO.OnlineBusinessDatabase(OBD)-Withinone(l)yearfromtheeffectivityofthisAct,theBureaushallestablishadatabaseofdigitalplatforms,e-marketplaces,e-retailers,andonlinemerchantsengagedine-commerceinthePhilippinesthatwillprovidethegovernm
24、entandonlineconsumersaccesstocontactinformationofonlinebusinesses.InestablishingtheOBD,theDTIshallutilizeexistingbusinessdatabasesandcoordinatewithotheragenciesthatalreadymaintainedthesameorsimilardatabase.TheDTI,inconsultationwiththeDepartmentofInformationandCommunicationsTechnology(DICT),theNation
