7、easingCompanies(ExposureDraft)金融租赁公司管理办法求意见稿）（征ChapterIGeneralProvisions第一章总则Article1PurposeTheseMeasuresaredevelopedinaccordancewiththeCivilCodeofthePeoplesRepublicofChina,theCompanyLawofthePeoplesRepublicofChina,theBankingSupervisionLawofthePeoplesRepublicofChina,andotherapplicablelawsandregulatio

8、nsforthepurposesofregulatingtheoperationsoffinancialleasingcompanies,第一条【制定目的】为规范金融租赁公司经营行为，防范金融风险，促进金融租赁公司稳健经营和高质量发展，根据中华人民共和国民法典中华人民共和国公司法中华人民共和国银行业监督管理法等法律法规，制定本办法。第二条【机构定义】本办 法所称金融租赁公司，是指经国 家金融监督管理总局批准设立 的，以经营融资租赁业务为主的 非银行金融机构。金融租赁公司名称中应当标明 “金融租赁”字样。未经国家金 融监督管理总局批准，任何机构 不得在其名称中使用“金融租 赁”字样。第三条【融资

9、租赁业务定 义】本办法所称融资租赁，是指 金融租赁公司作为出租人，根据 承租人对出卖人、租赁物的选 择，向出卖人购买租赁物，提供 给承租人使用，承租人支付租金 的交易活动，同时具有资金融通 性质和租赁物所有权由出卖人转 移至出租人的特点。售后回租业务是承租人和出卖人 为同一人的融资租赁形式，即承 租人将自有资产出卖给出租人， 同时与出租人签订融资租赁合 同，再将该资产从出租人处租回 的融资租赁形式。preventingfinancialrisks,andpromotingthesoundoperationandhigh-qualitydevelopmentoffinancialleasingc

10、ompanies.Article2DefinitionofinstitutionsForthepurposesoftheseMeasures,financialleasingcompaniesmeansnon-bankingfinancialinstitutionsthatareformedwiththeapprovaloftheNationalFinancialRegulatoryAdministration(NFRA)andmainlyengagedinfinancialleasing.Financialleasingcompaniesshallincludethewords“financ

11、ialleasing“intheirnames.WithouttheapprovaloftheNFRA,noinstitutionmayusethewords“financialleasing“initsname.Article3DefinitionoffinancialleasingForthepurposesoftheseMeasures,financialleasing*1meanstransactionactivitiesinwhichafinancialleasingcompany,asthelessor,purchasesleasedpropertyfromtheseller,ac

12、cordingtothelesseesselectionofthesellerandleasedproperty,andprovidestheleasedpropertytothelesseeforuse,whilethelesseepaystherent.Suchatransactionischaracterizedbythenatureoffinancingandthetransferofownershipoftheleasedpropertyfromthesellertothelessor.uSaIeandIeasebacknmeansaformoffinancialleasinginw

13、hichthelesseeisalsotheseller,thatis,thelesseesellsitsownpropertytothelessorand,atthesametime,entersintoafinancialleasingcontractwiththelessortoleasebackthepropertyfromthelessor.Whencarryingoutthefinancialleasing金融租赁公司开展融资租赁业务时，应当遵守国家相关法律法规 要求，并符合会计准则的相关规 定。business,financialleasingcompaniesshallcomp

14、lywiththerequirementsofrelevantlawsandregulationsofthestateandtherelevantprovisionsofaccountingstandards.第四条 【租赁物类型】金 融租赁公司开展融资租赁业务的 租赁物类型，包括设备资产、生 产性生物资产以及国家金融监督 管理总局认可的其他资产。第五条【专业子公司、项 目公司】本办法所称专业子公 司，是指经国家金融监督管理总 局批准，金融租赁公司设立的从 事特定领域融资租赁业务或以特 定业务模式开展融资租赁业务的 专业化租赁子公司。Article4TypesofleasedpropertyT

15、hetypesofleasedpropertyusedbyfinancialleasingcompaniestocarryoutthefinancialleasingbusinessincludeequipmentassets,productivebiologicalassets,andotherassetsrecognizedbytheNFRA.Article5SpecializedsubsidiaryorprojectcompanyForthepurposesoftheseMeasures,specializedsubsidiarymeansaspecializedleasingsubsi

16、diaryformedbyafinancialleasingcompanywiththeapprovaloftheNFRAtoengageinthefinancialleasingbusinessinspecificfieldsorcarryoutthefinancialleasingbusinessinaspecificbusinessmodel.本办法所称项目公司是指金融租 赁公司、金融租赁公司专业子公 司为从事融资租赁业务等特定目 的而专门设立的项目子公司。ForthepurposesoftheseMeasures,auprojectcompanynmeansaprojectsubsid

17、iaryspeciallyformedbyafinancialleasingcompanyorafinancialleasingcompay,sspecializedsubsidiaryforspecificpurposessuchasengaginginthefinancialleasingbusiness.第六条【监督管理】国家 金融监督管理总局及其派出机构 依法对金融租赁公司、金融租赁 公司专业子公司以及所设立的项 目公司实施监督管理。Article6SupervisionandadministrationTheNFRAanditslocalofficesshall,inaccordan

18、cewiththelaw,superviseandadministerfinancialleasingcompanies,specializedsubsidiariesoffinancialleasingcompanies,andprojectcompaniesformedbythem.第二章机构设立及变更ChapterIlFormationandModificationofInstitutionsSection 1 Formation and Modification of Financial Leasing CompaniesArticle 7 Conditions for the for

19、mation of a financial leasing company To apply for the formation of a financial leasing company, the applicant shall meet the following conditions:(1) The bylaws of the financial leasing company comply with the provisions of the Company Law of the Peoples Republic of China and the rules of the NFRA.

20、第一节金融租赁公司设立及变 更第七条 【金融租赁公司设 立条件】申请设立金融租赁公 司，应当具备以下条件：（一）有符合中华人民共和国 公司法和国家金融监督管理总 局规定的公司章程；(2) Themajorpromoterofthefinancialleasingcompanysatisfiestheprescribedconditions.（二）有符合规定条件的主要发 起人；(3) Itsregisteredcapitalismonetarycapitalpaidupinalumpsumof,ataminimum,onebillionyuanoranequivalentinfreelyconv

21、ertiblecurrencies,andtheNFRAmayadjusttheminimumamountofregisteredcapitalofthefinancialleasingcompanyinlightofthecompanysdevelopmentandtheneedsofprudentialregulation.（三）注册资本为一次性实缴货 币资本，最低限额为10亿元人民 币或等值的可自由兑换货币，国 家金融监督管理总局根据金融租 赁公司的发展情况和审慎监管的 需要，可以调整金融租赁公司注 册资本金的最低限额；（四）有符合任职资格条件的董 事、高级管理人员，并且从业人 员中具有

22、金融或融资租赁工作经 历3年以上的人员应当不低于总 人数的50%,并且在风险管理、 资金管理、合规及内控管理等关 键岗位上至少各有1名具有3年 以上相关金融从业经验的人员；(4) Thefinancialleasingcompanyhasdirectorsandofficersmeetingtheofficequalificationrequirements,andthenumberofitsemployeeswiththreeyearsormoreofexperienceinthefinancialorfinancialleasingfieldaccountsfornotlessthan50

23、%ofthetotalnumberofitsemployees.Italsohasemployeeswhoarequalifiedtoholdofficeandatleastonepersonwiththreeormoreyearsofexperienceinthefinancialfieldonkeypositionssuchasriskmanagement,fundmanagement,andcomplianceandinternalcontrolmanagementrespectively.（五）建立了有效的公司治理、 内部控制和风险管理体系；(5) Ithasestablishedan

24、effectivecorporategovernance,internalcontrol,andriskmanagementsystem.（六）建立了与业务经营和监管 要求相适应的信息科技架构，具 有支撑业务经营的必要、安全且 合规的信息系统，具备保障业务 持续运营的技术与措施；(6) Ithasestablishedaninformationtechnologyframeworkcommensuratewithitsoperationsandsatisfyingtheregulatoryrequirements,hasnecessary,safe,andcompliantinformatio

25、nsystemstosupportitsoperations,andhastechnologiesandmeasuresthatguaranteeitscontinuousoperations.（七）有与业务经营相适应的营 业场所、安全防范措施和其他设 施；(7) Ithasbusinesspremises,safetyprecautionmeasures,andotherfacilitiessuitableforitsoperations.（A）国家金融监督管理总局规 章规定的其他审慎性条件。(8) Itmeetsotherprudentialconditionsspecifiedinthe

26、rulesoftheNFRA.第八条 【主要发起人要 求】金融租赁公司的主要发起人 类型包括在中国境内外注册的具 有独立法人资格的商业银行，在 中国境内外注册的、主营业务为 制造适合融资租赁交易产品的大 型企业，在中国境外注册的具有 独立法人资格的融资租赁公司， 依法设立或授权的国有金融资本 投资、运营公司以及国家金融监 督管理总局认可的发起人。Article8RequirementsformainpromotersThemainpromotersoffinancialleasingcompaniesincludecommercialbanksregisteredinsideoroutside

27、Chinawithanindependentlegalpersonstatus,large-sizedenterprisesregisteredinsideoroutsideChinaandmainlyengagedinthemanufacturingofproductssuitableforfinancialleasingtransactions,financialleasingcompaniesregisteredoutsideChinawithanindependentlegalpersonstatus,companiesinvestedbyandoperatedwithstate-ow

28、nedfinancialcapitalformedorauthorizedbylaw,andpromotersrecognizedbytheNFRA.金融租赁公司应当有一名符合第 十条至第十三规定的主要发起 人，且其出资比例不低于拟设金 融租赁公司全部股本的51%。Afinancialleasingcompanyshallhave,ataminimum,onepromoterthatmeetstheconditionsspecifiedinArticles10through13,andthepromoterscapitalcontributionshallaccountfornotlessth

29、an51%ofthetotalcapitalstockofthefinancialleasingcompanytobeformed.根据国务院授权持有金融股权的 投资主体、银行业金融机构，法 律法规另有规定的主体，以及投 资人经国家金融监督管理总局批 准并购重组高风险金融租赁公 司，不受本条前款规定限制。Themergerandacquisitionorrestructuringofahigh-riskfinancialleasingcompanybyaninvestorholdingfinancialequityuponauthorizationbytheStateCouncil,abank

30、ingfinancialinstitution,anentityasotherwiseprescribedbylawsandregulations,oraninvestoruponapprovaloftheNFRAshallnotbesubjecttotheprovisionsoftheprecedingparagraph.第九条 【主要发起人条 件】金融租赁公司主要发起人， 应当具备以下条件：Article 9 ConditionsformainpromotersThemainpromoterofafinancialleasingcompanyshallmeetthefollowingcon

31、ditions:（一）具有良好的公司治理结 构、健全的风险管理制度和内部 控制机制；(1) Ithasagoodcorporategovernancestructure,soundriskmanagementrules,andaneffectiveinternalcontrolmechanism.（二）为拟设立金融租赁公司确 定了明确的发展战略和清晰的盈 利模式；(2) Ithasdetermineddefinitedevelopmentstrategiesandaclearprofitmodelforthefinancialleasingcompanytobeformed.（三）最近2年内未

32、发生重大案 件或重大违法违规行为；(3) Ithasneitherbeeninvolvedinanymajorcasenorcommittedanyseriousviolationoflawsandregulationsinthepasttwoyears.（四）有良好的社会声誉、诚信 记录和纳税记录；(4) Ithasagoodsocialreputation,agoodintegrityrecord,andagoodtaxpaymentrecord.（五）入股资金为自有资金，不 得以委托资金、债务资金等非自 有资金入股；(5) Thecapitaltobecontributedbyittot

33、hefinancialleasingcompanyisitsowncapital,anditmaynotmakesuchcapitalcontributionwithfundsheldasatrusteeorborrowedfunds.(6) Itcomplieswiththelawsandregulationsofitsplaceofregistrationifitisregisteredoverseas.(7) ItmeetsotherprudentialconditionsspecifiedintherulesoftheNFRA.Article 10 Conditionsforcomme

34、rcialbanksaspromotersTobeamainpromoterofafinancialleasingcompany,acommercialbankregisteredinsideoroutsideChinawithanindependentlegalpersonstatusshall,inadditiontosatisfyingtheconditionsspecifiedinArticle9oftheseMeasures,meetthefollowingconditions:(1) Itsregulatoryratingisgood.(2) Itstotalassetsatthe

35、endofthelastaccountingyearwerenotlessthan80billionyuanoranequivalentinfreelyconvertiblecurrencies.(3) Itsfinancialconditionisgood,withprofitsearnedinthelasttwoaccountingyearsconsecutively.(4) Thebalanceofitsequityinvestmentshallgenerallynotexceed50%ofitsnetassets(includingtheamountofthecurrentinvest

36、ment).(5) Ithaseffectiveanti-moneylaunderingmeasures.（六）注册地位于境外的，应遵 守注册地法律法规；（七）国家金融监督管理总局规 章规定的其他审慎性条件。第十条【商业银行发起人 条件】在中国境内外注册的具有 独立法人资格的商业银行作为金 融租赁公司主要发起人，除适用 本办法第九条规定的条件外，还 应当具备以下条件：（一）监管评级良好;（二）最近1个会计年度末总资 产不低于8000亿元人民币或等值 的可自由兑换货币；（三）财务状况良好，最近2个 会计年度连续盈利；（四）权益性投资余额原则上不 得超过本行净资产的50% （含本 次投资金额）；（

37、五）具有有效的反洗钱措施;（六）境外商业银行所在国家或 地区的金融监管当局已经与国家 金融监督管理总局建立良好的监(6) ThefinancialregulatoryauthorityofthecountryorregionwheretheoverseascommercialbankislocatedhasestablishedasoundsupervisionandadministrationcooperationmechanismwiththeNFRA.(7) Itsatisfiestheprudentialregulationrequirementsoftheregulatoryauth

38、orityofthecountryorregionwhereitislocated.(8) ItmeetsotherprudentialconditionsspecifiedintherulesoftheNFRA.Article11ConditionsforlargeenterprisesaspromotersTobeamainpromoterofafinancialleasingcompany,alarge-sizedenterpriseregisteredinsideoroutsideChinaandmainlyengagedinthemanufacturingofproductssuit

39、ableforfinancialleasingtransactionsshall,inadditiontosatisfyingtheconditionsspecifiedinArticle9oftheseMeasures,meetthefollowingconditions:(1) Itsoperatingrevenueinthelastaccountingyearwasnotlessthan50billionyuanoranequivalentinfreelyconvertiblecurrencies.(2) Itsnetassetsattheendofthelastaccountingye

40、arwerenotlessthan40%ofitstotalassets.(3) Itssalesrevenuefromitsmainbusinessinthelastaccountingyearaccountsfor,ataminimum,80%ofitstotaloperatingrevenue.(4) Itsfinancialconditionisgood,withprofitsearnedinthelastthreeaccountingyearsconsecutively.督管理合作机制;（七）满足所在国家或地区监管 当局的审慎监管要求；（A）国家金融监督管理总局规 章规定的其他审慎性

41、条件。第十一条【大型企业发起 人条件】在中国境内外注册的、 主营业务为制造适合融资租赁交 易产品的大型企业作为金融租赁 公司主要发起人，除适用本办法 第九条规定的条件外，还应当具 备以下条件：（一）最近1个会计年度的营业 收入不低于500亿元人民币或等 值的可自由兑换货币；（二）最近1个会计年度末净资 产不低于总资产的40%；（三）最近1个会计年度主营业 务销售收入占全部营业收入的 80%以上；（四）财务状况良好，最近3个 会计年度连续盈利；(5) Thebalanceofitsequityinvestmentshall(五)权益性投资余额原则上不generallynotexceed40%of

42、itsnetassets(includingtheamountofthecurrentinvestment).(6) ItmeetsotherprudentialconditionsspecifiedintherulesoftheNFRA.Ifastate-ownedenterpriseholdstheequityofafinancialleasingcompanythroughaninvestmentoroperatingcompanywithinthegroupbasedonitsbusinessmanagementneeds,compliancewiththeconditionsspec

43、ifiedinthisarticlemaybedeterminedbasedonthedatainthegroupsconsolidatedstatementsortheconsolidatedstatementsofthemanufacturinginstitutionwiththelegalpersonstatuswithintheconsolidationscopeofthegroup.Article12ConditionsforoverseasfinancialleasingcompaniesaspromotersTobeamainpromoterofafinancialleasing

44、company,afinancialleasingcompanyregisteredoutsideChinawithanindependentlegalpersonstatusshall,inadditiontosatisfyingtheconditionsspecifiedinArticle9oftheseMeasures,meetthefollowingconditions:(1) Afinancialleasingcompanysubjecttofinancialregulationshallmeettheconditionsspecifiedinsubparagraphs(1),(3)

45、,(5),(6),and(7)ofArticle10.得超过本公司净资产的40% （含 本次投资金额）；（六）国家金融监督管理总局规 章规定的其他审慎性条件。国有企业根据经营管理需要，通 过集团内投资、运营公司持有金 融租赁公司股权的，可以按照集 团合并报表或集团合并范围内制 造业法人机构合并报表数据认定 本条规定条件。第十二条【境外融资租赁 公司发起人条件】在中国境外注 册的具有独立法人资格的融资租 赁公司作为金融租赁公司主要发 起人，除适用本办法第九条规定 的条件外，还应当具备以下条 件：（一）接受金融监管的融资租赁 公司，应当满足第十条第一项、 第三项、第五项、第六项和第七 项规定的条件

46、；（二）在业务资源、人才储备、 管理经验等方面具备明显优势， 在融资租赁业务开展等方面具有 成熟经验；(2) Ithasevidentadvantagesinsuchaspectsasbusinessresources,humanresourcesreserve,andmanagementexperience,andhasmatureexperienceinsuchaspectsasdevelopingthefinancialleasingbusiness.(3)Itstotalassetsattheendofthelastaccountingyearwerenotlessthan20bill

47、ionyuanoranequivalentinfreelyconvertiblecurrencies.（三）最近1个会计年度末总资产不低于200亿元人民币或等值的可自由兑换货币；(4) Thebalanceofitsequityinvestmentshallgenerallynotexceed50%ofitsnetassets(includingtheamountofthecurrentinvestment).(5) ItmeetsotherprudentialconditionsspecifiedintherulesoftheNFRA.（四）权益性投资余额原则上不得超过本公司净资产的50%（

48、含本次投资金额）；（五）国家金融监督管理总局规章规定的其他审慎性条件。Article13Conditionsforcompaniesinvestedbyoroperatedwithstate-ownedfinancialcapitalaspromotersTobeamainpromoterofafinancialleasingcompany,acompanyinvestedbyoroperatedwithstate-ownedfinancialcapitalasformedorauthorizedinaccordancewiththelawshall,inadditiontosatisfyingtheconditionsspecifiedinArticle9oftheseMeasures,meetthefollowingconditions:第十三条【国有金融资本投资、运营公司发起人条件】依法设立或授权的国有金融资本投资、运营公司作
