1、相关技术引进合同（1）适用让与人前言Forewords本合同于年月日在签订。No.:,Date:,Place:一方为，以下简称甲方。PartyA:.一方为,以下简称乙方。PartyB:鉴于乙方拥有合同产品生产的专有相关技术，并有权和愿意向公司转让该项相关技术。Thiscontractissignedonthisdateofinbyandbetween(hereinafterreferredtoasPartyA)and(hereinafterreferredtoasPartyB).鉴于公司希望利用乙方所拥有的专有相关技术，以生产销售和出口合同产品。WhereasPartyBisinpossess

2、ionoftheknow-howtomanufacturethecontractproductsandhastherightandiswillingtotransfersuchknow-howtoNanfangTechnologyCo.,Ltd;甲方受公司委托，由甲方同乙方经过友好协商，同意按下列条件及条款签订本专有相关技术合同。本合同由公司与乙方执行。AndwhereasNanfangTechnologyCo.Ltd.wishestoutilizetheknow-howpossessedbyPartyBtomanufacture,sellandexportthecontractproduct

3、s;PartyA,authorizedbyNanfangTechnologyCo.,Ltd.,heldfriendlydiscussionswithPartyBandhaveconcludedunderthefollowingtermsandconditionsthiecontract.第一条定义1.Definitions1.1专有相关技术，原指生产合同产品，甲方所需要的乙方所拥有和提供的全部生产相关技术及加工工艺。该生产相关技术和加工工艺包括全部设计、制造、操作图纸及相关技术资料、制造工艺、生产程序和生产相关技术细节。1.1*Know-how*shallmeanallthemanufactu

4、ringtechnologyandprocessengineeringtomanufacturethecontractproductswhicharerequiredbyPartyAandwhichPartyBpossesses.SuchtechnologyengineeringshallincludetechnicaldetaiIsofal1designs,operationdrawings,technicaldocumentations,manufacturingengineering,procedureandtechniques.1.2合同产品，指和产品，该产品符合本合同附件一所规定的相

5、关技术条件和相关技术标准。也即甲方按照乙方提供的专有相关技术及设备进行制造和生产的产品。1.2*Contractproducts*shallrefertotheSI02andITOconductivecoatingglassproductswhichareinconformitywiththetechnicalspecificationsandstandardsasspecifiedinAppendix1ofthiscontract,e.g.theproductsmanufacturedbyPartyAwiththeknow-howandequipmentsuppliedbyPartyB.1.

6、3相关技术资料，指制造合同产品所需要的全部专有相关技术”，以及乙方在生产合同产品的过程中，所使用的全部有关设计和制造图纸，加工相关技术和工艺文件等资料。具体合适的内容及要求详见本合同附件二。1.3*TechnicalDocumentations*shal1meanalltheknow-hownecessarytomanufacturethecontractproductsandal1thedesigns,drawings,processingtechniques,andengineeringdocuments,etc.thatPartyBusesinmanufacturingthecontra

7、ctproducts.ThecontentsandrequirementsofsuchtechnicaldocumentationsaresetforthinAppendix2ofthiscontract.L4考核产品，指甲方用乙方提供的专有相关技术和专用设备所生产和制造的合同产品。该产品经过验证符合并且达到本合同附件一所规定的相关技术条件和相关技术标准。1.4TestProducts*shallmeanthecontractproductsmanufacturedbyPartyAwiththeknowhowandspecialequipmentsuppliedbyPartyBwhich,wh

8、entested,shallmeetthetechnicalspecificationsandstandardsasspecifiedinAppendix1ofthiscontract.1.5工艺文件，指生产合同产品所需要的全部加工方式方法、加工手段、工艺过程卡片、工艺图纸、工序卡片等全套资料。具体合适的内容详见本合同附件二。1.5EngineeringDocuments*shallmeanthecompletesetofprocessingmethods,meansofprocessing,engineeringcards,drawings,workprocedures,etc.whicha

9、renecessarytomanufacturethecontractproducts.DetailsaresetforthinAppendix2ofthecontract.1.6工艺守则，指生产合同产品的全部生产和加工过程所必须遵循的原则。1.6EngineeringRegulationsshallmeanthoseregulationswhichshouldbefollowedwhenmanufacturingandprocessingthecontractproducts.第二条合同合适的内容和范围2.Contents&ScopesofContract2.1乙方同意向甲方转让，甲方同意从

10、乙方取得合同产品的专有相关技术。甲方采用乙方的专有相关技术和主要设备，能够在甲方工厂生产出合格的合同产品。其产品规格、型号、产量及相关技术条件和相关技术标准详见本合同附件一。2.1PartyBagreestotransfertoPartyAandPartyAagreestoprocurefromPartyBtheknowhowtomanufacturethecontractproducts.Partyshall*initsownfactory,usetheknow-howandequipmentsuppliedbyPartyBtomanufacturequaliliedcontractprod

11、uctsofwhichthespecifications,types,quantity,technicalspecificationandstandardsarespecifiedinAppendix1ofthecontract.2.2乙方向甲方提供在甲方工厂生产合同产品的全部完整工艺文件和资料，能正确指导合同产品的生产。详见本合同附件二。2.2PartyBshallprovidetoPartyAthecompletesetofengineeringdocumentsandtechnicaldocumentationstobeusedforthemanufactureofcontractpro

12、ductsinPartyA,sfactory.Suchengineeringdocumentsandtechnicaldocumentationsshallcorrectlydirectthemanufacture.DetailsaresetforthinAppendix2ofthecontract.2.3乙方在提供相关技术资料的同时，还要提供全部相关技术标准。2.3TherelatedtechnicalstandardsshallbesubmittedbyPartyBatthesametimethetechnicaldocumentationisprovided.2.4乙方向甲方提供用于在甲

13、方工厂生产合同产品的全部专有相关技术资料必须是完整的相关技术资料。2.4Thetechnicaldocumentationcoveringtheknow-howtomeanufacturethecontractproductsshallbecomplete.2.5乙方在向甲方提供相关技术的同时，并为甲方提供和选择生产合同产品所必须的关键设备。这些设备的具体要求和规格详见”设备引进合同”。设备合同的交付规定和交付办法，按设备合同的规定执行。详见“生产设备引进合同”。2.5Inadditiontoprovidingtheknow-how,PartyBshallalsoselectandprovid

14、etoPartyAthekeyequipmentnecessaryforthemanufactureofcontractproducts.Therequirementsandspecifica-tionsarespecifiedinthe*EquipmentPurchaseContract*(EPC)ofwhichthedeliveryandpaymentaresubjecttotheprovisionsthere-of.2.6为了保证合同产品的生产，乙方同意甲方采用部分中国国产设备，和乙方选择提供的设备配套共同生产合同产品。详见本合同附件三。2.6Toensurethemanufacture

15、ofcontractproducts,PartyBagreestotheintroductionofsomedomesticequipmentbyPartyAbobeusedwiththeequipmentprovidedbyPartyBinthemanufacture.DetailsofsuchdomesticequipmentaresetforthinAppendix4ofthecontract.2.7乙方按照本合同附件四所规定的条件和要求，在乙方工厂为甲方培训相关技术人员，以保证所培训的人员能够掌握这些专有相关技术，生产合同产品。2.7PartyBshal1,accordingtothe

16、conditionsandrequirementsasspecifiedinAppendix4,rendertechnicaltrainingtoPartyA*SpersonnelinthefactoryofPartyBsoastoensurethatthepersonnelcanmastertheknow-howandbeabletomanufacturethecontractproducts.2. 8乙方按合同附件五所规定的条件，派遣称职的专家到甲方工厂进行相关技术指导、相关技术服务。2. 8PartyBshal1,accordingtotheconditionsasspecifiedin

17、Appendix5assigncompetentex.pertstoParty,sfactorytorendertechnicalsupervisionandtechnicalservice.第三条价格3. ContractPrice3.1 按第二条所规定的合同合适的内容和范围，乙方所提供的合同产品的专有相关技术包括工厂设计图纸，全部制造图纸，工艺文件，相关技术服务和相关技术培训等的全部资料总价格为美元。其中相关技术转让费为美元,考察培训费为美元。3. 1AccordingtothecontractcontentsandscopesasspecifiedinChapter2,thetotalp

18、riceoftheknow-howtomanufacturecontractproductsprovidedbyPartyBincludingthedesignstofdrawings,engineeringdocuments,technicalserviceandtrainingshallamounttowhichshal1betransferfeeandshallbetrainingfee.3. 2上述合同的价格为固定价格，包括本合同第二条所规定的全部相关技术资料运抵费用。该价格包括乙方在本合同中所承担的其他义务的全部费用在内。3. 2Theabovecontractpriceisfixe

19、dandshallincludetheexpensestoshipallthetechnicaldocumentationtoShenzhenasspecifiedinChapter2ofthecontract.SuchcontractpriceshallalsoincludetheexpensesforPartyBtocarryouttheothercontractobligationsofthiscontract.3. 3本合同内的一切费用均以美元计算和结算。3. 3llthecalculationsandpaymentofexpensesofthiscontractshallbeinU/

20、S/Dollars.3. 4设备引进合同的总价格为万美元。其具体执行办法按设备合同的规定执行。3. 4Thetotalpriceoftheequipmentshallbe.TheexecutionshallbesubjecttotheprovisionsoftheEPC.第四条支付与支付条件4. Payment&PaymentConditions4. 1本合同项下的一切费用，用WT信汇方式支付。甲方通过银行，乙方通过指定的外国银行进行支付。凡发生在中国境内的银行费用，由甲方负担，凡发生在中国境外的一切银行费用，由乙方负担。4. 1Thepaymentofal1theexpensesundert

21、hiscontractshallbemadebyM/TthroughBankofChina.ShenzhenBranchandthebankdesignatedbyPartyB.AllthebankexpensesoccuringinsideChinashal1bebornebyPartyAandthoseoutsideChinashallbebornebyPartyB.4. 2本合同第三条3.1款所规定的总价格美元，由甲方按照下列比例，方式支付给乙方：4.2Payment:4. 2.1付款(I)按本合同附件二的规定，乙方应于合同生效后两个月内交付所有相关技术文件。相关技术文件交付的清单和相关

22、技术文件的交付空运提单各一式四份。(1) ThetechnicaldocumentationsasspecifiedinAppendix2ofthecontracttobedeliveredwithin2monthsafterthecontracttakeseffect;thedetailedlistofsuchtechnicaldocumentationsandtheairmillofladinginfourcopiesrespectively.(2)乙方说明按本合同附件二规定，应于合同生效后两个月内交完所有相关技术文件的确认函正本一份。(2) Oneoriginalcopyofthelet

23、terofconfirmationofPartyBtocompletethetechnicaldocumentationsasspecifiedinAppendix2ofthecontractwithin2monthsafterthecontracttakeseffect.(3)即期汇票正、副本各一份。(3) Sightdraftoneoriginalandonecopy.(4)金额美元的商业发票四份。(4) Commercialinvoiceofinfourcopies.4.2.2合同总值美元的%计美元,甲方在收到全部相关技术文件及相关技术培训开始前15天内用M/T信汇方式支付给乙方。4.2

24、.2ofthecontractpriceamountingtoshallbepaidbyPartyAtoPartyBbyM/TafterPartyAhasreceivedallthetechnicaldocumentationsand15dayspriortothetechnicaltraining.4.2.3合同总值美元的%计美元，甲方在完成设备安装、调试合格、正式投入生产、生产出合格产品，双方签署了合格证书、并在收到乙方的下列单据后，经审查无误，30天内以M/T信汇方式支付给乙方：4.2.3ofthecontractpriceamountingtoshallbepaidbyPartyAto

25、PartyBbyM/Tafterininstallationandtestingoftheequipmentarecompleted,theequipmentisputintooperationandproducesqualifiedproductsandbothpartieshavesignedcertificateofacceptance,andwithin30daysafterPartyhasreceivedthefollowingdocumentsandprovedthattheyareinconformitywiththecontract:(I)金额为美元的商业发票一式四份。(1)

26、Commercialinvoiceofinfourcopies.(2)由双方签署的合同产品考核验收合格证书一式两份。(2) Certificateofacceptanceofcontractproductqualitysignedbybothpartiesintwocopies.(3)即期汇票正、副本各一份。(3) Originalandcopyofsightdraftonecopyrespectively.4. 3设备合同总值万美元(大写)，其支付和支付办法，按设备合同的规定执行。4. 3PaymentandtermsofpaymentoftheEPCamountingtoshallbesu

27、bjecttotheprovisionsthereof.第五条相关技术文件及设备的交付5. DeliveryofTechnicalDocumentations&Equipment5. 1乙方应按本合同附件二规定的合适的内容和交付日期，将相关技术文件交付甲方。5. 1PartyBshalldeliverthetechnicaldocumentationstoPartyAinaccordancewiththecontentsandscheduleasspecifiedinAppendix2ofthecontract.5. 2设备和设备相关技术文件的交付，要严格按照设备合同的交付规定执行。5. 2T

28、hedeliveryoftheequipmentandequipmenttechnicaldocumentsshallbesubjecttothetermsofdeliveryoftheEPC.5. 3每批相关技术资料发运后的两个工作日内，乙方应用电话将发运日期，发运数量，包装件数和重量，空运提单号，合同号，班机号和预计抵达时间，通知甲方，并同时用航空挂号信将下列单据寄交甲方：5. 3Within2workingdaysaftereachlotoftechnicaldocumentationsisshipped.PartyBshallnotifyPartyAbytelephonethedate

29、ofshipment,quantity,numberofcases,weight,numberofairbilloflading,contractnumber,flightnumberandexpecteddateofarrivalandsendbyair-mail-registertoPartythefollowingdocuments:(I)空运提单正本一份，副本四份。(1) Airbillofladingoneoriginalandfourcopies.（2）相关技术文件详细清单一式三份。(2) Detailedlistoftechnicaldocumentationsinthreeco

30、pies.5. 4全部相关技术文件派专人送到北京甲方，以甲方签收日视为实际交付日。6. 4IfthetechnicaldocumentationsarehandcarriedtoShenzhen,thedatewhenPartysignsthereceiptshal1betakenasthedateofdeliveryofthetechnicaldocumentations.7. 5如乙方交付的相关技术文件在途中丢失，短缺或损坏，则乙方应在最短期间内，最迟不得超过在甲方通知后20天，免费补给甲方。8. 5Incaseofanyloss,shortageofdamageofthetechnica

31、ldocumentationsduringshipment,PartyBshall,withinthepossibleshortesttimewhich,however,doesn,texceed20daysfromnotificationbyPartyAmakereplacementtoPartyAfreeofcharge.9. 6乙方发运和寄送的相关技术文件及资料，包装要牢固，适合于长途运输，多次装卸，防雨和防潮。在发运的每一个包装箱上面，均要用英文标志下列合适的内容：5.6Thepackingofthetechnicaldocumentationsshouldbestrong,suita

32、bleforlongdistancetransportationandrepeatedloadingandunloading.Precautionsagainstrainandmoistureshallalsobetaken.EachcaseshallbemarkedinEnglishindicatingthefollowingcontents:(1)合同号：(1) Contractnumber：(2)收货人：(2) Consignee：(3)咳头：(3) ShippingMark：(4)目的地：(4) Destination：(5)发货人：(5) Consignor：(6)重量：(6) We

33、ight：7)包装箱号/件号：(7) Casenumber：5. 7每一个包装箱内，均附有详细的装箱单一式两份。6. 7Ineachcase,adetailedpackinglistintwocopiesshal1beinserted.第六条相关技术的修改和改进7. Modifications&ImprovementofTechnology6.1乙方提供的相关技术资料如有不适合于甲方生产条件的，如设计标准、材料标准及要求、工艺装备及其他生产条件等不适合于甲方生产实际，乙方有责任协助甲方进行修改，并由双方确认其修改的部分。6.1Intheeventthereisanypartinthetechn

34、icaldocumentationsnotsuitableforPartyA,spracticalproductionconditions,suchasstandardsofdesign,standardsandrequirementsonmaterials,engineeringandfacilities,PartyBshal1beresponsibletoassistPartyAtomakemodificationswhichshallthenbeconfirmedbybothparties.6.2在本合同有效期内，双方对合同规定的相关技术合适的内容和范围，如有任何改进和发展，双方都应互相

35、将改进和发展的相关技术免费提供给对方。6.2Duringthetermofcontract,ifeitherpartymakesanyimprovementanddevelopmentwithregardtothetechnologycontentsandscopesofthecontract,suchpartyshallprovidetheinformationoftheimprovementanddevelopmenttotheotherpartyfreeofcharge.6.3改进和发展的相关技术，所有权属于改进和发展相关技术的一方，对方不得去申请专利，也不得将发展和改进的相关技术转让第

36、三方。6.3Theownershipoftheaboveimprovementanddevelopmentshallberetainedtotheprovidingparty.Theotherpartyshal1notbeentitledtoanyapplicationforpatent,neithershalltheotherpartytransfersuchimprovedanddevelopedtechnologytoanythirdparty.第七条产品的考核和验收7.Assessment&AcceptanceofProducts7.1为了保证乙方提供合同产品的制造专有相关技术的正确性

37、、可靠性和先进性，由甲方和乙方相关技术人员一起，在工厂按本合同附件六“考核和验收”的规定，共同对合同产品进行考核和验收。7.1Toensurethattheknow-howsuppliedbyPartyBiscorrect,reliableandadvanced,bothpartiesshal1jointlyperforminParty,sfactorytheassessmentandacceptanceofthecontractproductsinaccordancewiththeprovisionsofAppendix6ofthecontract.7.2按本合同第二条的规定，产品的相关技术

38、条件、相关技术标准，生产图纸，均作为考核验收合同产品的依据。产品的相关技术文件及资料详见本合同附件一。7.2AccordingtoChapter2,thetechnicalrequirements,standardsanddrawingsshallbetakenasevidenceoftheassessmentandacceptanceofcontractproducts.Thedetailsareset-forthinAppendix1ofthecontract.7.3产品考核验收合格后，双方代表要签署验收合格证书一式四份，双方各执二份为凭。7.3Ifthecontractproductsa

39、requalified,bothpartiesshalljointlysignacertificateofacceptanceinfourcopiestwoforeachparty.7.4如果考核验收达不到本合同的规定要求，则双方要友好协商，共同研究分析原因，采取措施，消除缺陷，进行第二次考核和验收。7.4Iftheproductscannotmeettherequirementsofthecontract,bothpartiesshallholdfriendlydiscussionstoanalysethereasonsandtakemeasurestocorrectanydefectand

40、prepareforthesecondassessmentandacceptanceofthecontractproducts.7.5如果第一次考核不合格属于乙方的贲任，乙方须派遣专家参加第二或第三次考核和验收。其一切费用由乙方负担。如果属于甲方责任，其一切费用应由甲方负担。7.5IfthefailureofthefirstassessmentandacceptanceisduetoPartyB,sresponsibility*PartyBshallsendexpertstoparticipateinthesecondorthethirdassessmentandacceptance.ande

41、xpensesthusoccurshallbebornebyPartyB:ifthefailureisduetoPartyAsresponsibility,theexpensesshallbebornebyParty.7.6如经过第二次考核仍达不到合格要求时，如系乙方责任，乙方必须赔偿甲方因此而遭受的直接损失。并要求采取措施消除缺陷，参加第三次考核，如系甲方责任，则其一切损失由甲方自负。7.6Ifafterthesecondassessmentandacceptancetheproductsstillcannotmeettherequirements,iftheresponsibilityli

42、esinPartyB,PartyBshallcompensatePartyAforthedirecteconomiclossesthusoccur,takemeasurestocorrectthedefectsandparticipateinthethirdassessmentandacceptance;iftheresponsibilityliesinPartyA,al1thelossesshal1bebornebyPartyAitself.7. 7若经过第三次考核仍不合格，如属乙方责任，则乙方应承担由此而造成一切损失。甲方有权终止合同并按第八条的规定由甲方向乙方索赔。如属甲方责任，则双方应

43、共同协商本合同的进一步执行相关问题。8. 7IftheproductsarestillnotqualifiedafterthethirdassessmentandacceptanceandtheresponsibilityliesinPartyB,PartyBshallberesponsibleforallthelossesthuscausedandPartyAshallhavetherighttoterminatethecontractandraiseaclaimagainstPartyBaccordingtoChapter8;iftheresponsibilityhasinParty,bo

44、thpartiesshalLmutuallydiscussthefurtherimplementationsofthecontract.第八条保证和索赔9. Guarantee&Claim8.1乙方保证向甲方提供的相关技术文件是乙方实际使用的、成熟的、可靠的和最新的相关技术资料和文件，并保证在合同的有效期间内及时向甲方提供任何新的发展的改进的相关技术资料。8.1PartyBguaranteesthattechnicaldocumentationsarethoseusedbyPartyBandsuchdocumentationsareprovedreliableandoflatesttechno

45、logy.PartyBalsoguaranteesthatduringthetermofcontractPartyBshallnotifyPartyAontimeofanydevelopmentandimprovementofthetechnologyitachieves.8.2乙方保证向甲方提供的相关技术文件是完整的、正确的、统一的，清晰和及时的。其有关规定如下：8.2PartyBguaranteesthatthedeliveredtechnicaldocumentationsarecomplete,correct,uniform,clearandthedeliveryisontime.De

46、tailedrequirementsareasfollows;完整：乙方所提供的相关技术文件应该包括本合同附件二所规定的全部相关技术文件和资料。不得有任何遗漏。complete:ThetechnicaldocumentationsdeliveredbyPartyBshallincludeallthosespecifiedinAppendix2ofthecontractwithoutomission.正确：乙方所提供的相关技术文件没有任何错误。甲方按照乙方所提供的相关技术文件所制造出来的产品为合格产品。Correct:Thereisnoerrorinthetechnicaldocumentati

47、onsdeliveredbyPartyB.WhenPartystrictlyfollowssuchdocumentations,theproductsmanufacturedarequalified.统一：乙方所提供的相关技术资料应有统一的符号、统一的标准、统一的规范等，不得有任何矛盾。Uniform:Allthesigns,standardsandspecificationsusedinthetechnicaldocumentionsareuniformandthereisnocontradiction.清晰：相关技术文件的图纸、曲线、文字、符号等均应清晰、明确，易读、不得模糊。Clear:

48、Allthedrawings,lines,languagenotes,signs,etc.usedinthetechnicaldocumentationsareclearandeasytoread.及时：相关技术文件的交付日期不得晚于本合同附件二所规定的交付日期。Ontime:ThedateofdeliveryofthetechnicaldocumentationsshallnotbelaterthanthedeliveryscheduleassetforthinAppendix2ofthecontract.8.3如果乙方所交付的相关技术文件有不符合8.2款规定的，在收到甲方书面通知后30天内，乙方应按8.2款免费补寄相关技术文件给甲方。8.3Ifthereisanypartofthetechnicaldocumentationsnotinconformitywiththerequirementsof8.2,PartyBshall,within30daysfromreceiptofnoticefromPartyA,makesupplementsorreplacementsfreeofcharge.
