6、gmeanings:在本法中，如下的术语具有下列的含义：1.LimitedLiabilityCompany,hereinafterreferredtoastheCompany,meansalegalentityconstitutesacapitalalliance,establishedbasedonanagreement,inordertoconductbusinessactivitieswiththeCompanyDsAuthorizedCapitaldividedintosharesandwhichsatisfiestherequirementsasstipulatedinthisLaw

7、,anditimplementationregulations.有限责任公司，以下简称公司，指的是一个由资金的集合构成，基于一项协议建立法人实体，以开展商业活动，其公司的法定资本划分为股份,并且满足本法及其实施细则的规定。2.CompanyOrgansmeanstheGeneralMeetingofShareholders,theBoardofDirectors,andtheBoardofCommissioner.3.SocialandEnvironmentalResponsibilitymeansthecommitmentfromCompanytoparticipateinthesustai

8、nableeconomicdevelopment,inordertoincreasethequalityoflifeandenvironment,whichwillbevaluablefortheCompanyitself,thelocalcommunity,andthesocietyingeneral.2.公司机构指股东大会，董事会以及监事会。3.社会与环境责任指公司参与可持续经济发展所承担的义务，以提高生活和环境的质量，其对公司本身、当地社区和社会也是有价值的。4.TheGeneralMeetingofShareholders,hereinafterreferredtoasGMS,mean

9、stheorganoftheCompanythathasauthoritynotgiventotheBoardofDirectorsortheBoardofCommissioners,withinlimitsasstipulatedinthisLaw,and/orthearticlesofassociation.4.股东大会，以下简称GMSf指的是享有未赋予给董事会和监事会权力的公司机构，收到本法及章程的规定的限制。Article14第14条(1)LegalactionsonbehalfoftheCompanywhichhasnotyetobtainedthestatusoflegalenti

10、ty,mayonlybeperformedbyallmembersoftheBoardofDirectorstogetherwithallfounders,aswellasallmembersoftheBoardofCommissionersoftheCompany,andtheywillallbejointlyandseverallyliableforsuchlegalactions.(1)公司董事会所有成员和所有创立人，以及所有委员会成员可以代表还未取得法律主体资格的公司从事的法律行为，他们应共同或者分别对其法律行为负责。(2)Intheeventofsuchlegalactionsasr

11、eferredtoinparagraph(1)areperformedbythefoundersonbehalfoftheCompanywhichhasnotyetobtainedthestatusoflegalentity,therelevantfoundersshallberesponsibleforsuchlegalactionsandthelegalactionsshallnotbindtheCompany.(3)Thelegalactionsasreferredtoinparagraph(1),byoperationoflawshallbetheresponsibilityofthe

12、CompanyaftertheCompanybecomesalegalentity.(2)如果本条第(1)款中所指的法律行为由创立人代表公司实施，但公司最终未取得法律主体资格的，则相关创立人应当对其法律行为负责,其法律行为对公司不具有约束力。(3)本条第(1)款中所指的法律行为在公司成为法律实体之后对公司具有约束力。Article17第17条(1)TheCompanyshalldomicileinthecityorregencywithintheterritoryoftheRepublicofIndonesiaasstipulatedinthearticlesofassociation.(2)

13、Thedomicilereferredtoinparagraph(1)shallatthesametimeconstitutetheheadofficeoftheCompany.(1)公司的住所应当是公司章程中规定的印度尼西亚共和国范围内的城市或者其他领域。(2)本条第(1)款中所指的住所应当同时是公司的总部所在地。Article18(1)TheCompanymusthaveapurposeandobjectiveaswellasbusinessactivitywhicharestatedinthearticlesofassociationoftheCompanyandinaccordance

14、withtheprovisionsoflegislations.第18条(1)公司必须有一个设立目标和具体的经营范围，并在章程中列明，且不能违反法律的规定。Paragraph2AmendmentstotheArticlesofAssociation第二段公司章程的修改Article19第19条(1)AmendmentstothearticlesofassociationmustbedeterminedbyaGMS.(2)AgendaontheamendmentsofthearticlesofassociationmustbeclearlystatedinnoticetoaGMS.(1)公司章程

15、的修改必须经股东会决定。(2)修改公司章程的议题必须在给股东会的通知中明确说明。Article20第20条(1)AmendmentstothearticlesofassociationofaCompanythathasbeendeclaredbankrupt,cannotbeconductedexceptwiththeapprovalfromthecurator.(2)ThecuratorzSapprovalasreferredtoinparagraph(1)shallbeattachedintheapplicationforapprovalandnotificationofamendment

16、softhearticlesofassociationtotheMinister.(1)对已经宣告破产的公司的章程的修改必须经过破产管理人的许可。(2)上述管理人的许可应当附在向司法部长递交的申请和修改章程的告小后面。PartOneCapital第一节资本Article31第31条(1)AuthorizedCapitaloftheCompanyshallconsistoftotalnominalvalueofshares.(2)Theprovisionasreferredtoinparagraph(1)doesnotprecludethepossibilityofthelegislativep

17、rovisionsinthefieldofcapitalmarkettoregulatetheCompany,Scapitaltoconsistofshareswithoutnominalvalue.(1)公司注册资本金应由公司全部的股份的票面价值所构成。(2)第(1)款的规定应不违背资本市场关于公司资本金由没有票面价值的股份构成等可能的法律规定。Article32第32条(1)AuthorizedcapitaloftheCompanyshallbeatleastofRp50.000.000,00(fiftymillionrupiah).(2)Lawsthatregulatecertainbu

18、sinessactivitiescandeterminetheminimumamountoftheCompany1Scapitalwhichishigherthantheprovisionofauthorizedcapitalasreferredtoinparagraph(1).(3)Thechangetotheamountofauthorizedcapitalasreferredtoinparagraph(1),shallbestipulatedwithaGovernmentRegulation.(1)公司注册资本金应不少于5000万Rp(当地币-印尼卢比)(2)法律可以确定从事特定营业活动

19、的公司的资本金的最小数额高于第(1)款中所述的注册资本金(3)第(1)款中所述的公司资本金的变更由政府规章进行规范。Article33第33条(1)Atleast25%(twentyfivepercent)oftheauthorizedcapitalasreferredtoinArticle32mustbeissuedandpaid-upinfull.(2)Thecapitalissuedandpaid-upinfullasreferredtoinparagraph(1)shallbeprovenbyavalidpaymentevidence.(3)Furtherissuanceofshare

20、satanytimetoincreasetheissuedcapitalmustbepaid-upinfull.(1)第32条所述的注册资本金中的25%必须被发行并全部实缴。(2)第(1)款中所述的已发行并实缴的资本金应被有效支付凭证所证实。(3)在任何时候进一步发行股份以增加已发行资本金必须全部得到实缴。Article77第77条(1)OtherthantheconventionofGMSasreferredtoinArticle76,theGMSmayalsobeconvenedbywaysofteleconference,videoconference,orothermeansofele

21、ctronicwhichenablesalloftheGMSparticipanttosee,hear,andparticipatedirectlyinthemeeting.(2)Requirementonquorumandadoptionofresolutionshallbeasprovidedstipulatedhereinand/orasregulatedintheCompany1sarticlesofassociation.(1)除按照第76条之规定召开的股东大会之外，股东大会还可以以远程电话会议，视频会议，其他电子媒体方式举行，只要这种会议方式可以使得所有股东参会者可以看见、听见并且

22、直接参会会议。(2)参加会议的法定人数的要求和决议获得通过的要求应根据本法律或公司章程的有关规定执行。(3)Therequirementasreferredtoinparagraph(2)shallbecalculatedbasedontheparticipationoftheGMSparticipantasreferredtoinparagraph(1).(4)EveryconventionofGMSasreferredtoinparagraph(1)issubjecttominutesofmeeting,thepreparationofwhichshallbeapprovedandsign

23、edbyallGMSparticipant.(3)第(2)款中的要求，应基于第(1)款规定股东大会参会者的人数计算。(4)依照第(1)款的规定召开的任何股东大会，都应形成会议纪要,该会议纪要还必须股东大会全体与会者的签名和认可批准。Article90第90条(1)MinutesofmeetingforeachGMSshallbemade,theminutesofwhichGMSshallbesignedbythechairpersonofthemeeting,andatleast1(one)shareholdershallbeappointedbyandfromamongthosepresen

24、t.(2)Thesignatoryasreferredtoinparagraph(1)shallnotberequirediftheminutesofGMSismadeinanotarialdeed.(1)每次股东会议均应形成会议纪要，股东会议纪要需在至少一名被任命的股东在现场时由股东大会主席签署。(2)如果该股东大会会议纪要以公证书的形式出现，则不需要第1款中要求的签名。Article91ShareholdersmayalsoadoptbindingresolutionwithoutconveningGMSprovidedthatallshareholderswithaffirmativev

25、otegivetheirapprovalinwritingbysigningtherelevantproposal.第91条在全体股东在相关议案中签名以表示同意的前提下,可以不用召开股东大会而直接做出有约束力的决议。Article140第140条(1)ThereportofinspectionresultshallbesubmittedbytheexpertasreferredtoinArticle139totheheadoftheDistrictCourtwithintheperiodasstatedinthecourtorderwhichisnotlaterthan90(ninety)da

26、ysasoftheappointmentdateofsuchexpert.(1)第139条中的专家应当按照法院命令中指定的期限将检查结果的报告提交地区法院的院长，该期限自专家接受任命后不迟于90天。(2)TheheadofDistrictCourtshallprovidethecopyofinspectionresultreporttotheapplicantandtherelevantCompanywithinthelatestperiodof14(fourteen)daysasofthereceiptdateofsuchreport(2地区法院院长应当在收到该报告后14天之内向申请人和相关公司提供检查报告的副本。
