1、MASTERCONSULTINGFEEPROTECTIONAGREEMENT咨询费保护协议THISMASTERCONSULTINGFEEPROTECTIONAGREEMENT(this“Agreement”)isenteredintothisdayof,202XbyandbetweenXXInvestmentsWorldwide,LLC,aXXlimitedliabilitycompanywithanaddressofXXW.StateStreet,Trenton,NJ08608(the“Consultant)andXXElectricCorporation,aChinesestateowne

2、dentity,itssubsidiaries,affiliatesandassigns(collectively,the“Client).本咨询费保护协议(这个“协议”)，是由XX投资全球有限责任公司(以下简称“顾问”)和XX电力公司(统称“客户”)双方在202X年的天签署。XX投资全球有限责任公司位于XX,XX电力公司是一家中国国有实体。WHEREAS,theClientdesirestoengagetheConsultantandtheConsultantdesirestoacceptengagementbytheClientforthepurposeofintroducingtheCl

7、,theClientwillpaytotheConsultantacommissionequaltosixpercent(6%)ofthegrossconsiderationreceivedortobereceivedbytheClientoritsshareholders,directors,orofficers(a“Commission)inconnectionwiththeaboveTransactionoranyTransactionsbetweentheClientandanyentity,government,orindividual(orsuchentity,government

8、orindividuassubsidiariesaffiliatesorassigns)thattheConsultantintroducestotheClientduringthetenofthisAgreement.ForthepurposesofthisAgreement,a“Transaction“isdefinedasanytransactionthatresultsintheexchangeofcash,inventory,stock,goods,orservices,inexchangefbrthedeliveryoftheClient,sproducts,servicesoro

10、Sion.TheCommissionshallbepaidtotheConsultantimmediatelyuponthereleaseofthefirstpaymenttotheClientfromtheXXnGovernment,itssubsidiaries,affiliatesorassigns,withrespecttoanyTransaction.AllpaymentsmadetotheConsultanthereundershallbewiredtotheaccountsetforthinthisAgreement.Thedetailsofsuchaccountshallbed

13、trelatingtotheTransactionsandtheCommissionsduetobepaidtotheClienthereunder(anAudit).IfanAuditrevealsthatthereisanydiscrepancyintheConsultantfavorbetweentheamountactuallypaidbytheClientandtheamountowedtotheConsultanthereunder(a“Discrepancy),theClientshall,withinthirty(30)days,remitpaymenttotheConsult

14、antinthefullamountofsuchDiscrepancyplustenpercent(10%)ofthesame,inadditiontothecostoftheAudit.4.客户同意立即提供给顾问一份有关以下交易的合同复印件。自本协议执行起，顾问的会计或审计人员可以通过三十(30)天预先通知,在合理的营业时间，进行审计与交易有关的记录同时佣金据此支付。如果审计显示支付给顾问的费用与客户实际缴付的不符,客户应在三十(30)天内按照差额加10%的额度付款，除了审核的费用。5. 15、seandothertaxeswhichmaybelevieduponeitherpartyinconnectionwiththisAgreement,exceptfortaxesbasedontheConsultantsnetincome.Alatechargeof1-1/2%permonthmaybeappliedtoeachoftheClientsinvoicesandexpensestatementsnotpaidbytheapplicableduedate,andtheClientshallreimbursetheConsultantforallreasonablecostsincu

18、dinanyeventshallbelimitedtotheClient*sdirectactualdamagesandshallnotexceedthetotalcashamountpaidorpayablebytheClientunderSection3ofthisAgreementduringtheperiodofthree(3)monthspriortothemonthinwhichtheevent,actoromissiongivingrisetosuchliabilityfirstoccurred.InnoeventwillthemeasureofdamagesunderthisA

19、greementinclude,norwillConsultantbeliablefor,anyamountsforlossofincome,profitorsavings,orindirect,incidental,consequential,specialorpunitivedamagesofanyparty,includingclaimsordamagesofthirdpartiesevenifConsultanthasbeenadvisedofthelikelihoodofsuchdamages.6.赔偿。客户应赔偿不会追究顾问，其代理人和雇员免受任何和所有索赔，损害，损失和费用，包括

22、ersdistributors,refiners,shippers,financialinstitutions,technologyowners,ormanufacturers,tochange,increase,oravoiddirectlyorindirectlypaymentofestablishedortobeestablishedfees,commissions,orcontinuanceofpre-establishedrelationshipsorinterveneinun-contractedrelationshipswithmanufacturersortechnologyo

23、wnerswithintermediariesentrepreneurs,legalcounsel,orinitiatebuy/sellrelationships,ortransactionalrelationshipsthatbypassoneofthepartieswithanycorporation,producer,technologyowner,partnership,orindividualrevealedorintroducedbyoneofthepartiestooneanotherinconnectionwithanyongoingorfutureTransactionorp

26、eacquired,particularly,contractterms,productinformation,ormanufacturingprocesses,prices,fees,financingarrangements,schedules,orinformationconcerningtheidentityofsellers,producers,buyers,lenders,borrowerbrokers,lenders,distributors,refiners,manufacturers,technologyowners,ortherepresentatives,andspeci

27、ficindividualnames,addresses,principals,fax/telephonenumbers,references,productortechnologyinformation,confidentialorand/orotherinformation,advisedbyoneparty(s)toanotherasbeingprivileged,withoutthepriorspecificwrittenconsentoftheparty(s)providingsuchinformation.b)此外，各方不可撤销地同意他们不得透露或以其他方式直接或间接透露，向任何第

29、ementallpartieshereto,underpenaltyofPeIjUry,irrevocablydoherebyagreetoprotect,andtonotcircumventtheirbeneficiariesand/orintermediariesandtoextendalloftheprotectionscontainedinthisAgreementtotheirbeneficiariesand/orintermediarieswhohavemateriallyanddirectlyassistedinthefinalclosingoftherespectiveTran

32、ofcontactsorintroductionsofthePartiesintheprocurementofsales,purchases,financingorbeneficialcontractstoorfortheadvantageofanyPartyorpartiesheretoandarisingfromtheefforts,directlyorindirectlyofanyofthepartyorpartiesheretoorsaidentitiesnotifiedinwritingtotheofficeofanyoftheotherpartyorpartieshereto.d)

35、tuallyagreedinwritingtobeterminatedbyalltheparties,whichterminationcanoccuronlyattheendofanyroll-overperiod,andmustbeacknowledgedbynoticethroughcertifiedmailthereof;ifnoticeisnotgivenbyallthepartieswithinten(10)daysafterthebeginningofanewroll-overperiod,itshallbeconstruedthattheagreementisinfullforc

38、iseanyrightspursuanttothisAgreementshallnotbedeemedawaiverorotherlimitationofanyrightorfutureright.Exceptasexpresslysetforthherein,eachpartyshallbearitsownsts,expenses,taxesandotherchargeswhatsoeverincurredinconnectionwiththeexecutionandperformanceofthisAgreement.ThisAgreementshallbeinterpretedandco

39、nstruedinaccordancewiththelawsoftheUnitedStatesofAmericaandtheStateofNewJersey,withoutregardtoprinciplesofconflictsofthelawthereof,andanydisputesarisinghereundershallbeadjudicatedinthefederalorstatecourtsofNewJersey,towhosejurisdictiontheClientandConsultantherebyirrevocablysubmitandastovenuetheClien

40、tandConsultantherebywaiveallobjections.EachofthepartiesheretorepresentthatithasreadthisAgreement,thatitunderstandsfullyallofitsterms,thatithasbeenaffordedtheopportunitytodiscussthisAgreementwithlegalcounselofitschoiceandthatitentersintothisAgreementvoluntarilyandofitsownfreewillandfullyandcompletely

41、acceptsthetermsofthisAgreement.ThetermsofthisAgreementareseverableandtheinvalidityofanytermofthisAgreementshallnotaffectthevalidityofanyotherterm.ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichwillbedeemedtobeanoriginalcopyofthisAgreementandallofwhich,whentakentogether,willbedeemedtoco

42、nstituteoneandthesameAgreement.ThisAgreementmaybeexecutedanddeliveredbyfacsimileorotherelectronictransmission.AllsignatoriesheretoacknowledgethattheyhavereadtheforegoingAgreementandbytheirsignaturesthattheyhavefullandcompleteauthoritytolegallyexecutethisdocumentforandinthenameofthepartyforwhichtheyh
