34、、质检、安装、缺陷修复、管理、赔偿、运转等费用、规费、税金、保险费、利润、临时工程费、措施费、工程维护费和申领施工所需的许可证、执照等一切直接费用和间接费用，以及分包合同中明示或暗示的与本工程有关的所有风险、责任和义务。为避免误解和歧义，本款上述事项为非穷尽式列举，除分包合同另有约定外，应包括一切直接费用和间接费用。2.3.2Thissubcontractisthelumpsumcontractandthetotalpricehereofincludesbutisnotlimitedtotheconstructionequipmentmaterialsandlosses,Iaborzquali

35、tyinspection,installation,defectrepair,management,compensation,operationandothercosts,fees,taxes,insurance,profits,temporaryworkszmeasures,maintenancecostszwhicharenecessaryforcompletionoftheWorkswithintheWorkscopeandengineeringstandardshereof,inadditiontoalldirectandindirectcostsoftheapplicationfor

36、thepermitsandlicenseswhichconstructionrequiredandallrisks,liabilitiesandobligationsrelatedtotheWorksasexpressedorimpliedinthesubcontract.Toavoidmisunderstandingandambiguity,theabovemattersinthisparagrapharelistedinano-exhaustivemannerandshallincludealldirectandindirectcostsunlessotherwisesetforthint

37、hesubcontract.2.3.3本合同为总价合同，工程量表中的数量（如有）为预估数量，仅作参考。分包工程的计量和估价应按照分包合同约定的计量和估价方法进行。2.3.3Thiscontractisalumpsumcontract.ThequantitiesintheBillofQuantities(ifany)areestimatedquantitiesandforreferenceonly.Themeasurementandvaluationofsubcontractworksshallbemadeinaccordancewiththemeasurementandvaluationmet

38、hodsspecifiedherein.2.3.4如分包合同约定分包合同可根据第18条变更、第20条因法律改变的调整或第23.2条物价波动和汇率引起的价格调整调整分包合同价格，则分包合同价格可予调整。如分包合同约定不适用第20条因法律改变的调整或第23.2条物价波动和汇率引起的价格调整约定外，分包合同价格不予调整。2.3.4TheSubcontractpricemaybeadjustediftheSubcontractstipulateditmaybeadjustedinaccordancewithArticle18Variation,Article20AdjustmentduetoVaria

40、eSubcontractorisawareoftheMainContract3.1.1 应分包商书面要求，承包商可向分包商提供包括一般合同条件、专用合同条件和与分包工程有关的技术规范在内的主合同文件，但承包商报价的工程量表和保密内容除外。分包商应视为已了解和知晓主合同的有关约定(但保密内容除外)。3.1.2 TheContractormayzupontheSubcontractor*SwrittenrequestprovidetheSubcontractorwiththemaincontractdocumentsincludingtheGeneralConditionsofContract,P

41、articularTermsofContractandTechnicalSpecificationsrelatingtotheSubcontractWorkzexceptfortheBillofQuantitiesandconfidentialcontentsquotedbytheContractor.TheSubcontractorshallbedeemedtohaveunderstoodandknowntherelevantprovisionsoftheMasterContract(exceptforconfidentialcontents).3.1.3 分包商获得承包商提供的主合同一般合

42、同条件、专用合同条件和技术规范所发生的费用，应由分包商承担。3.1.4 TheCostsincurredbytheSubcontractortoobtaintheGeneralConditionsofContract,ParticularTermsofContractandTechnicalSpecificationsfortheMainContractprovidedbytheContractorshallbebornebytheSubcontractor.3.2 遵守主合同。分包商应履行和遵守与分包工程相关的主合同项下约定的承包商的一切义务和责任。3.3 Compliancewiththe

43、PrimeContract.TheSubcontractorshallperformandcomplywithallobligationsandresponsibilities,relatingtotheSubcontractWork,oftheContractorunderthemaincontract.3.4 主合同的指示和决定3.5 Instructionsanddecisionsofthemastercontract分包商应遵守承包商书面通知分包商的，业主和/或工程师发出的与分包工程有关的所有指示和决定，无论此项指示或决定是否根据主合同的约定有效发出。如果分包商从业主和/或工程师处接收

44、了任何直接的指示，则分包商应：TheSubcontractorshallcomplywiththewrittennoticesgiventoitbytheContractorinadditiontoallinstructionsanddecisionsissuedbytheEmployerand/ortheEngineerinconnectionwiththeSubcontractWorkzwhetherornotsuchinstructionsordecisionsarevalidlygiveninaccordancewiththeprovisionsofthemaincontract.Pr

45、ovidedthattheSubcontractorreceivesanydirectinstructionsfromtheEmployerand/orEngineer,theSubcontractorshall.(a)立即通知承包商并递交上述直接指示的原件给承包商，并且(a)TonotifyforthwiththeContractorandsubmittheoriginaloftheaboveinstructionstotheContractor,and(b)除非得到了承包商的书面确定，否则分包商没有义务遵守此项直接指示。(b)TheSubcontractorisnotobligatedto

46、complywiththisinstructionsunlessdeterminedinwritingbythecontractor.4承包商4TheContractor4.1 承包商的指示4.2 TheContractorsinstructions分包商仅能从承包商或承包商代表接受与分包合同和分包工程有关的任何指示。分包商应遵守所有的指示。指示不明确的，应向承包商或承包商代表就与分包合同有关的任何事宜发出书面确认。TheSubcontractormayonlyzfromtheContractororitsrepresentative,receiveanyinstructionconcerni

47、ngtheSubcontractandtheSubcontractWork.TheSubcontractorshallcomplywithallinstructionsandiftheinstructionsaredeemedunclear,sendwrittenconfirmationtotheContractororitsrepresentativeonanyissuerelatingtotheSubcontract.4.3 现场进入权4.4 Rightofsiteaccess承包商应在分包合同约定的时间内向分包商提供现场进入权、现场占有权或路权(如有)，以使分包商根据分包合同进度计划实施、完成和修复其中任何缺陷。无论如何，分包商不能享有现
