4、21.YiHuiman5ChairmanoftheChinaSecuritiesRegulatoryCommissionMarch18,2021MeasuresfortheAdministrationofInformationDisclosurebyListedCompaniesChapter I GeneralProvisionsArticle1Forthepurposeofregulatingtheinformationdisclosureconductoflistedcompaniesandotherpersonswithinformationdisclosureobligations,

5、strengtheningtheadministrationofinformationdisclosure,protectingthelegitimaterightsandinterestsofinvestors,theseMeasuresareformulatedinaccordancewiththeCompanyLawofthePeoplesRepublicofChina(hereinafterreferredtoastheCompanyLaw,)jtheSecuritiesLawofthePeoplesRepublicofChina(hereinafterreferredtoastheS

6、ecuritiesLaw),andotherlawsandadministrativeregulations.Article2ApersonwithinformationdisclosureobligationsshallcomplywiththeseMeasuresinperformingitsinformationdisclosureobligations,subjecttotherulesoftheChinaSecuritiesRegulatoryCommission(hereinafterreferredtoastheCSRC)forinformationdisclosureconce

7、rningtheinitialpublicofferingsofstockandlistingsandconcerningtheofferingofsecuritiesbylistedcompanies.Article3Apersonwithinformationdisclosureobligationsshallperformitsinformationdisclosureobligationsinatimelymannerinaccordancewiththelaw,andtheinformationdisclosedshallbeauthentic,accurate,complete,c

8、oncise,clear,andeasytounderstand,andshallnotcontainanyfalsestatement,misleadingstatement,ormaterialomission.第一章总则第一条为了规范上市公司 及其他信息披露义务人的信息披 露行为，加强信息披露事务管理， 保护投资者合法权益，根据中华 人民共和国公司法（以下简称公 司法）、中华人民共和国证券 法（以下简称证券法）等法 律、行政法规，制定本办法。第二条信息披露义务人履 行信息披露义务应当遵守本办法 的规定，中国证券监督管理委员会 （以下简称中国证监会）对首次公 开发行股票并上市、上市公司发行

9、 证券信息披露另有规定的，从其规 定。第三条信息披露义务人应 当及时依法履行信息披露义务，披 露的信息应当真实、准确、完整， 简明清晰、通俗易懂，不得有虚假 记载、误导性陈述或者重大遗漏。信息披露义务人披露的信息应当Theinformationdisclosedbythepersonwithinformationdisclosureobligationsshallbedisclosedtoallinvestorsatthesametime,andshallnotbedisclosedtoanyentityorindividualinadvance,unlessotherwiseprovided

10、byanylaworadministrativeregulations.Beforetheinsiderinformationisdisclosedinaccordancewiththelaw,neitheraninsiderwhohasaccesstoinsiderinformationnorapersonwhohas川egallyobtainedinsiderinformationshallpubliclydiscloseordivulgetheinformation,orusetheinformationforinsidertrading.Noentityorindividualmayi

11、llegallyrequireapersonwithinformationdisclosureobligationstoprovidenon-publicinformationrequiredtobedisclosedbylaw.Ifasecurity,oraderivativebasedthereon,ispubliclyofferedandtradedbothdomesticallyandoverseasconcurrently,theinformationdisclosedbythepersonwithinformationdisclosureobligationsintheoverse

12、asmarketshallbedisclosedinthedomesticmarketconcurrently.Article4Thedirectors,supervisorsandofficersofalistedcompanyshallperformtheirdutiesfaithfullyanddiligentlyandensuretheauthenticity,accuracy,andcompletenessofinformationdisclosedandfairandtimelyinformationdisclosure.同时向所有投资者披露，不得提前 向任何单位和个人泄露。但是，

13、法 律、行政法规另有规定的除外。在内幕信息依法披露前，内幕信息 的知情人和非法获取内幕信息的 人不得公开或者泄露该信息，不得 利用该信息进行内幕交易。任何单 位和个人不得非法要求信息披露 义务人提供依法需要披露但尚未 披露的信息。证券及其衍生品种同时在境内境 外公开发行、交易的，其信息披露 义务人在境外市场披露的信息，应 当同时在境内市场披露。第四条上市公司的董事、监 事、高级管理人员应当忠实、勤勉 地履行职责，保证披露信息的真 实、准确、完整，信息披露及时、 公平。第五条除依法需要披露的 信息之外，信息披露义务人可以自 愿披露与投资者作出价值判断和 投资决策有关的信息，但不得与依 法披露的信

14、息相冲突，不得误导投 资者。Article5Inadditiontotheinformationthatshallbedisclosedinaccordancewiththelaw,personswithinformationdisclosureobligationsmayvoluntarilydiscloseinformationrelatedtoaninvestorsvaluejudgmentandinvestmentdecision-making,butsuchinformationshallnotcontradicttheinformationdisclosedinaccordance

15、withthelawormisleadinvestors.Theinformationvoluntarilydisclosedbythepersonwithinformationdisclosureobligationsshallbeauthentic,accurate,andcomplete.Voluntaryinformationdisclosureshallcomplywiththeprincipleoffairness,andmaintainthecontinuityandconsistencyofinformationdisclosure,andshallnotbeselective

16、disclosure.Thepersonwithinformationdisclosureobligationsshallnotusevoluntarilydisclosedinformationtoimproperlyaffectthetradingpriceofacompanysecurityoraderivativebasedthereon,ortoengageinmarketmanipulationoranyotherviolationoflawsandregulations.Article6Wherealistedcompanyanditscontrollingshareholder

17、,actualcontroller,directors,supervisors,andofficers,amongothers,giveanyundertakingpublicly,suchundertakingshallbedisclosed.Article7Aninformationdisclosuredocumentshallincludeaperiodicreport,currentreport,prospectusforastockoffering,prospectusforabondoffering,listingannouncement,oracquisitionreport.A

18、rticle8TheinformationdisclosedinaccordancewiththelawshallbepublishedonthewebsiteofastockexchangeandamediaoutthatmeetstheconditionsprescribedbytheCSRC,andmadeavailableatthedomicileofthelistedcompanyandthestockexchangeforpublicinspection.信息披露义务人自愿披露的信息 应当真实、准确、完整。自愿性信 息披露应当遵守公平原则，保持信 息披露的持续性和一致性，不得进 行

19、选择性披露。信息披露义务人不得利用自愿披 露的信息不当影响公司证券及其 衍生品种交易价格，不得利用自愿 性信息披露从事市场操纵等违法 违规行为。第六条 上市公司及其控股 股东、实际控制人、董事、监事、 高级管理人员等作出公开承诺的， 应当披露。第七条信息披露文件包括 定期报告、临时报告、招股说明书、 募集说明书、上市公告书、收购报 告书等。第八条依法披露的信息，应 当在证券交易所的网站和符合中 国证监会规定条件的媒体发布，同 时将其置备于上市公司住所、证券 交易所，供社会公众查阅。信息披露文件的全文应当在证券 交易所的网站和符合中国证监会 规定条件的报刊依法开办的网站 披露，定期报告、收购报告

20、书等信 息披露文件的摘要应当在证券交ThefulltextofaninformationdisclosuredocumentshallbedisclosedonthewebsiteofastockexchangeandawebsiteestablishedbyanewspaperorperiodicalthatmeetstheconditionsprescribedbytheCSRC,andthesummaryofaperiodicreport,anacquisitionreport,oranyotherinformationdisclosuredocumentshallbedisclosed

21、onthewebsiteofastockexchangeandanewspaperorperiodicalwhichmeetstheconditionsoftheCSRC.Apersonwithinformationdisclosureobligationsshallneithersubstituteapressrelease,answerstoreporters*questions,oranyotherformforareportingorannouncementobligationwhichitshallperformnorsubstitutetheformofaperiodicrepor

22、tforacurrentreportingobligationwhichitshallperform.Article9ApersonwithinformationdisclosureobligationsshallsubmitthetextofaninformationdisclosureannouncementandanyrelateddocumentavailableforinspectiontothelocalofficeoftheCSRCintheplaceofregistrationofthelistedcompany.Article10Aninformationdisclosure

23、documentshallbeinChinese.Ifitissimultaneouslyaccompaniedbyatextinaforeignlanguage,thepersonwithinformationdisclosureobligationsshallensurethatbothtextscontainthesamecontent.Wherethereisanydiscrepancybetweenthem,theChinesetextshallprevail.易所的网站和符合中国证监会规 定条件的报刊披露。信息披露义务人不得以新闻发布 或者答记者问等任何形式代替应 当履行的报告、公

25、mentsandannouncementsandinformationdisclosureaffairsmanagementactivities,andexercisesupervisionandadministrationoftheinformationdisclosureconductbypersonswithinformationdisclosureobligations.Astockexchangeshallsupervisetheinformationdisclosureconductoflistedcompaniesandotherpersonswithinformationdis

26、closureobligations,urgethemtodiscloseinformationinalawful,timelyandaccuratemanner,andexerciseareal-timemonitoringofthetradinginsecuritiesandthederivativesbasedthereon.ThelistingrulesandotherinformationdisclosurerulesformulatedbyastockexchangeshallbesubmittedtotheCSRCforapproval.Chapter II PeriodicRe

27、portsArticle 12 Aperiodicreportwhichalistedcompanyshalldiscloseshallincludeanannualorsemiannualreport.Anyinformationwhichmayhaveamaterialeffectoninvestorsmakingvaluejudgmentsandinvestmentdecisionsshallbedisclosed.Thefinancialaccountingreportinanannualreportshallbeauditedbyanaccountingfirmthatcomplie

28、swiththeSecuritiesLaw.Article 13 Anannualreportshall,withinfourmonthsfromtheendofeachfiscalyear,orasemiannualreportshall,withintwomonthsfromtheendofthefirsthalfofeachfiscalyear,bepreparedanddisclosed.Article 14 Anannualreportshallcontain:(1) thebasicinformationofthecompany;(2) themainaccountingdataa

29、ndfinancialindicators;证券交易所应当对上市公司及其 他信息披露义务人的信息披露行 为进行监督，督促其依法及时、准 确地披露信息，对证券及其衍生品 种交易实行实时监控。证券交易所 制定的上市规则和其他信息披露 规则应当报中国证监会批准。第二章定期报告第十二条上市公司应当披 露的定期报告包括年度报告、中期 报告。凡是对投资者作出价值判断 和投资决策有重大影响的信息，均 应当披露。年度报告中的财务会计报告应当 经符合证券法规定的会计师事 务所审计。第十三条年度报告应当在 每个会计年度结束之日起四个月 内，中期报告应当在每个会计年度 的上半年结束之日起两个月内编 制完成并披露。第

30、十四条年度报告应当记 载以下内容：（一）公司基本情况；（二）主要会计数据和财务指标；（三）公司股票、债券发行及变动(3) theinformationabouttheissuanceandchangesofcorporatestocksandbonds,thetotalamountofstocksandbondsbytheendofthereportingperiod,totalnumberofshareholders,aswellasthesharesheldbythetoptenprincipalshareholders.(4) theinformationaboutthesharehol

31、dersholding5%ormoreoftheshares,thecontrollingshareholdersandtheactualcontrollers;(5) theinformationabouttheappointmentofdirectors,supervisorsandofficers,changesofthesharesheldbythem,aswellastheirannualremunerations;(6) thereportoftheboardofdirectors;(7) thediscussionsandanalysesofthemanagement;(8) t

32、hematerialeventsoccurringwithinthereportingperiodandtheirinfluenceonthecompany;(9) thefulltextsofthefinancialaccountingstatementsandauditreport;and(10) othermattersprescribedbytheCSRC.情况，报告期末股票、债券总额、 股东总数，公司前十大股东持股情 况；（四）持股百分之五以上股东、控 股股东及实际控制人情况；（五）董事、监事、高级管理人员 的任职情况、持股变动情况、年度 报酬情况；（六）董事会报告;（七）管理层讨论

33、与分析;（）报告期内重大事件及对公司 的影响；（九）财务会计报告和审计报告全 文；（十）中国证监会规定的其他事 项。Article 15 Asemiannualreportshall第十五条中期报告应当记contain:载以下内容：(1) thebasicinformationofthecompany;(2) themainaccountingdataandfinancialindicators;（一）公司基本情况;（二）主要会计数据和财务指标;（三）公司股票、债券发行及变动 情况、股东总数、公司前十大股东 持股情况，控股股东及实际控制人(3) theinformationabouttheis

34、suanceandchangesofcorporatestocksandbonds,thetotalnumberofshareholders,aswellasthesharesheldbythetoptenprincipalshareholders;发生变化的情况;(4) thediscussionsandanalysesofthe(四)管理层讨论与分析；management;(5) thematerialeventsoccurringwithinthe(五)报告期内重大诉讼、仲裁等reportingperiod,suchasimportant重大事件及对公司的影响；lawsuitsandar

35、bitrations,aswellastheirinfluenceonthecompany;(6) thefinancialaccountingstatements;(六)贝才务会计报告；and(7) othermattersprescribedbytheCSRC.Article 16 Thecontentofaperiodicreportshallbesubjecttothedeliberationandapprovaloftheboardofdirectorsofalistedcompany.Aperiodicreport,withoutthedeliberationandapproval

36、oftheboardofdirectors,shallnotbedisclosed.Thedirectorsandofficersofalistedcompanyshallsignawrittenconfirmationopinionontheperiodicreport,andstatewhetherthepreparationanddeliberationproceduresoftheboardofdirectorsconformtotherelevantlaws,administrativeregulations,andtherulesoftheCSRCandwhetherthecont

37、entsofthereportauthentically,accuratelyandcompletelyreflecttheactualconditionofthelistedcompany.（七）中国证监会规定的其他事 项。第十六条定期报告内容应 当经上市公司董事会审议通过。未 经董事会审议通过的定期报告不 得披露。公司董事、高级管理人员应当对定 期报告签署书面确认意见，说明董 事会的编制和审议程序是否符合 法律、行政法规和中国证监会的规 定，报告的内容是否能够真实、准 确、完整地反映上市公司的实际情 况。监事会应当对董事会编制的定期 报告进行审核并提出书面审核意 见。监事应当签署书面确认意

40、eauthenticity,accuracy,andcompletenessofthecontentoftheperiodicreport,orhasobjections,heorsheshallcastanegativevoteorabstainfromvotingwhentheboardofdirectorsortheboardofsupervisorsdeliberatesorexaminestheperiodicreport.Ifadirector,supervisororofficerisunabletowarranttheauthenticity,accuracy,andcompl

41、etenessofthecontentoftheperiodicreport,orhasobjections,heorsheshallgivehisorheropinion,withthereasonsstated,inthewrittenconfirmationopinion,whichthelistedcompanyshalldisclose.Ifthelistedcompanyfailstodoso,thedirector,supervisororofficermaydirectlyapplyfordisclosure.Adirector,supervisor,orofficershal

42、lgiveanopinionundertheprovisionsoftheprecedingparagraphontheprincipleofprudence,andshallnotbereleasedofrightfromhisorherresponsibilitytowarranttheauthenticity,accuracy,andcompletenessofthecontentoftheperiodicreportonlybygivingtheopinion.Article 17 Wherealistedcompanyforecaststhattherewillbeanylossor

45、relevantfinancialdataofthecurrentreportingperiodintime.Article 19 Whereanon-standardauditopinionisissuedonthefinancialaccountingstatementsincludedinaperiodicreport,theboardofdirectorsofthelistedcompanyshallmakeaspecialexplanationabouttheitemsinvolvedintheauditopinions.Whereanon-standardauditopinioni

46、sissuedonthefinancialaccountingstatementsincludedinaperiodicreport,ifthestockexchangeconsidersthatanyviolationisinvolved,itshallfileanapplicationwiththeCSRCforinvestigation.Article 20 Wherealistedcompanyfailstodiscloseitsannualreportorsemiannualreportwithintheprescribedtimelimit,theCSRCshallimmediat

47、elyfileacaseforinvestigation,andthestockexchangeshallproceedaccordingtoitsrulesonthelistingofstocks.Article 21 TherulesfortheformatsandpreparationofannualandinterimreportsshallbeformulatedbytheCSRCandstockexchanges.ChapterIIICurrentReports出现业绩泄露，或者出现业绩传闻 且公司证券及其衍生品种交易出 现异常波动的，上市公司应当及时 披露本报告期相关财务数据。第

48、十九条定期报告中财务 会计报告被出具非标准审计意见 的，上市公司董事会应当针对该审 计意见涉及事项作出专项说明。定期报告中财务会计报告被出具 非标准审计意见，证券交易所认为 涉嫌违法的，应当提请中国证监会 立案调查。第二十条上市公司未在规 定期限内披露年度报告和中期报 告的，中国证监会应当立即立案调 查，证券交易所应当按照股票上市 规则予以处理。第二十一条 年度报告、中期 报告的格式及编制规则，由中国证 监会和证券交易所制定。第三章临时报告第二十二条发生可能对上 市公司证券及其衍生品种交易价 格产生较大影响的重大事件，投资 者尚未得知时，上市公司应当立即 披露，说明事件的起因、目前的状Article22Inthecaseofamaterialeventthatmayconsiderablyaffectthetradingpriceofalistedcompany,ssharesandthatisnotyetknowntotheinvestors,thelistedcompanyshalldiscloseittothem,statingthecause,thepresentsituation,andthepossiblelegalconsequenceoftheevent.Theterm“materialeventnasmentionedint
