5、ecember15,20232023年12月15日上市公司监管指引第3号一一上市 公司现金分红（2023年修订）RegulatoryGuidelinesforListedCompaniesNo.3DistributionofCashDividendsofListedCompanies(2023Revision)第一条为规范上市公司现金 分红，增强现金分红透明度，维护 投资者合法权益，根据中华人民 共和国公司法（以下简称公司 法）、中华人民共和国证券 法（以下简称证券法）及 上市公司信息披露管理办法 上市公司证券发行注册管理办 法等规定，制定本指引。Article1TheseGuidelines

6、aredevelopedaccordingtotheCompanyLawofthePeoplesRepublicofChina(hereinafterreferredtoasthe,tCompanyLawn),theSecuritiesLawofthePeoplesRepublicofChina(hereinafterreferredtoastheSecuritiesLaw,)jtheMeasuresfortheAdministrationofInformationDisclosurebyListedCompanies,theMeasuresfortheAdministrationoftheI

7、ssuanceofSecuritiesbyListedCompanies,andotherrelevantprovisionsforthepurposesoffurtherregulatingthedistributionofcashdividendsoflistedcompanies,enhancingthetransparencyofcashdividends,andprotectingthelawfulrightsandinterestsofinvestors.第二条 上市公司应当牢固树 立回报股东的意识，严格依照公 司法证券法和公司章程的规 定，健全现金分红制度，保持现金 分红政策的一

8、致性、合理性和稳定 性，保证现金分红信息披露的真实 性QArticle2Listedcompaniesshallfirmlyestablishtheawarenessofprovidingreturnsforshareholders,improvethesystemfordistributionofcashdividends,maintaintheconsistency,rationalityandstabilityofthepoliciesfordistributionofcashdividends,andensuretheveracityofinformationdisclosedabou

9、tdistributionofcashdividendsinstrictaccordancewiththeCompanyLaw,theSecuritiesLawandtheirbylaws.第三条上市公司制定利润分 配政策时，应当履行公司章程规定 的决策程序。董事会应当就股东回 报事宜进行专项研究论证，制定明 确、清晰的股东回报规划，并详细 说明规划安排的理由等情况。上市 公司应当在公司章程中载明以下内 容：Article3Whendevelopingprofitdistributionpolicies,alistedcompanyshallundergothedecision-makingp

10、roceduresassetforthinitsbylaws.Theboardofdirectorsshallmakespecial-purposeresearchanddemonstrationonpayingreturnstoshareholders,makespecificanddefiniteplansforpayingreturnstoshareholders,andexplainthereasonsindetail.Alistedcompanyshallspecifythefollowingcontentsinitsbylaws:（一）公司董事会、股东大会对利 润分配尤其是现金分红

11、事项的决策 程序和机制，对既定利润分配政策 尤其是现金分红政策作出调整的具 体条件、决策程序和机制，以及为 充分听取中小股东意见所采取的措 施。(1) Thedecision-makingproceduresandmechanismsoftheboardofdirectorsandtheshareholdersmeetingofthecompanyformattersconcerningprofitdistribution,especiallydistributionofcashdividends,thespecificconditionsanddecision-makingprocedure

12、sandmechanismsforadjustingestablishedprofitdistributionpolicies,especiallycashdividendpolicies,andthemeasuresadoptedinordertofullyheartheopinionsofminorityshareholders.（二）公司的利润分配政策尤其是 现金分红政策的具体内容，利润分 配的形式，利润分配尤其是现金分 红的具体条件，发放股票股利的条 件，年度、中期现金分红最低金额 或者比例（如有）等。鼓励上市公 司在符合利润分配的条件下增加现 金分红频次，稳定投资者分红预 期。(2)

13、 Thedetailsofthecompanysprofitdistributionpolicies,especiallycashdividendpolicies,theformsofprofitdistribution,thespecificconditionsfordistributingcashdividends,especiallythoseforcashdividends,theconditionsfordistributingstockdividends,andtheannualandinterimminimumamountorproportionofcashdividends(i

14、fany),amongothers.Listedcompaniesshallbeencouragedtoincreasethefrequencyofcashdividendsundertheconditionsofprofitdistributionandstabilizeinvestorsdividendexpectations.第四条上市公司应当在章程 中明确现金分红相对于股票股利在 利润分配方式中的优先顺序。Article4Alistedcompanyshallspecifyinitsbylawstheprioritysequenceofdistributionofcashdividen

15、dsoverdistributionofstockdividendsintheselectionoftheprofitdistributionmethod.具备现金分红条件的，应当采用现 金分红进行利润分配。Ifitsatisfiestheconditionsfordistributionofcashdividends,themethodofdistributionofcashdividendsshallbeadoptedtodistributeprofits.采用股票股利进行利润分配的，应 当具有公司成长性、每股净资产的 摊薄等真实合理因素。Ifitadoptsthemethodofdist

16、ributionofstockdividendstodistributeprofits,itshallbeinsucharealandrationalsituationaspromisinggrowthprospectsanddilutednetassetspershare.第五条 上市公司董事会应当 综合考虑所处行业特点、发展阶 段、自身经营模式、盈利水平、债 务偿还能力、是否有重大资金支出 安排和投资者回报等因素，区分下 列情形，并按照公司章程规定的程 序，提出差异化的现金分红政策：Article5Theboardofdirectorsofalistedcompanyshall,bycom

17、prehensivelyconsideringfactorssuchasthecharacteristicsoftheindustryitbelongsto,itsdevelopmentstage,itsoperatingmode,itsprofitability,solvency,whetherithasanymajorexpenditurearrangement,andinvestors*returns,proposedifferentialpoliciesfordistributionofcashdividendsundertheprocedurestipulatedinthebylaw

18、softhecompanyinlightofthefollowingcircumstances:(1) If the company is in a mature stage and has no major expenditure arrangements, the proportion of cash dividends shall account for at least 80% in its profit distribution.（一）公司发展阶段属成熟期且无 重大资金支出安排的，进行利润分 配时，现金分红在本次利润分配中 所占比例最低应当达到百分之八 十；(2) If the co

19、mpany is in a mature stage and has major expenditure arrangements, the proportion of cash dividends shall account for at least within 40% in its profit distribution.（二）公司发展阶段属成熟期且有 重大资金支出安排的，进行利润分 配时，现金分红在本次利润分配中 所占比例最低应当达到百分之四 十；(3) If the company is in a growth stage and has major expenditure arra

20、ngements, the proportion of cash dividends shall account for at least 20% in its profit distribution.（三）公司发展阶段属成长期且有重大资金支出安排的，进行利润分配时，现金分红在本次利润分配中所占比例最低应当达到百分之二十；公司发展阶段不易区分但有重大资 金支出安排的，可以按照前款第三 项规定处理。Whereitisdifficulttodeterminethedevelopmentstageofthecompany,theprovisionsofitem(3)oftheprecedingsub

21、paragraphmayapplyaslongasthecompanyhasmajorexpenditurearrangements.现金分红在本次利润分配中所占比 例为现金股利除以现金股利与股票 股利之和。Theproportionofcashdividendsinthisprofitdistributioniscashdividendsdividedbythesumofcashdividendsandstockdividends.第六条 上市公司在制定现金 分红具体方案时，董事会应当认真 研究和论证公司现金分红的时机、 条件和最低比例、调整的条件及其 决策程序要求等事宜。Article6W

22、henalistedcompanymakesaspecificplanfordistributionofcashdividends,theboardofdirectorsshallanalyzeanddemonstratethetiming,conditionsandminimumproportionofdistributionofcashdividends,theconditionsanddecision-makingprocedureforadjustment,andotherrelevantmatters.独立董事认为现金分红具体方案可 能损害上市公司或者中小股东权益 的，有权发表独立意

23、见。董事会对 独立董事的意见未采纳或者未完全 采纳的，应当在董事会决议中记载 独立董事的意见及未采纳的具体理 由，并披露。Ifanindependentdirectorbelievesthatthespecificplansfordistributionofcashdividendsmayharmtherightsandinterestsofthelistedcompanyorminorityshareholders,heshallhavetherighttoexpressindependentopinions.Iftheboardofdirectorsfailstoadoptordoesno

24、tfullyadopttheopinionsofindependentdirectors,itshallrecordintheresolutionoftheboardofdirectorstheopinionsoftheindependentdirectorsandthespecificreasonsfornotadoptingthem,anddisclosethem.股东大会对现金分红具体方案进行 审议前，上市公司应当通过多种渠 道主动与股东特别是中小股东进行 沟通和交流，充分听取中小股东的 意见和诉求，及时答复中小股东关 心的问题。Beforethespecificplanforcashd

25、ividendsisdeliberatedatthegeneralmeetingofshareholders,thelistedcompanyshallactivelycommunicatewithshareholdersespeciallyminorityshareholdersthroughmultiplechannels,sufficientlylistentotheopinionsandclaimsofminorityshareholders,andreplytotheconcernsofminorityshareholdersinatimelymanner.第七条 上市公司召开年度股

26、 东大会审议年度利润分配方案时， 可审议批准下一年中期现金分红的 条件、比例上限、金额上限等。年 度股东大会审议的下一年中期分红 上限不应超过相应期间归属于上市 公司股东的净利润。董事会根据股 东大会决议在符合利润分配的条件 下制定具体的中期分红方案。Article7Whenalistedcompanyholdsanannualgeneralmeetingofshareholderstodeliberatetheannualprofitdistributionplan,itmaydeliberateandapprovetheconditions,proportionceiling,andamo

27、untceilingofinterimcashdividendsforthenextyear.Theinterimdividendceilingforthefollowingyeardeliberatedbytheannualgeneralmeetingofshareholdersshallnotexceedthenetprofitsattributabletoshareholdersofthelistedcompanyduringthecorrespondingperiod.Theboardofdirectorsshall,inaccordancewiththeresolutionofthe

28、generalmeetingofshareholders,developaspecificinterimplanfordistributionofdividendsinlinewiththeconditionsofprofitdistribution.上市公司应当严格执行公司章程确 定的现金分红政策以及股东大会审 议批准的现金分红方案。确有必要 对公司章程确定的现金分红政策进 行调整或者变更的，应当满足公司 章程规定的条件，经过详细论证 后，履行相应的决策程序，并经出 席股东大会的股东所持表决权的三 分之二以上通过。Alistedcompanyshallstrictlyimplementthe

29、policiesfordistributionofcashdividendssetforthbythebylawsandtheplansfordistributionofcashdividendsdeliberatedandadoptedbythegeneralmeetingofshareholders.Whereitisreallynecessarytoadjustorchangethepoliciesfordistributionofcashdividendssetforthbythebylaws,theconditionssetforthbythebylawsshallbemet,the

30、relevantdecision-makingprocedureshallbeundergoneupondetaileddemonstration,anditshallbevotedforbyshareholdersholdingtwo-thirdsormoreofthevotingrightspresentatthegeneralmeetingofshareholders.第八条 上市公司应当在年度 报告中详细披露现金分红政策的制 定及执行情况，并对下列事项进行 专项说明：Article8Alistedcompanyshall,initsannualreport,discloseinform

31、ationaboutthemakingandimplementationofpoliciesfordistributionofcashdividendsindetail,andmakespecialexplanationsonthefollowingmatters:（一）是否符合公司章程的规定或 者股东大会决议的要求；(1) Whethertheycomplywiththerequirementsofthebylawsofthecompanyorsatisfytherequirementsoftheresolutionofthegeneralmeetingofshareholders.（二）分

32、红标准和比例是否明确和 清晰；(2) Whetherthestandardsforandpercentageofdividendsarespecificandclear.（三）相关的决策程序和机制是否 完备；(3) Whetherrelevantdecision-makingproceduresandmechanismsareadequate.（四）公司未进行现金分红的，应 当披露具体原因，以及下一步为增 强投资者回报水平拟采取的举措 等；(4) Wherethecompanydoesnotpaycashdividends,itshalldisclosethespecificreasons,a

33、ndthemeasurestobetakenatthenextstepforenhancingthelevelofinvestors,returns.（五）中小股东是否有充分表达意 见和诉求的机会，中小股东的合法 权益是否得到了充分保护等。(5) Whetherminorityshareholdershaveachancetofullyexpresstheirviewsanddemands,andwhetherthelawfulrightsandinterestsofminorityshareholdersarefullyprotected,andsoon.对现金分红政策进行调整或者变更 的，

34、还应当对调整或者变更的条件 及程序是否合规和透明等进行详细 说明。Intheeventofanyadjustmenttoorchangeinthepoliciesfordistributionofcashdividends,detailedexplanationsshallalsobemaderegardingwhethertheconditionsandproceduresforsuchadjustmentorchangearecompliantandtransparent.Article9Alistedcompanythatintendstoissuesecuritiesshalldeve

35、lopareasonableplanforreturnstoshareholders,reasonablybalancetheuseofoperatingprofitsforitsowndevelopmentandreturntoshareholders,andattachimportancetoimprovingthelevelofcashdividendsandincreasingreturnstoshareholders.第九条拟发行证券的上市公 司应当制定对股东回报的合理规 划，对经营利润用于自身发展和回 报股东要合理平衡，要重视提高现 金分红水平，提升对股东的回报。Alistedco

36、mpanyshalldiscloseinitsprospectusorissuanceplanthedevelopmentandimplementationofitspoliciesforprofitdistribution,especiallythepoliciesforcashdividends,theamountandproportionofcashdividendsinthemostrecentthreeyears,andthearrangementsfortheuseofundistributedprofits,andmakeaumajoreventreminder,toremind

37、investorstopayattentiontotheaforesaidsituation.Thesponsorshall,inthesponsorshipworkreport,expressspecificopinionsonwhetherthedecision-makingmechanismofthelistedcompay,spoliciesforprofitdistributioniscompliant,whetherithasestablishedacontinuous,stableandscientificmechanismforreturnstoinvestors,whethe

38、rthepromiseofcashdividendshasbeenfuelled,andwhethertherelevantrequirementsoftheseGuidelineshavebeenimplemented.上市公司应当在募集说明书或者发 行预案中增加披露利润分配政策尤 其是现金分红政策的制定及执行情 况、最近三年现金分红金额及比 例、未分配利润使用安排情况，并 作“重大事项提示“，提醒投资者 关注上述情况。保荐机构应当在保 荐工作报告中对上市公司利润分配 政策的决策机制是否合规，是否建 立了对投资者持续、稳定、科学的 回报机制，现金分红的承诺是否已 履行，本指引相关要求是否已经

39、落 实发表明确意见。对于最近三年现金分红水平较低的 上市公司，发行人及保荐机构应当 结合不同行业和不同类型公司的特 点和经营模式、公司所处发展阶 段、盈利水平、资金需求等因素说 明公司现金分红水平较低的原因， 并对公司是否充分考虑了股东要求Foralistedcompanywithrelativelylowlevelofcashdividendsinthemostrecentthreeyears,theissuerandsponsorshallexplainthereasonsfortherelativelylowlevelofcashdividendsofthecompanyinconsid

42、及相应的安 排、董事会对上述情况的说明等信 息。Article 11 Article10Intheeventofsecuritiesissue,materialassetrestructuring,merger,division,orchangeincontrollingpowerofalistedcompanyresultingfromacquisition,alistedcompanyshalldiscloseinitsprospectus,issueplan,materialassetrestructuringreport,equitychangereportoracquisitionr

43、eportitspoliciesfordistributionofcashdividendsandthecorrespondingarrangementsaftertheofferingorissue,restructuringorchangeincontrollingpower,explanationsmadebytheboardofdirectorsontheaforesaidcircumstances,andotherrelevantinformationindetail.Article 12 1.istedcompaniesmayissuepreferencesharesandrepu

44、rchasesharesaccordingtothelaw.Article 13 1.istedcompaniesshallbesupportedinrepurchasingshareswhenthestockpriceislowerthanthenetassetvaluepershare.Article 14 1.istedcompaniesshalltakeeffectivemeasurestoencouragethevastmajorityofsmallandmediuminvestorsandinstitutionalinvestorstoactivelyparticipateinth

45、eirdecision-makingprocessonprofitdistributionmatters.Theroleofintermediaryagenciesinprovidingprofessionalguidanceshallbemaximized.第十三条 中国证券监督管理 委员会及其派出机构（以下统称中 国证监会）在日常监管工作中，应 当对下列情形予以重点关注：Article 15 TheChinaSecuritiesRegulatoryCommissionanditslocaloffices(hereinaftercollectivelyreferredtoastheuCSRC

46、n)shall,inroutinesupervisionandadministrationwork,payspecialattentiontothefollowingcircumstances:（一）公司章程中没有明确、清晰 的股东回报规划或者具体的现金分 红政策的，重点关注其中的具体原 因，相关决策程序是否合法合规， 董事、监事、高级管理人员是否勤 勉尽责等；(1) Wherealistedcompanydoesnotprovideforspecificanddefiniteplansforpayingreturnstoshareholdersordetailedpoliciesfordis

47、tributionofcashdividendsinitsbylaws,specialattentionshallbepaidtothespecificreasonsforsuchabsence,whethertherelevantdecision-makingprocedurescomplywithlawsandregulations,andwhetherdirectors,supervisorsandseniorexecutiveshavebeendiligentlyperformingduties.（二）公司章程规定不进行现金分 红的，重点关注该等规定是否符合 公司的实际情况，是否进行了

48、充分 的自我评价等；(2) Wherealistedcompanystipulatesinitsbylawsthatnodistributionofcashdividendswouldbeconducted,specialattentionshallbepaidtowhetherthedecisionisinlinewiththeactualsituationofthecompany,andwhetherthecompanyhassufficientlyassesseditself.（三）公司章程规定了现金分红政 策，但无法按照既定现金分红政策 确定当年利润分配方案的，重点关 注公司是否按照要

49、求在年度报告中 披露了具体原因，相关原因与实际 情况是否相符合等；(3) Wherealistedcompanystipulatespoliciesfordistributionofcashdividendsinitsbylawsbutfailstodeterminetheprofitdistributionplanforthecurrentyearbasedonexistingpoliciesfordistributionofcashdividends,specialattentionshallbepaidtowhetherthecompanyhasdisclosedthereasonsforsuchfailureinitsannualreportasr
