5、alProvisionsArticle1TheseMeasuresaredevelopedinaccordancewiththeBankingSupervisionLawofthePeoplesRepublicofChina,theTrustLawofthePeoplesRepublicofChina,theMeasuresforAdministrationofTrustCompanies(OrderNo.22007,CBRC),andotherapplicablelawsandregulationsforthepurposesofcomprehensivelyassessingthesoun

6、doperationandsystemicimpactoftrustcompanies,effectivelyimplementingcategorizedregulation,andpromotingthesustainableandsoundoperationanddifferentiateddevelopmentoftrustcompanies.Article2TheseMeasuresshallapplytotrustcompanieslegallyformedwithintheterritoryofthePeoplesRepublicofChina,andtrustcompanies

7、thathavebeeninoperationforlessthanonefiscalyearorhaveenteredbankruptcyproceedingsshallnotbesubjecttoregulatoryrating.国家金融监督管理总局2023年11月7日信托公司监管评级与分级分类监 管暂行办法第一章总则第一条为全面评估信托公 司的经营稳健情况与系统性影 响，有效实施分类监管，促进信 托公司持续、健康运行和差异化 发展，根据中华人民共和国银 行业监督管理法、中华人民 共和国信托法、信托公司管 理办法（中国银行业监督管理 委员会令2007年第2号）等法律 法规，制定本办法。第二

8、条本办法适用于在中 华人民共和国境内依法设立的信 托公司，开业时间不足一个会计 年度和已进入破产程序的信托公 司不参与监管评级。第三条信托公司监管评级 是指金融监管总局及其派出机构 结合日常监管掌握的情况以及其 他相关信息，按照本办法对信托 公司的管理状况和整体风险作出Article3llReguIatoryratingoftrustcompaniesnmeanstheregulatoryworkconductedbytheNationalAdministrationofFinancialRegulation(NAFR)anditslocalofficestoevaluateandjudget

9、hemanagementconditionandoverallrisksoftrustcompaniesinaccordancewiththeseMeasuresbasedontheinformationobtainedinroutineregulationandotherrelevantinformation.ThesystemicimpactassessmentoftrustcompaniesmeanstheregulatoryworkconductedbytheNAFRtojudgethedegreeofimpactoftheoperationofasingletrustcompanyo

10、ntheoverallstabilityofthefinancialsystemanditsabilitytoservetherealeconomyinlightoftherelevantinformationobtainedinroutineregulationinaccordancewiththeseMeasures.Theregulatoryratingsandresultsofsystemicimpactassessmentoftrustcompaniesarethebasisforcategorizedregulation.TheNAFRanditslocalofficesareco

11、llectivelyreferredtoasregulatoryauthorities.Article4uCategorizedregulationnmeansthatregulatoryauthorities,accordingtotheresultsoftheannualregulatoryratingoftrustcompaniesandtheresultsofsystemicimpactassessment,treatdifferentlytrustcompanieswithdifferentratingsandwithsystemicimpactintermsofmarketacce

12、ss,businessscope,regulatorystandards,regulatoryintensity,allocationofregulatoryresources,andtheadoptionofspecificregulatorymeasures.评价判断的监管工作。信托公司系统性影响评估是指金 融监管总局结合日常监管掌握的 相关信息，按照本办法就单家信 托公司经营状况对金融体系整体 稳健性和服务实体经济能力的影 响程度作出判断的监管工作。信托公司监管评级和系统性影响 评估结果是实施分类监管的基 础。金融监管总局及其派出机构以下 统称监管机构。第四条分类监管是指监管 机构根据信

13、托公司年度监管评级 结果及系统性影响评估结果，对 不同级别和具有系统性影响的信 托公司在市场准入、经营范围、 监管标准、监管强度、监管资源 配置以及采取特定监管措施等方 面实施区别对待的监管政策。第五条信托公司的监管评 级和系统性影响评估工作由监管 机构按照依法合规、客观公正、 全面审慎的原则组织实施。Article5Theregulatoryratingandsystemicimpactassessmentoftrustcompaniesshallbeorganizedandconductedbyregulatoryauthoritiesundertheprinciplesofcomplia

14、ncewithlawsandregulations,objectivenessandimpartiality,comprehensivenessandprudence.ChapterIlRegulatoryRatingComponentsandRatingMethodsArticle6Theregulatoryratingoftrustcompaniesshallincludefivemodules,includingcorporategovernance,capitalrequirements,riskmanagement,behaviormanagement,andbusinesstran

15、sformation.Severalratingcomponentsaresetineachmodule,consistingofqualitativeelementsandquantitativeindicators.Themethodsofregulatoryratingofatrustcompanyshallmainlyincludethefollowingcontents:1. Weightsassignedtotheratingmodule.Thefullscorefortheratingis100.Weightsareassignedtoeachratingmoduleasfoll

16、ows:corporategovernance(20%),capitalrequirements(20%),riskmanagement(20%),behaviormanagement(30%),andbusinesstransformation(10%).2. Ratingcomponentscores.Ascorevalueissetforeachratingcomponent,inwhichevaluationpointsandscoringprinciplesaresetforqualitativeelementsandindicatorvaluerequirementsaresetf

17、orquantitativeindicators.Ratingcomponentscoresshallbedeterminedbyregulatoryratingpersonnelaccordingtotheactualcircumstancesofthecompanyandbyreferencetokeyevaluationpoints,scoringprinciples,andindicatorvaluerequirementsinlightofprofessionaljudgments.第二章监管评级要素与评级方 法第六条信托公司监管评级 包括公司治理、资本要求、风险 管理、行为管理、业

18、务转型等五 个模块。各模块内设置若干评级 要素，由定性要素和定量指标组 成O信托公司监管评级方法主要包含 以下内容：（一）评级模块权重设置。评级 满分为100分，各评级模块的分 值权重如下：公司治理（20%）, 资本要求（20%）,风险管理（20%）,行为管理（30%）,业 务转型（10%） O（二）评级要素得分。对各评级 要素设定分值，其中对定性要素 设定评价要点和评分原则，对定 量指标明确指标值要求。评级要 素得分由监管评级人员根据公司 实际情况，对照评价要点、评分 原则及指标值要求，结合专业判 断确定。（三）评级模块得分。评级模块 得分为各评级要素得分加总。3. Ratingmodule

19、scores.Aratingmodulescoreisthesumofallratingelementscores.4. Ratingscores.Aratingscoreisobtainedbytheweightedaggregationoftheratingcomponentscoresaccordingtotheweightofeachcomponent.5. Determinationofratings.Thepreliminarylevelofregulatoryratingofatrustcompanyshallbedeterminedbasedonitsratingscore.O

20、nthisbasis,theregulatoryratingresultshallbeformedbytakingintoaccounttheadjustmentfactorsforregulatoryrating.Article7Whereatrustcompanyfallsunderanyofthefollowingcircumstancesduringtheevaluationperiod,theregulatoryauthoritymayincreaseitspreliminaryevaluationscore:1. Thecompanythathasnormaloperationas

21、agoingconcernincreasesitsregisteredcapitalby10%ormore.2. Thecompanyassiststheregulatoryauthorityintheriskdisposalofanyotherfinancialinstitution.3. Anyothercircumstancerecognizedbytheregulatoryauthority.Article8Whereatrustcompanyfallsunderanyofthefollowingcircumstancesduringtheevaluationperiod,thereg

22、ulatoryauthorityshallloweritspreliminaryevaluationresult.（四）评级得分。评级得分由各 评级模块得分按照模块权重加权 汇总后获得。（五）等级确定。根据评级得分 确定信托公司监管评级的初步级 别。在此基础上，结合监管评级 调整因素形成监管评级结果。第七条 信托公司在评价期 内存在下列情形之一的，监管机 构可调增其初评得分：（一）持续正常经营的公司，公 司注册资本增加10% （含）以 上；（二）协助监管机构对其他金融 机构进行风险处置；（三）监管机构认可的其他情 形。第八条 信托公司在评价期 内存在下列情形的，监管机构应 下调其初评结果。（一

23、）存在下列情形之一的，初 评结果下调一个级别：1.Underanyofthefollowingcircumstances,thepreliminaryevaluationresultshallbedowngradedbyonegrade:(1)Frequentlyormassivelyprovidingregulatoryarbitragechannelsforotherfinancialinstitutions.1.多次或大量开展为其他金融机构提供监管套利的通道业务；(2)Frequentlysellingtrustproductstounqualifiedinvestors.2.多次向不合

24、格投资者销售信托产品；(3)Issuingalargenumberofguaranteeletterstotrustproductinvestors.3.向信托产品投资者大量出具兜底承诺函；(4)Engaginginthenon-standardcapitalpoolbusinessforthefirsttime.4.新开展非标资金池业务;(5)RigidlyredeemingtrustproductsinviolationoftheNewRegulationonAssetManagement.5.违反资管新规要求对信托产品进行刚性兑付；(6)Illegallyengagingintheuna

25、uthorizedbusiness.6.违规从事未经批准的业务。2.Underanyofthefollowingcircumstances,thepreliminaryevaluationresultshallbedowngradedbytwogrades:（二）存在下列情形之一的，初评结果下调两个级别：(1)Intentionallyconcealingmajorissuesorproblemsfromtheregulatoryauthority,resultinginseriousconsequences.1.故意向监管机构隐瞒重大事项或问题，造成严重后果；(2)Frequentlyorm

26、assivelyconducting川egalaffiliatedtransactions,leadingtotheoccupationofthecompanysassetsorseverelydamagingthelawfulrightsandinterestsofinvestors.2.多次或大量开展违规关联交易，导致公司资产被占用，或严重损害投资者合法权益；(3)Anymajorcriminalcaseoccurs,resultinginanysignificantbusinessriskoradversesocialimpact.Ifacompanytakestheinitiative

27、toeliminateormitigatetheharmfulconsequences3.发生重大涉刑案件，引发重大业务风险或不良社会影响。对自查发现的涉刑案件，公司主动消除或减轻危害后果的，可只下调 一个级别。（三）出现下列重大负面因素之 一，导致公司出现重大经营风险 的，监管评级结果不得高于5 级：党的建设严重弱化，公司治 理存在严重缺陷，财务造假、数 据造假问题严重等。（四）监管机构认定的其他应下 调监管评级级别的情形，视情节 严重程度决定下调幅度。第九条信托公司的监管评 级结果分为1一6级，数值越大反 映机构风险越大，需要越高程度 的监管关注。其中，监管评级最 终得分在90分（含）以上

28、为1 级，80分（含）一90分为2级； 70分（含）一80分为3级，60 分（含）一70分为4级；40分 （含）一60分为5级；40分以下 为6级。监管评级结果3级 （含）以上为良好。第十条金融监管总局每年 可根据行业监管要点、信托公司 的经营情况和风险特征，适当调 整评级要素、评价要点和评分原 则，并于每年监管评级工作开展ofanycriminalcasediscoveredinselfexamination,onlyonegrademaybedowngraded.3. Whereanyofthefollowingsignificantnegativefactorsleadstomajorb

29、usinessrisksofacompany,theregulatoryratingresultshallnotbehigherthanGrade5:seriousweakeningofPartyconstruction,seriousdefectsincorporategovernance,orseriousissuesinfinancialanddatafraud.4. Underothercircumstancesdeterminedbytheregulatoryauthoritywheretheregulatoryratingshallbedowngraded,thegradeshal

30、lbedowngradedaccordingtotheseverityofthecircumstances.Article9Theregulatoryratingresultsoftrustcompaniesareindicatedonascaleof1to6,withlargernumbersindicatinglargerinstitutionalrisksandhigherregulatoryconcerns.Aratingof1shallbeassignedifthefinalscoreofregulatoryratingis90pointsormore,aratingof2shall

31、beassignedifitis80ormorebutunder90points,aratingof3shallbeassignedifitis70ormorebutunder80points,aratingof4shallbeassignedifitis60ormorebutunder70points,aratingof5shallbeassignedifitis40ormorebutunder60points,andaratingof6shallbeassignedifitisunder40points.AregulatoryratingofGrade3oraboveisconsidere

32、dasgood.Article10TheNAFRmay,onanannualbasis,appropriatelyadjusttheratingcomponents,evaluationpoints,andscoringprinciplesaccordingtothekeypointsofindustryregulationandtheoperatingstatusandriskcharacteristicsoftrustcompanies,andshallspecifytheadjustmentbeforethecommencementofthe前明确。regulatoryratingwor

33、keachyear.ChapterIIIOrganizationandImplementationofRegulatoryRatingsArticle11Thetermofatrustcompany,sregulatoryratingshallbeoneyearandtheevaluationperiodshalllastfromJanuary1toDecember31ofthepreviousyear.Inprinciple,theratingforthepreviousyearshallbecompletedbeforetheendofAprileachyear.Article12Ther

34、egulatoryratingoftrustcompaniesshallbeledandorganizedbythetrustregulatorydepartmentoftheNAFRwiththeassistanceofrelevantdepartmentsandimplementedbyalllocalNAFRoffices.Theregulatoryratingshallbeconductedaccordingtotheproceduresofpreliminaryevaluationbylocaloffices,reviewbytheNAFR,feedbackonregulatoryr

35、atingresults,andconcentrationoffiles.Article13TheNAFRshallorderlypromotetheonlineregulatoryratingoftrustcompanies,trackandmanagetheratingprocess,andenhancethestandardizationandaccuracyoftheregulatoryratingoftrustcompanies.第三章监管评级组织实施第十一条信托公司的监管 评级周期为一年，评价期间为上 一年1月1日至12月31日。上 年度评级全部工作原则上应于每 年4月底前完成。第

36、十二条信托公司监管评 级由金融监管总局信托监管部门 牵头组织，相关部门协助，各派 出机构具体实施。按照派出机构 初评、金融监管总局复核、监管 评级结果反馈、档案归集的程序 进行。第十三条金融监管总局有 序推动信托公司监管评级工作线 上化，进行评级流程跟踪和管 理，增强信托公司监管评级工作 的规范性和准确性。第十四条信托公司应按照 本办法如实向金融监管总局派出 机构提供相关数据和信息，反映 自身情况、存在的问题以及被采 取的监管措施，并于每年3月1 日前上报金融监管总局派出机 构。金融监管总局派出机构发现 数据和信息失真时，应及时与信Article14Atrustcompanyshalltrut

37、hfullyprovidetherelevantdataandinformationtothelocalNAFRofficeinaccordancewiththeseMeasures,reportitsownconditions,existingproblems,andregulatorymeasurestakenagainstit,andreporttothelocalNAFRofficebeforeMarch1everyyear.IfthelocalNAFRofficefindsanyfalsedataorinformation,itshallverifyitwiththetrustcom

38、panyinatimelymannerandconductaregulatoryratingbasedonthecorrecteddataandinformation.ThelocalNAFRofficeshallcontinuously,comprehensively,anddeeplycollectallkindsofinformationnecessaryforregulatoryrating,includingbutnotlimitedtooff-siteregulatoryinformation,on-siteinspectionreports,specialregulatoryre

39、ports,relevantrulesandmeasuresofthecompany,internalandexternalauditreports,annualbusinessplans,andotherbusinessmanagementdocuments,informationonlettersandvisitsandillegalreports,andotherimportantinternalandexternalinformation.Article15Thepreliminaryevaluationofregulatoryratingshallbeledbytheinstitut

40、ionalregulatorydepartmentofthelocalNAFRoffice.Duringthepreliminaryevaluation,theopinionsoftherelevantregulatoryauthoritiesinchargeofon-siteinspection,informationtechnology,andprotectionofconsumers*rightsandinterestsshallbefullysolicited.LocalNAFRofficesshallcomprehensivelyanalyzetherelevantinformati

41、onoftrustcompanies,carryoutthepreliminaryevaluationofregulatoryratingsandproducepreliminaryevaluationresultsaccordingtotheratingmethodsandstandardsprescribedbytheseMeasures.1.ocalNAFRofficesshallsubmitpreliminaryevaluationresultstotheNAFRbeforeMarch31eachyear.托公司核实，并采用修正后的数 据和信息进行监管评级。金融监管总局派出机构应持续、

42、 全面、深入收集监管评级所需的 各类信息，包括但不限于：非现 场监管信息、现场检查报告、监 管专项报告，公司有关制度办 法、内外部审计报告、年度经营 计划等经营管理文件，信访和违 法举报信息及其他重要内外部信 息等。第十五条监管评级初评由 金融监管总局派出机构的机构监 管部门牵头实施，初评过程中应 充分征求现场检查、信息科技、 消费者权益保护等相关监管部门 意见。金融监管总局派出机构应 综合分析信托公司相关信息，按 照本办法规定的评级方法和标 准，开展监管评级初评，形成初 评结果。初评结果由金融监管总局派出机 构于每年3月31日前向金融监管 总局报送。初评对每一项评级要素的评价应 分析深入、理

43、由充分、判断合 理，准确反映信托公司的实际状 况，必要时可以通过现场走访、 监管会谈等方式就有关问题进行Thepreliminaryevaluationshallbebasedonindepthanalysis,sufficientreasons,andreasonablejudgmentsforeachratingcomponentsoastoaccuratelyreflecttheactualsituationofthetrustcompany.Ifnecessary,relevantissuesmaybecheckedbymakingon-核查。sitevisits,holdingreg

44、ulatoryinterviews,orothermethods.Article 16 TheNAFRshallreviewpreliminaryevaluationresultsofregulatoryrating,determinethefinalresultsofregulatoryratingoftrustcompanies,andprovidefeedbackonfinalresultstolocalNAFRoffices.Article 17 ThelocalNAFRofficeshallnotifythetrustcompanyofitsfinalratingresultande

45、xistingmajorrisksandproblemsbysuchmethodsasholdingregulatoryinterviews,issuingoff-siteregulatoryopinions,andmakingaregulatoryannouncement,andshallofferregulatoryopinionsandrectificationrequirements.ThelocalNAFRofficeshallpaycontinuousattentiontotheratingscoreofasinglemoduleoftrustcompanies.Ifthescor

46、eofasinglemoduleislowerthan60%ofthefullscoreforthemoduleorthescoreofthemodulehasasharpdeclineintwoconsecutiveyears,thetrustcompanyshallbeurgedtomakearectificationplanfortheimprovementofthemoduleinlightofactualcircumstancesandtakecorrespondingregulatorymeasuresandactionsinaccordancewiththelaw.第十六条金融监

47、管总局对 监管评级初评结果进行复核，确 定信托公司监管评级最终结果， 并将最终结果反馈金融监管总局 派出机构。第十七条金融监管总局派 出机构应将信托公司的最终评级 结果以及存在的主要风险和问 题，通过监管会谈、非现场监管 意见书、监管通报等方式通报给 信托公司，并提出监管意见和整 改要求。金融监管总局派出机构应加强对 信托公司单个模块评级得分情况 的持续关注，对于单个模块得分 低于该模块满分60%或连续两年 得分下降明显的，应视情况督促 信托公司制定改善该模块的整改 计划，并依法采取相应监管措施 和行动。第十八条年度监管评级工 作结束后，信托公司因公司治理 和股权管理出现重大变化、发生 重大突

48、发事件或重大涉刑案件、 出现流动性危机、发生对监管评 级产生实质性影响的其他重大事 件等，导致管理状况或风险发生Article 18 Afterthecompletionoftheannualregulatoryrating,ifatrustcompanyhasmaterialchangesinitscorporategovernanceandequitymanagement,encountersanymajoremergency,isinvolvedinanymajorcriminalcase,hasaliquiditycrisis,oranyothermajoreventthatmayhaveasubstantialimpactonitsregulatoryratingoccurs,leadingtoanymaterialchangeinmanagementconditionsorrisks,thelocalNAFRofficemayapplyforthedynamicadjustmentoftheregulatoryratingresult.Dynamicadjustmentstoregulatoryratingsshallbesub
