4、suresfortheImplementationoftheProvisionsontheAdministrationofEnterpriseNameRegistrationChapterIGeneralProvisionsArticle1TheseMeasuresaredevelopedinaccordancewiththeProvisionsontheAdministrationofEnterpriseNameRegistration,theRegulationofthePeoplesRepublicofChinaontheAdministrationoftheRegistrationof

5、MarketEntities,andotherrelevantlawsandadministrativeregulationstoregulatetheadministrationofenterprisenameregistration,protectthelawfulrightsandinterestsofenterprises,maintainthesocialandeconomicorder,andoptimizethebusinessenvironment.Article2TheseMeasuresshallapplytoenterprisesthatshallbelegallyreg

6、isteredwithintheterritoryofChina,includingbutnotlimitedtocompanies,unincorporatedenterpriselegalpersons,partnerships,soleproprietorshipenterprises,andbranchesoftheaforesaidenterprises,aswellasthebranchesofforeigncompanies.Article 3 Theadministrationofenterprisenameregistrationshallfollowtheprinciple

7、sofcompliancewithlawsandregulations,unifiedstandards,opennessandtransparency,andconvenienceandefficiency.企业名称登记管理规定实施办 法第一章总则第一条为了规范企业名 称登记管理，保护企业的合法 权益，维护社会经济秩序，优 化营商环境，根据企业名称 登记管理规定中华人民共 和国市场主体登记管理条例 等有关法律、行政法规，制定 本办法。第二条本办法适用于在 中国境内依法需要办理登记的 企业，包括公司、非公司企业 法人、合伙企业、个人独资企 业和上述企业分支机构，以及 外国公司分支机构等。第三条

8、企业名称登记管 理应当遵循依法合规、规范统 一、公开透明、便捷高效的原 则。企业名称的申报和使用应当坚 持诚实信用，尊重在先合法权 利，避免混淆。Theapplicationfortheregistrationandtheuseofenterprisenamesshalladheretogoodfaith,respectpriorlawfulrights,andavoidconfusion.Article 4 TheStateAdministrationforMarketRegulation(uSAMRm)shalltakechargeoftheadministrationofenterpri

9、senameregistrationnationwide,beresponsibleforformulatingspecificnormsfortheadministrationofenterprisenameregistration,suchastherulesforprohibitingandrestrictingtheuseofenterprisenamesandtherulesforthecomparisonofidenticalandsimilarenterprisenames;andberesponsibleforestablishing,managing,andmaintaini

10、ngthenationalsystemforthestandardmanagementofenterprisenamesandtheenterprisenameregistrationapplicationsystemoftheSAMR.Themarketregulatorydepartmentsofpeoplesgovernmentsofallprovinces,autonomousregions,andmunicipalitiesdirectlyundertheCentralGovernment(hereinaftercollectivelyreferredtoas“provinciale

11、nterpriseregistrationauthoritiesn)shallberesponsibleforestablishing,managing,andmaintainingtheenterprisenameregistrationapplicationsystemwithintheirrespectiveadministrativeregionsandconnectingitwiththenationalsystemforthestandardmanagementofenterprisenamesandtheenterprisenameregistrationapplications

12、ystemoftheSAMR.1.ocalenterpriseregistrationauthoritiesatandabovethecountylevelshallberesponsiblefortheadministrationofenterprisenameregistrationwithintheirrespectiveadministrativeregions,handlingdisputesoverenterprisenames,andregulatingtheorderofadministrationofenterprisenameregistration.第四条国家市场监督管

13、理总局主管全国企业名称登记 管理工作，负责制定企业名称 禁限用规则、相同相近比对规 则等企业名称登记管理的具体 规范；负责建立、管理和维护 全国企业名称规范管理系统和 国家市场监督管理总局企业名 称申报系统。第五条各省、自治区、 直辖市人民政府市场监督管理 部门（以下统称省级企业登记 机关）负责建立、管理和维护 本行政区域内的企业名称申报 系统，并与全国企业名称规范 管理系统、国家市场监督管理 总局企业名称申报系统对接。县级以上地方企业登记机关负 责本行政区域内的企业名称登 记管理工作，处理企业名称争 议，规范企业名称登记管理秩 序。第六条国家市场监督管 理总局可以根据工作需要，授 权省级企业

14、登记机关从事不含 行政区划名称的企业名称登记Article 5 TheSAMRmay,asneededforwork,authorizeprovincialenterpriseregistrationauthoritiestoadministertheregistrationofenterprisenamesthatdonotcontainthenameofanyadministrativedivision,andprovidehigh-qualityenterprisenameregistrationapplicationservices.TheSAMRshallestablishrando

15、minspectionrulestostrengthenthesupervisionandinspectionoftheworkspecifiedintheprecedingparagraph.ChapterIlStandardizationofEnterpriseNamesArticle 7 AnenterprisenameshallusestandardChinesecharacters.Ifanenterprisenameneedstobetranslatedintoaforeignlanguageforuse,theenterpriseshalltranslateanduseitsen

16、terprisenameundertherelevantforeignlanguagetranslationprinciplesandmaynotviolatetheprovisionsofanylaworregulation.Article 8 Anenterprisenameshallgenerallyconsistofthenameoftheadministrativedivision,tradename,industryoroperationalcharacteristics,andorganizationalform,andbearrangedinsequence,excepttha

17、titisotherwiseprescribedbyanylaw,administrativeregulation,ortheseMeasures.Article 9 Thenameoftheadministrativedivisioninanenterprisenameshallbethenameoftheadministrativedivisionofthecountyorequivalentwheretheenterpriseislocatedoratahigherlevel.管理工作，提供高质量的企业 名称申报服务。国家市场监督管理总局建立抽 查制度，加强对前款工作的监 督检查。第二章

18、企业名称规范第七条用规范汉字。企业名称应当使企业需将企业名称译成外文使 用的，应当依据相关外文翻译 原则进行翻译使用，不得违反 法律法规规定。第八条企业名称一般应 当由行政区划名称、字号、行 业或者经营特点、组织形式组 成，并依次排列。法律、行政 法规和本办法另有规定的除 外。第九条企业名称中的行 政区划名称应当是企业所在地 的县级以上地方行政区划名 称。根据商业惯例等实际需要，企 业名称中的行政区划名称置于 字号之后、组织形式之前的，Ifthenameofanadministrativedivisioninanenterprisenameisplacedafterthetradenamean

19、dbeforetheorganizationalformduetobusinesspracticeorotheractualneeds,suchnameshallbeinparentheses.Article 10 Thetradenameincludedinanenterprisenameshallbedistinctive,consistoftwoormoreChinesecharacters,andmaybecomposedofcharacters,words,oracombinationofthetwo.Thenameofalocaladministrativedivisionator

20、abovethecountylevelorthetermsofindustryoroperationalcharacteristics,amongothers,maybeusedasatradenameoracomponentthereofifithasothermeanings,isclearlyidentifiablebythepublic,andwillnotdeemedashavingaspecificconnectionwiththeplacenameorindustryoroperationalcharacteristics.Thenameofanaturalpersoninves

21、tormaybeusedasatradename.Article 11 Thetermsofindustryoroperationalcharacteristicsinanenterprisenameshallbedeterminedaccordingtotheenterprisesmainbusinessandtheindustrialclassificationstandardsofthenationaleconomy.Iftheindustrialclassificationstandardsofthenationaleconomyaresilent,industrypractice,p

22、rofessionalliterature,andotherstatementsmayapplymutatismutandis.Ifanenterpriseusesthenameofthelocaladministrativedivisionatorabovethecountylevelasacomponentoftheindustryoroperationalcharacteristicsinitsnametoindicatethespecificcharacteristicsofitsmainbusiness,itshallrefertoindustrypracticeortakeprof

23、essionalliteratureasthebasis.应当加注括号。第十条企业名称中的字 号应当具有显著性，由两个以 上汉字组成，可以是字、词或 者其组合。县级以上地方行政区划名称、 行业或者经营特点用语等具有 其他含义，且社会公众可以明 确识别，不会认为与地名、行 业或者经营特点有特定联系 的，可以作为字号或者字号的 组成部分。自然人投资人的姓名可以作为 字号。第十一条企业名称中的 行业或者经营特点用语应当根 据企业的主营业务和国民经济 行业分类标准确定。国民经济 行业分类标准中没有规定的， 可以参照行业习惯或者专业文 献等表述。企业为表明主营业务的具体特 性，将县级以上地方行政区划 名

24、称作为企业名称中的行业或 者经营特点的组成部分的，应 当参照行业习惯或者有专业文 献依据。第十二条企业应当依法Article 12 Anenterpriseshall,inaccordancewiththelaw,indicateinitsnametheorganizationalformconsistentwithitsorganizationalstructureorliabilityform,andshallnotusewordsthatmaymisleadthepublicintobelievingthatithasadifferentorganizationalform.(1) Th

25、eenterpriseshallindicatethewordslimitedliabilitycompany,uIimitedcompany/*ujointstocklimitedcompany,orujointstockcompany,initsname.在名称中标明与组织结构或者 责任形式一致的组织形式用 语，不得使用可能使公众误以 为是其他组织形式的字样。（一）公司应当在名称中标明 “有限责任公司”、“有限公 司”或者“股份有限公司”、 “股份公司”字样；（二）合伙企业应当在名称中 标明“（普通合伙）”、“（特殊普通合伙）”、“（有限合伙）”字样；(3) A sole propriet

26、orship enterprise shall indicate the words u(sole PrOPrietOrShip) in its name.（三）个人独资企业应当在名 称中标明“（个人独资）”字 样。(2) Apartnershipshallindicatethewords(generalpartnership)/1(specialgeneralpartnershipforu(limitedpartnershipfinitsname.第十三条企业分支机构 名称应当冠以其所从属企业的 名称，缀以“分公司”、“分 厂”、“分店”等字词，并在 名称中标明该分支机构的行业 和所在地行政

27、区划名称或者地 名等，其行业或者所在地行政 区划名称与所从属企业一致 的，可以不再标明。第十四条企业名称冠以 “中国”、 “中华”、 “中 央，、“全国”、“国家”等 字词的，国家市场监督管理总Article 13 ThenameofabranchofanenterpriseshallbeginwiththenameoftheenterprisetowhichitisaffiliatedandendwithsuchwordsasubranchOffiCe,”“branchfactory,orubranchstore.Thebranchshallindicateinitsnametheindus

28、trytowhichitbelongsandthenameoftheadministrativedivisionwhereitislocatedortheplacename,amongothers,andisnotrequiredtodosoifthenameoftheindustrytowhichitbelongsorthenameoftheadministrativedivisionwhereitislocatedisconsistentwiththatoftheenterprisetowhichitisaffiliated.Article 14 Whereanenterprisename

29、beginswithwordssuchas“China,”“Chinese,uCentraI,“National,orState,theSAMRshallstrictlyreviewtheminaccordancewithrelevantprovisionsoflawsandregulations,issuereviewopinions,andreportthemtotheStateCouncilfor局应当按照法律法规相关规定approval,从严审核，提出审核意见并报国务院批准。Ifanenterprisenamecontainswordssuchas“China,”“Chinese,”N

30、ational,oruState,nbutdoesnotbeginwiththem,thewordsshallbeaqualifierdescribinganindustry.Article 15 Wherethenameofaforeign-fundedenterprisecontainstheword(China),itstradenameshallbeconsistentwiththetranslatednameortradenameoftheforeigninvestoroftheenterpriseandcomplywiththeprovisionsofapplicablelawsa

31、ndregulations.Article 16 AnenterprisenameshallcomplywithArticle11oftheProvisionsontheAdministrationofEnterpriseNameRegistrationandshallnot:(1)usewordsrelatedtomajornationalstrategicpolicies,misleadingthepublicintobelievingthattheenterpriseisassociatedwithnationalinvestmentorgovernmentcredit,amongoth

32、ers;企业名称中间含有“中国”、 “中华，、“全国”、“国 家”等字词的，该字词应当是 行业限定语。第十五条外商投资企业 名称中含有“（中国）”字样 的，其字号应当与企业的外国投资者名称或者字号翻译内容 保持一致，并符合法律法规规 定。第十六条企业名称应当 符合企业名称登记管理规 定第十一条规定，不得存在 下列情形：（一）使用与国家重大战略政 策相关的文字，使公众误认为 与国家出资、政府信用等有关 联关系；(2) use misleading words such as “national level/* highest level/1 and ubestn;（二）使用“国家级”、“最高级”

33、、“最佳”等带有误导性的文字；（三）使用与同行业在先有一 定影响的他人名称（包括简 称、字号等）相同或者近似的 文字；(3)usewordsthatareidenticalorsimilartothename(includingbutnotlimitedtotheabbreviationandtradename)ofanotherpersonsnamewithcertaininfluenceinthesameindustry;(4)usewordsexplicitlyorimplicitlyindicatingthatanenterpriseisanon-profitorganization;

34、or（四）使用明示或者暗示为非营利性组织的文字；(5)fallunderanyothercircumstanceprohibitedbyanylaw,administrativeregulation,ortheseMeasures.（五）法律、行政法规和本办法禁止的其他情形。Article17AregisteredenterpriselegalpersonholdingthecontrollingsharesofthreeormoreenterpriselegalpersonsmayusethewordsugroupOr(group?beforetheorganizationalformini

35、tsenterprisename.第十七条已经登记的企业法人控股3家以上企业法人的，可以在企业名称的组织形式之前使用“集团”或者“（集团）字样。Anapplicationforthemodificationofthenameofanenterprisegroupshallbefiledwhentheparentcompanyoftheenterprisegroupundergoesmodificationregistration.Article 18 Thenameofanenterprisegroupshallbeconsistentwiththenameoftheparentcompany

36、oftheenterprisegroupintermsofthenameoftheadministrativedivision,tradename,andindustryoroperationalcharacteristics.Thenameofasubsidiaryorcompanyofwhichthenon-controllingsharesareheldbytheparentcompanyoftheenterprisegroup,asauthorizedbytheparentcompany,maybeginwiththenameoftheenterprisegroup.Theparent

37、companyofanenterprisegroupshalldisclosetothepublicthenameoftheenterprisegroupandtheinformationofitsgroupmembersthroughtheNationalEnterpriseCreditInformationPublicitySystem.Article 19 Wherearegisteredenterpriselegal企业集团名称应当在企业集团母公司办理变更登记时一并提出。第十八条企业集团名称应当与企业集团母公司名称的行政区划名称、字号、行业或者经营特点保持一致。经企业集团母公司授权的子

38、公司、参股公司，其名称可以冠以企业集团名称。企业集团母公司应当将企业集团名称以及集团成员信息通过国家企业信用信息公示系统向社会公示。第十九条已经登记的企业法人，在3个以上省级行政 区域内投资设立字号与本企业 字号相同且经营1年以上的公 司，或者符合法律、行政法 规、国家市场监督管理总局规 定的其他情形，其名称可以不 含行政区划名称。除有投资关系外，前款企业名 称应当同时与企业所在地设区 的市级行政区域内已经登记的 或者在保留期内的同行业企业 名称字号不相同。第二十条已经登记的跨5 个以上国民经济行业门类综合 经营的企业法人，投资设立3 个以上与本企业字号相同且经 营1年以上的公司，同时各公 司

39、的行业或者经营特点分别属 于国民经济行业不同门类，其 名称可以不含行业或者经营特 点除有投资关系外，该企业 名称应当同时与企业所在地同 一行政区域内已经登记的或者 在保留期内的企业名称字号不 相同。前款企业名称不含行政区划名 称的，除有投资关系外，还应 当同时与企业所在地省级行政 区域内已经登记的或者在保留 期内的企业名称字号不相同。personformsacompanythathasthesametradenameastheenterpriseandhasengagedinoperationsforoneyearormorewithinthreeormoreprovincialadminis

41、nthesameindustrythathasbeenregisteredoriswithinthereservationperiodintheadministrativeregionofthedistrictedcitywheretheenterpriseislocated.Article20Wherearegisteredenterpriselegalpersonthathasengagedincomprehensiveoperationsacrossfiveormoreindustriesofthenationaleconomyhasformedthreeormorecompaniest

42、hathavethesametradenameastheenterpriseandhaveengagedinoperationsforoneyearormore,andofwhichtheindustryoroperationalcharacteristicsbelongtodifferentindustriesofthenationaleconomy,itsnameisnotrequiredtocontainindustryoroperationalcharacteristics.Unlessthereisaninvestmentrelationship,theenterprisenames

43、hallbedifferentfromthetradenameofanenterprisethathasbeenregisteredoriswithinthereservationperiodintheadministrativeregionwheretheenterpriseislocated.Iftheenterprisenameasmentionedintheprecedingparagraphdoesnotcontainthenameoftheadministrativedivision,unlessthereisaninvestmentrelationship,theenterpri

44、senameshallbedifferentfromthetradenameofanenterprisenamethathasbeenregisteredoriswithinthe企业名称自主申报服reservationperiodintheprovincialadministrativeregionwheretheenterpriseislocated.ChapterIIIIndependentApplicationforthe第三章RegistrationofEnterpriseNames务第二十一条企业名称由 申请人自主申报。申请人可以通过企业名称申报 系统或者在企业登记机关服务 窗口提

45、交有关信息和材料，包 括全体投资人确认的企业名 称、住所、投资人名称或者姓 名等。申请人应当对提交材料 的真实性、合法性和有效性负 责。Article 21 Anapplicantmayindependentlyapplyfortheregistrationofanenterprisename.Theapplicantmaysubmitrelevantinformationandmaterialsthroughanenterprisenameregistrationapplicationsystemorattheservicewindowoftheenterpriseregistrationa

46、uthority,includingbutnotlimitedtotheenterprisenameconfirmedbyallinvestors,theaddress,andthetitleornameoftheinvestor.Theapplicantshallberesponsiblefortheveracity,legality,andvalidityofthesubmittedmaterials.企业名称申报系统对申请人提 交的企业名称进行自动比对， 依据企业名称禁限用规则、相 同相近比对规则等作出禁限用 说明或者风险提示。企业名称 不含行政区划名称以及属于 企业名称登记管理规定第

47、十二条规定情形的，申请人应 当同时在国家市场监督管理总 局企业名称申报系统和企业名 称数据库中进行查询、比对和 筛选。Theenterprisenameregistrationapplicationsystemwillautomaticallycomparetheenterprisenamesubmittedbytheapplicantandmakeastatementonprohibitingorrestrictingtheuseofsuchanameorgivesariskalertaccordingtotherulesforprohibitingorrestrictingtheuseof

48、enterprisenamesortherulesforcomparingthesameorsimilarenterprisenames,amongothers.IftheenterprisenamedoesnotincludethenameofanadministrativedivisionorfallsunderanyofthecircumstancesspecifiedinArticle12oftheProvisionsontheAdministrationofEnterpriseNameRegistration,theapplicantshallsearch,compare,andscreentheenterprisenameregistrationapplicationsystemandtheenterprisenamedatabaseoftheSAMRatthesametime.第二十二条申请人根据 查询、比对和筛选的结果，选Article 22 Anapplicantshallselectanenterprisenamethatmeetstherequ
